Solicitation is issued as a three (3) year firm fixed price Requirements type contract with one (1) year base and two

(2) option years. The NAICS code is 339993 fastener, button, needle, and pin manufacturing. The Small Business Size

Standard is 750 employees.

Any resulting contract will NOT contain an Economic Price Adjustment (EPA) clause. The solicitation allows for a firm-fixed pricing on Base Year, Option Year 1, and Option Year 2. Take this into consideration when determining and submitting your price proposal for a multi-year contract.

SOLICITATION IS SET-ASIDE 100% FOR SMALL BUSINESS.

This requirement is 100% USA Domestic Only. No Foreign Made Items are Acceptable. THE BERRY AMENDMENT (10 U.S.C 2533A)

IS APPLICABLE. All components of the buttons must be manufactured entirely in the U.S.A.

PART I: INFORMATION

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6 as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; offers are being requested and a written solicitation will not be issued. The solicitation number is

CT2304-21 and this solicitation is issued as a Request For Proposals (RFP). The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2021-05. The North American Industry

Classification System code is 339993, fastener, button, needle, and pin manufacturing. The SBA small business size standard is 750 employees.

This requirement is SET-ASIDE 100% FOR SMALL BUSINESS. UNICOR, Federal Prison Industries, Inc., intends to enter into a one (1) year base period with two (2) one-year options if exercised, firm-fixed-price, requirements type contract for the following commercial item(s): buttons, various types, for use in manufacturing military clothing and non-military clothing. The finished products are for sale to the DLA Troop Support (Defense Logistics Agency), the

Federal Bureau of Prisons, and other federal agencies.

SEE SECTION B FOR LIST OF ITEMS. All Section B Line Item Quantities are ESTIMATES Only. The estimated maximum quantity for the life of the contract is: 36,226,920 each.

ALL ITEMS WILL BE AWARDED TO ONE OFFEROR. FAILURE TO SUBMIT AN OFFER ON ALL ITEMS MAY PREVENT AN OFFER FROM BEING

CONSIDERED FOR AWARD.

Price evaluation will be based on the sum of the total extended price of the line items.

All Section B Line Item Quantities are ESTIMATES Only.

A copy of the Certificate of Conformance (COC), applicable physical test results, and the packing slip shall accompany each shipment. The furnishing of this paperwork shall be a condition of acceptance at destination, and payment shall not be made until it is received. Delivery is FOB destination.

THIS ITEM IS 100% USA DOMESTIC ONLY, MANUFACTURED ENTIRELY IN THE UNITED STATES OF AMERICA. THIS IS TO INCLUDE THE

The Non-Manufacturer Rule applies to this requirement - a recipient of a contract set-aside for small business, other than the actual manufacturer or processor, must provide the products of a small business. This requirement is commonly referred to as the Non-Manufacturer Rule.

The offer period for this acquisition is 60 days. Offerors agree to hold firm all price offers for 60 days from the proposal due date.

Any contract resulting from this solicitation will not be an obligation. Funds will be obligated by delivery orders.

Any resulting contract will NOT contain an Economic Price Adjustment (EPA) clause. The solicitation allows for a firm-fixed pricing on Base Year, Option Year 1, Option Year 2. Take this into consideration when determining and submitting your price proposal for a multi-year contract.

Future requirements for this or similar supply items delivered to this or other UNICOR factories may be added to the resulting contract if considered to fall within the scope of work and the price is determined to be fair and reasonable.

NOTICE TO GOVERNMENT WHEN CONTRACTOR(S) DELAYS:

In the event the contractor(s) encounter difficulty in meeting performance requirements, or when there is an anticipated difficulty in complying with the delivery terms or completion dates, or whenever the contractor has knowledge that any actual or potential situation is delaying or threatens to delay the timely delivery/performance of this contract, the contractor must immediately notify the Field Administrative Contracting Officer for the factory, giving pertinent details. This information will not be construed as a waiver by the Government of the required delivery schedule, or the Government's rights to impose consideration against delinquencies or other remedies provided by this contract.

Contractor agrees that FPI is in the category of the most favored or best commercial customer category of the

Contractor and as such, the Contractor will:

During the contract period, the Contractor shall report to the Contracting Officer all price reductions offered to the category of customers that are considered by the Contractor to be their most favored or best commercial customer.

1. A price reduction shall apply to purchases under this contract if, after the award date, the Contractor-

i) Revises downward its commercial catalog, price list, schedule, etc., to its best commercial customers (or category of customers) below the awarded price under this contract;

ii) Grants more favorable discounts or terms and conditions to its best commercial customers than those contained in this contract that would result in prices below the awarded price under this contract, an/or

iii) Grants special discounts to its best commercial customer (or category of customers) that would result in prices lower than the awarded price under this contract.

2. The Contractor shall offer the price reduction to FPI with the same effective date, and for the same time period, as extended to the commercial customer (or category of customers).

The Contractor may offer the Contracting Officer a voluntary price reduction at any time during the contract period.

The Contractor shall notify the Contracting Officer of any price reduction subject to this clause as soon as possible, but not later than 15 calendar days after its effective date.

Packaging shall comply with the specifications of ASTM D-3951-95, standard practice for commercial packages.

(d) Comptroller General Examination of Record. 1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. (2) While not required, the Contractor may include in its subcontracts for commercial items a minimal number of additional clauses necessary to satisfy its contractual obligations.

52.216-18, Ordering (AUG 2020).

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from the date of award through (three) 3 years thereafter, if all options are exercised.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-19, Order Limitation (OCT 1995).

(a) minimum delivery order of 3600 each for a single line item; (b)(1) max delivery order for a single item in excess of 57600 each; (b)(2) any order for a combination of items in excess of 57600 each (quantity or dollar value), contractor will not be obligated to honor. Contractor will not be obligated to honor a series of orders from the same ordering office, within a 15 day period that together call for quantities exceeding the maximum order limitations.

However, the contractor shall honor orders exceeding the maximum order limitations unless the order(s) are returned to the ordering office within seven calendar days after issuance with a written statement expressing the contractor's intent not to ship.

52.216-21, Requirements (Oct 1995)

(a) This is a requirements contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government's requirements do not result in orders in the quantities described as estimated or maximum in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause.

Subject to any limitations in the Order Limitations clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the Schedule and called for by orders issued in accordance with the Ordering clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(c) Except as this contract otherwise provides, the Government shall order from the Contractor all the supplies or services specified in the Schedule that are required to be purchased by the Government activity or activities specified in the Schedule.

(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.

(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.

(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor#s and

Government#s rights and obligations with respect to that order to the same extent as if the order were completed during the contract#s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after thirty (30)calendar days after contract validity end.

52.217-7 Option for Increased Quantity-Separately Priced Line Item (MAR 1989)

52.217-9 Option to Extend the Term of the Contract (Mar 2000).

(a) The Government may extend the term of this contract by written notice to the Contractor within 7 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 14 days before

the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed three (3) years.

52.223-11, Ozone-Depleting Substances and High Global Warming Potential Hydrofluorocarbons (Jun 2016)

(a) Definition. As used in this clause

Global warming potential means how much a given mass of a chemical contributes to global warming over a given time period compared to the same mass of carbon dioxide. Carbon dioxide's global warming potential is defined as 1.0.

High global warming potential hydrofluorocarbons means any hydrofluorocarbons in a particular end use for which EPA#s

Significant New Alternatives Policy (SNAP) program has identified other acceptable alternatives that have lower global warming potential. The SNAP list of alternatives is found at 40 CFR Part 82 subpart G with supplemental tables of alternatives available at (http://www.epa.gov/snap/).

Hydrofluorocarbons means compounds that only contain hydrogen, fluorine, and carbon.

Ozone-depleting substance, means any substance the Environmental Protection Agency designates in 40 CFR Part 82 as:

(1) Class I, including, but not limited to, chlorofluorocarbons, halons, carbon tetrachloride, and methyl chloroform;

or

(2) Class II, including, but not limited to, hydrochlorofluorocarbons.

(b) The Contractor shall label products that contain or are manufactured with ozone-depleting substances in the manner and to the extent required by 42 U.S.C. 7671j (b), (c), (d), and (e) and 40 CFR part 82, subpart E, as follows:

Warning

Contains (or manufactured with, if applicable) *_______, a substance(s) which harm(s) public health and environment by destroying ozone in the upper atmosphere.

(c) Reporting. For equipment and appliances that normally each contain 50 or more pounds of hydrofluorocarbons or refrigerant blends containing hydrofluorocarbons, the Contractor shall#

(1) Track on an annual basis, between October 1 and September 30, the amount in pounds of hydrofluorocarbons or refrigerant blends containing hydrofluorocarbons contained in the equipment and appliances delivered to the Government under this contract by:

(i) Type of hydrofluorocarbon (e.g., HFC-134a, HFC-125, R-410A, R-404A, etc.);

(ii) Contract number; and

(iii) Equipment/appliance;

(2) Report that information to the Contracting Officer for FY16 and to www.sam.gov, for FY17 and after:

(i) Annually by November 30 of each year during contract performance; and

(ii) At the end of contract performance.
