About this file

This is a Statement of Work (SOW) Template for DARPA's Commercial Solutions Opening (DCSO) HR001126RE007, specifically designed for the Embedded Entrepreneurship Initiative (EEI) focused on transitioning DARPA-funded technologies into commercial solutions.

The SOW template establishes a structured 12-month base performance period framework with optional Minimum Viable Product (MVP) extensions up to 24 months. Offerors must include two required tasks: Task B.1 for identifying and engaging a qualified Embedded Entrepreneur (EE) with entrepreneurial experience to lead commercialization efforts, and Task B.15 for EEI closeout activities. The template provides fourteen optional tasks addressing commercialization risk reduction, including opportunity definition and validation, value proposition development, competitive analysis, commercialization strategy, customer requirements identification, financing and investor engagement planning, intellectual property and freedom-to-operate analysis, techno-economic analysis, dual-use market strategy, regulatory strategy, manufacturing scale-up planning, marketing strategy, and reimbursement strategy. The SOW must specify detailed task descriptions, completion criteria, schedules, deliverables, and measurable metrics for each task. Three example milestone payment structures are provided: a typical EEI model distributing payments over 12 months with milestones tied to EE hiring, customer demand validation, value proposition definition, competitive analysis, commercialization strategy, financing plan/pitch deck development, and closeout; a spin-out company structure emphasizing intellectual property and pricing strategy; and a regulatory needs structure prioritizing regulatory and reimbursement pathway development. Offerors must identify government-furnished information or equipment, complete intellectual property delivery tables, specify key personnel qualifications for the EE candidate, define place of performance, confirm travel cost inclusion, and commit to monthly status reports and a final closeout report documenting overall outcomes and program feedback.

Transition of DARPA-Funded Technologies Using Commercial Solutions Attachment 1: Statement of Work (SOW) Template

{Instruction: Offerors should remove and/or edit italicized, red text and use unitalicized, black text in the final version of the SOW before proposal submission. Offerors submitting a stand-alone Minimum Viable Product (MVP) should delete SOW, Section B. If key personnel are not proposed, delete SOW, Section G}

A. [REQUIRED] BACKGROUND/INTRODUCTION.

Provide applicable background/introduction for proposed SOW.

B. [REQUIRED] TASKS. (WITH ASSOCIATED SCHEDULE/REPORTS)

Provide a detailed task breakdown organized by offeror fiscal year, clearly linking each task to proposed milestones, metrics, and deliverables. The tasks below represent common high-level tasks associated with Embedded Entrepreneurship Initiative (EEI) SOWs. EEI tasks should focus on reducing business and commercialization risk. Tasks primarily focus on addressing or reducing technical risk are highly discouraged.

For each proposed task, the SOW should include:(1) a detailed task description; (2) specific task completion criteria; (3) the schedule; (4) associated deliverables (e.g., reports, data, presentations, etc.); and (5) define metrics and milestones demonstrating the achievement of each task and the proposed schedule for the achievement of the corresponding metrics and milestones.

(NOTE: With the exception of Tasks B.1 and B.15, offerors should include only those tasks listed below that will be relevant to the proposed commercial solution. The SOW should also identify any tasks or subtasks that: involve human subjects or animal research; include the collection, retention, or use of personally identifiable information (PII); performance on a university or college campus; performance by a sub-awardee or consultant; involve Controlled Unclassified Information (CUI); or (if applicable) support the development of a Minimum Viable Product (MVP)).

1. [REQUIRED] Embedded Entrepreneur (EE) Identification and Engagement:

Identify and engage a highly qualified, entrepreneurially experienced individual(s) to lead the execution of the SOW tasks and serve as an Embedded Entrepreneur(s). The Offeror will develop a job description and description of the opportunity to support the recruitment (hiring) of the appropriately qualified EE(s). C. [OPTIONAL] MINIMUM VIABLE PRODUCT (MVP) PLAN.

If an MVP is proposed, the SOW will include tasks that support the development and execution of the MVP. These tasks will emphasize market enty, validation of the product, service, or capability, and demonstration of utility to end users. Tasks primarily focused on reducing technical risk are highly discouraged.

The SOW will describe how feedback from Government and commercial customers will be collected and incorporated, including methods for gathering input on required features and functionality.

For each proposed MVP task, the SOW will include: (1) a detailed task description; (2) specific task completion criteria; (3) the schedule; (4) associated deliverables (e.g., reports, data, presentations, etc.); and (5) define metrics and milestones demonstrating the achievement of each task and the proposed schedule for the achievement of the corresponding metrics and milestones.

If an MVP is not proposed, offerors should label this section of the proposed SOW as “RESERVED” and indicate “N/A.”

D. [REQUIRED] MILESTONE PAYMENT SCHEDULE TABLE.

Either select one of the milestone payment structures OR provide a milestone payment schedule that describes the associated task from the statement of work, a milestone title, measurable and meaningful exit criteria, milestone completion date, and milestone price. For proposals with an MVP option or stand-alone MVP please provide a milestone payment schedule (separate from the base EEI milestones) that describes the associated task from the statement of work, a milestone title, measurable and meaningful exit criteria, milestone completion date, and milestone price. Government will replace “Milestone % of Price” with “Milestone Price” at contract award.
