About this file
This is a Contract Terms and Conditions document for the State of Maine Health & Environmental Testing Laboratory's annual procurement of Vero cells and related laboratory supplies. The contract establishes an automatic shipment arrangement requiring weekly delivery of 35 tubes each of WI-38 cell tube culture and monkey kidney (either Cynomolgous or Rhesus species), with additional products supplied on an as-needed basis. The contract period is one year from the date of award, with the state retaining the option to extend beyond the initial expiration date with contractor consent. All deliveries must arrive within 24 hours and be scheduled for morning arrival to allow immediate product incubation. The state reserves the right to request sample submissions of 10 tubes each of monkey kidney and WI-38 cells for quality evaluation, including assessment of delivery time and conditions.
The estimated annual contract value is approximately $50,000, though the actual value may vary based on state agency requirements throughout the contract period. Pricing must remain firm for the contract duration, with any price reductions applying to all subsequent shipments. The contractor is responsible for all transportation charges on an F.O.B. destination basis and must accept the State of Maine Procurement Card as payment with no additional surcharges allowed. The state is exempt from federal excise taxes and state sales taxes. Contractors must submit separate invoices for each order within 30 days of delivery, clearly referencing the contract number, shipment quantity, and delivery date. The contractor is also required to furnish detailed purchase summaries to the Director of Purchases as requested. Any shipments damaged during transportation must be replaced at the vendor's cost.
