PERFORMANCE WORK STATEMENT (PWS)

21 JAN 2020

SUBJECT: Englebright Dam Reach Gravel Augmentation Project, Lower Yuba River, Yuba County, California.

1.0. PROJECT DATA:

2.0. GENERAL INFORMATION:

This project is being performed as a requirement of a Biological Opinion issued by the National Marine Fisheries Service (NMFS). The U.S. Army Corps of Engineers (Corps) is proposing to continue a gravel augmentation project which involves placement of a heterogeneous mix of gravel and cobble into the lower Yuba River channel below Englebright Dam.

The purpose of gravel augmentation is to place suitable-sized spawning gravel within the upper Narrows reach for rehabilitating associated geomorphic processes and aquatic habitat in the Englebright Dam reach of the Lower Yuba River. Implementation of a long-term augmentation program will serve to improve the overall ecological functionality of the channel. The project will provide gravel and cobble suitable for anadromous salmonid adult spawning, embryo incubation, and survival to emergence in a key area in the lower Yuba River designated as critical habitat for the Central Valley spring-run Chinook salmon and the Central Valley steelhead.

The project area is located on the lower Yuba River downstream of Englebright Dam (Yuba River mile 23.9), Yuba County, California (Plate 1). Gravel augmentation will be confined to the river channel located between Englebright Dam and the junction with Deer Creek.

This reach is called the Englebright Dam Reach and it is located in the steep canyon off Highway 20, about 23 miles east of Marysville, California. To access the project area, take Peoria Road off Highway 20 (2 miles downstream of Parks Bar Bridge). Peoria Road merges into Scott Forbes Road to Narrows II powerhouse.

Contractor shall be provided access through locked gate near the University of California’s Sierra Foothill Research and Extension Center. Total distance from Highway 20 to Narrows II powerhouse: 8 miles.

Placement must be done between July 15th and September 1st of each year. This is the only period allowed per the terms of the Biological Opinion.

3.0. GENERAL STATEMENT OF WORK:

The Contractor shall furnish labor, material and equipment necessary to deliver and place approximately 5,000 to 15,000 short tons of gravel and cobble directly into the Yuba River channel immediately below the PG&E Powerhouse (Narrows I), located approximately

0.25 mile below the Englebright Dam. The placement area is shown on the GAIP Placement Map in Attachment #6, and may be in any of the areas, A, B, or C.

4.0. SCOPE OF WORK TO BE PERFORMED:

The Contractor shall perform the following tasks in accordance with the specific instruction provided below:

0001AA. Gravel Purchase and Delivery

The Contractor shall purchase and deliver an initial amount of approximately 5,000 short tons of a specified mix of gravel and cobble (0.25 – 5 inches in diameter) to the project area location specified in Section 2 - General Information, and shown on Plates 1 and 2.

NOTE: There is not sufficient room to stockpile the gravel mix on site. It must be delivered as needed.

0001AB. Placement of Gravel:

The Contractor shall “place” 5,000 short tons of gravel in the Yuba River as specified in the GAIP. The Contractor shall use a “sluicing” method of gravel placement that involves pumping water-gravel slurry through an 8 inch flexible pipe. The water-gravel slurry shall be placed directly into the water within the river channel at the location specified in Section 2 - General Information, and shown on Attachment 4.

0001AC. WATER TRUCK STANDBY:

The Contractor shall provide for a 2,000- gallon water truck to stand by for fire suppression if necessary.

Gravel Specifications. Gravel and cobble specifications shall include 5,000 short tons of uncrushed “natural river rock” acquired from a local aggregate producer within the Yuba River watershed that meets the gradations as follows:

To ensure that the specifications meet cleanliness values as required under the Clean Water Act, all gravel shall be washed before arriving at the injection site. Mixing of earth material with delivered or stockpiled gravel will not be allowed.

Equipment. It shall be the Contractor’s decision on the type of gravel-transport dump trucks to be used. They can be a single dump truck or a truck/trailer combination (transfer unit). The unit must be capable of transporting and delivering sufficient material to meet the time constraints required by the Biological Opinion (July 15 – September 01).

Gravel-Transport. Dump trucks shall be properly equipped with emission control devices equivalent to original manufacturer and shall be operated as designed. Hydrocarbons and carbon monoxide emissions from equipment shall be in compliance with Federal and State allowable limits. Trucks must meet all California Vehicle Code requirements for permit loads to transport the required weights noted above.

0001AD. OPTIONAL PURCHASE AND DELIVERY:

The Contractor shall purchase and deliver up to 10,000 short tons, in 1,000 short ton increments, of a specified mix of gravel and cobble (0.25 – 5 inches in diameter) to the project area location specified in Section 2 - General Information, and shown on Plates 1 and 2.

NOTE: There is not sufficient room to stockpile the gravel mix on site. It must be delivered as needed. This is an optional task and will be requested at the discretion of the Park Manager.

0001AE. OPTIONAL PLACEMENT:

The Contractor shall “place” the additional purchased gravel in accordance with the GAIP. The Contractor shall use a “sluicing” method of gravel placement that involves pumping water-gravel slurry through an 8 inch flexible pipe. The water-gravel slurry shall be placed directly into the water within the river channel at the location specified in Section 2 - General Information, and shown on Attachment 2.

This is an optional task and will be requested at the discretion of the Park Manager.

0001AF. OPTIONAL ROAD REPAIR MATERIAL:

The Contractor shall purchase and deliver the material specified below. This is an optional task and will be requested at the discretion of the Park Manager.

Material shall be delivered to a location as specified by the COR. Time and Date of delivery will be coordinated with the COR. The material shall be delivered only and placed or spread by the Yuba County Road Department.

0001AG- ACCIDENT PREVENTION PROGRAM (Base Year Only):

The contractor within five (5) calendar days after contract award, four copies of the Accident Prevention Program shall be submitted to the Contracting Officer Representative (COR) for review and acceptance. Before initiation of work, a site specific Accident Prevention Plan (APP) with appropriate appendices written in English by the Prime Contractor for the specific work and hazards of the contract, and implementing in detail the pertinent requirements of the most recent edition of EM 385-1-1 will be reviewed and found acceptable by the COR. APPs shall be developed and submitted by the Contractor in the formats provided in Appendix A of the most recent edition of EM 385-1-1. The Contractor shall address each of the elements/sub-elements in the outline contained in Appendix A, EM 385-1- 1 in the order they are provided in the Manual. If by the nature of the work an item is not applicable, the Contractor will so state and provide a justification for why that element/sub-element is not applicable. The APP will be developed by qualified personnel and will be signed in accordance with Appendix A.1, EM 385-1- 1. The Contractor shall be responsible for documenting the qualified person’s credentials.

The Contractor’s APP will be job-specific and will include work to be performed by subcontractors and measures to be taken by the Contractor to control hazards associated with materials, services, or equipment provided by suppliers.

5.0. SCHEDULE OF CONTRACTOR TASKS

6.0. SPECIAL CONSIDERATIONS:

6.1. The Contractor will not depart from or perform work beyond this PWS or change the criteria on which the scope of work is based without written direction and/or consent from the Contracting Officer (KO), LTC Daniels.

6.2. During performance of the tasks outlined in this PWS, the Contractor shall:

• Execute the work diligently and responsibly.

• Promptly advise the COR of all significant developments.

• Promptly furnish to the COR all written communications pertaining to the work under this contract received from other agencies, their Contractors, or other project Contractors.

6.3. Quality Control. The Contractor shall be responsible for quality control of its own work. The Corps will be responsible for quality assurance of the Contractor’s work.

6.4. Any problems, which endanger the fulfillment of contractual requirements, shall immediately be brought to the attention of the Corps in writing. Oral understandings shall be confirmed in writing by all parties.

7.0. INVOICES AND CONTRACT PAYMENTS:

Invoices for payment shall be submitted upon completion of tasks as outlined in the PWS. The Government shall pay the Contractor upon submission of proper invoices for services delivered and accepted for each task outlined in the contract. Payment shall be made upon completion of each Task as listed by the contract line item number (CLIN), not on percentage of completion.

8.0. PERIOD OF PERFORMANCE:

The Contractor shall commence the delivery and placement by July 15 and complete them by September 01 of each year. The delivery of road base and A/C will commence after completion of the gravel placement, but no later than June 30 of each year. Entire POP is 01 July 2020 – 30 June 2025.

9.0. AUTHORITIES:

The Contractor shall take no direction from any Government employee or any other person other than the Contracting Officer (KO) that changes the terms and conditions of this contract action, the scope, or any change that impacts the cost, price or schedule. Changes authorized by the KO will be in the form of a written, official, signed modification to the contract action received by the Contractor before the Contractor will act upon those changes. The Contractor will comply with the Changes clause of this contract when the contractor believes direction has been given from persons other than the KO that equate to a change by notifying the KO as directed by the clause. Any direction given by any Government employee or any other person outside their authority must be reported to the KO. COR is limited to the authorities stated in the COR appointment letters. If a COR is appointed under this contract, they will be appointed by written letter from the KO to the Contractor and COR specific to this contract only.

Performance Standard

RATING SYSTEM

If a deliverable as described in the QASP is rated as being of unsatisfactory quality at the time that the PMP deadline for the milestone/deliverable expires, the deliverable will automatically receive an unsatisfactory rating for timeliness. At no point will a milestone/deliverable receive an exceptional, very good, or satisfactory rating for timeliness if it is rated as being of unsatisfactory quality. Overall satisfactory performance on a milestone/deliverable requires ratings of satisfactory, very good or exceptional for the quality, timeliness, and safety standards.

SURVEILLANCE METHODOLOGY

The Government shall monitor the Contractor’s performance in all functional areas under this contract and reserve the right to use whatever additional surveillance procedures deemed appropriate. Contractor services shall be monitored using the random sampling method, the planned sampling method and/or 100% inspection method. The Government reserves the right to change or alter the type of inspection plan at its

One or more of the surveillance methods listed below will be used in the execution of this QASP:

100% Inspection - All key performances and deliverables will be evaluated through 100% inspection (e.g., on-site inspection, document review). The COR will document performance for each completed milestone/deliverable prior to payment, as described in the QASP.

Periodic, Random, Planned Inspection - At the COR’s discretion, periodic inspections may be conducted to evaluate progress toward and/or completion of key milestones and deliverables at any time. The COR may complete a periodic progress inspection if s/he believes that deficiencies exist that must be addressed prior to milestone/deliverable completion. While corrective action or re-performance will be required if necessary, the Contractor will not be financially penalized for unacceptable performance recorded in periodic progress reports, provided that final performance evaluation of the milestone/deliverable is deemed acceptable.

Visitor/Customer Feedback - Additional feedback will be obtained through random visitor/customer feedback. To be considered valid, input must set forth clearly and in writing and details nature of the feedback. The feedback must be signed, and be forwarded to the KO. The KO will maintain a summary log of all formally received customer feedback as well as a copy of each feedback in a documentation file.

SURVEILLANCE DOCUMENTATION

Quality Assurance Monitoring Form - The COR will use a performance evaluation form to record evaluation of the Contractor’s performance for each deliverable in accordance with the methodology described in this QASP. The COR must substantiate, through narratives in the form, all exceptional, very good, marginal, and unsatisfactory ratings.

Performance at the satisfactory level is expected from the Contractor. At a minimum, the evaluation form will indicate actual and scheduled delivery times and number of reviews required to achieve the final product. The COR will forward copies of all completed performance evaluation forms to the KO and Contractor within one week of performing the inspection.

Corrective Action Process - When a milestone/deliverable receives an overall marginal or unsatisfactory rating, the Contractor will explain, within 15 days, in writing to COR why performance was marginal or unsatisfactory, how performance will be returned to satisfactory levels, and how recurrence of the problem will be prevented in the future.

Inspection of Services outlined in FAR 52.246-5 will apply: The contractor shall develop a plan for recovery. Continuous review until performance is satisfactory or better. Elevate to higher level of contract management if actions fail to result in improvement. If the acceptable quality level falls below Satisfactory, additional option years may not be exercised.

KO Role in the Surveillance Process - The KO will review each performance evaluation form prepared by the COR.

When appropriate, the KO may investigate further to determine if all the facts and circumstances surrounding the event were considered in the COR opinions outlined on the form. The KO will immediately discuss any marginal or unsatisfactory rating with the Contractor to assure that corrective action is promptly initiated.

Annual Performance Assessment - At the end of every year, the COR will prepare a written Contractor Performance Assessment Report (CPAR) for the KO summarizing the overall results of his/her surveillance of the Contractor’s performance during the previous 12 months. This report will become part of the formal QA documentation.

QA File - The COR will maintain a complete QA file. This file will contain copies of all performance evaluation forms and any other related documentation. The COR will forward these records to the KO at termination or completion of the contract. All performance assessment forms, attachments and working papers must be marked “FOR OFFICIAL

USE ONLY/SOURCE SELECTION INFORMATION - SEE FAR 2.101

AND 3.104” according to Freedom of Information Act Program, FAR 3.104, and 41 USC Sect. 423. Assessment reports may also contain information that is proprietary to the contractor. Information contained on the CPAR, such as trade secrets and protected commercial or financial data obtained from the contractor in confidence, must be protected from unauthorized disclosure. COR’s shall annotate on the assessment report if it contains material that is a trade secret, etc., to ensure that future readers of the evaluations are informed and will protect as required. Contractor performance information is privileged source selection information. It is also protected by the Privacy Act and is not releasable under the Freedom of Information Act.

PAYMENT AND CORRECTIVE ACTION

Satisfactory Performance - Full payment for a milestone/deliverable will be provided upon verification of overall satisfactory performance, as rated on quality and schedule. This verification will be recorded in a performance evaluation form submitted to the KO specifying overall Contractor performance as satisfactory, very good, or exceptional for the milestone/deliverable.

Marginal or Unsatisfactory Performance - If a milestone/deliverable receives a marginal or unsatisfactory rating for the quality performance standard, re-performance is required until the milestone/deliverable receives a rating of satisfactory or better. This re-performance is required regardless of cost or schedule constraints that may result from the marginal or unsatisfactory performance, unless the KO has opted to terminate the contract. If a rating of satisfactory or better is not achieved, the Government may reduce the contract price to reflect the reduced value of the services in accordance with FAR 52.246-4(e).

A Quality Assurance Monitoring Form has been attached to provide a sample of the minimum key elements planned for the QASP.

Additional Government surveillance activities may include, but are not limited to, the following:

• Work plan review and approval

• Participation in Technical Project Planning (or equivalent) sessions

REQUIRED INSURANCE

(a) As required by the Contract Clause entitled "Insurance—Work on a Government Installation", the Contractor shall furnish to the Contracting Officer, prior to the commencement of work, a certificate or written statement as evidence of the minimum insurance listed below. The Contractor shall procure and maintain such types and amounts of insurance during the entire period of his performance under this contract. The Contractor shall assure that the certificate or written statement is in accordance with required wording indicated in paragraph b of the aforementioned Contract Clause.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
