(a) Definitions. As used in this clause-
Long-term contract means a contract of more than five years in duration, including options.
However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.
Small business concern-
(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause.
(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.
(b) If the Contractor represented that it was a small business concern, a small disadvantaged business concern, or a joint venture that was any of the small business concerns identified in 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon occurrence of any of the following:
(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.
(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.
(3) For long-term contracts-
(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and
(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.
(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code(s) assigned to this contract. The small business size standard corresponding to this NAICS code(s) can be found at https://www.sba.gov /document/support--table-size-standards.
(d) The small business size standard for a Contractor providing an end item that it does not manufacture, process, or produce itself, for a contract other than a construction or service contract, is 500 employees, or 150 employees for information technology value-added resellers under NAICS code 541519, if the acquisition-
(1) Was set aside for small business and has a value above the simplified acquisition threshold;
(2) Used the HUBZone price evaluation preference regardless of dollar value, unless the Contractor waived the price evaluation preference; or
(3) Was an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.
(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation(s) required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting officer in writing within the timeframes specified in paragraph (b) of this clause, that the data have been validated or updated, and provide the date of the validation or update.
(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.
(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

*See Addendum*
(b) Options (if applicable). The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. 52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following shall be used to evaluate quotes:
1. GENERAL SUBMISSION REQUIREMENTS:
The quote shall be submitted via electronic copy as set forth below. Vendors are responsible for including sufficient details to permit a complete and accurate evaluation. Proprietary information shall be clearly marked. The submission shall be clearly indexed and logically assembled. Submissions must set forth full, accurate, and complete information as required by this solicitation. Absence of information will be deemed as if no support for that criterion was provided.
Vendors should limit submission to data essential for evaluation. Penalty for making false statements in quotes is prescribed in 18 U.S.C. 1001.
FILE REQUIREMENTS
File format - The electronic copy shall be in Portable Document Format (PDF), filename extension: “.pdf” and suitable for viewing in Adobe Reader.
Bookmarks – The electronic copy shall be bookmarked. Additional bookmarks may be provided but shall be nested under the appropriate tab bookmark.
Hyperlinks - Hyperlinks in the electronic copy are not permitted. This includes hyperlinks within the document, such as Figure or Table references to the page containing that content and hyperlinks to websites.
Attachments - Attachments to the electronic copy are not permitted.
2. EVALUATION FACTORS, EVALUATION CRITERIA, AND BASIS OF AWARD
The Government will award a contract resulting from this solicitation to the responsible vendor whose quote represents the most advantageous to the Government, price and other factors considered. Using simplified acquisition procedures, the Government will evaluate each quote in accordance with the following evaluation criteria:
Factor 1 – Understanding the Performance Work Statement (PWS) Factor 2 – Key Personnel & Staffing Factor 3 – Prior Demonstrated Experience Factor 4 – Price
The non-price factors, when combined, are significantly more important than price. Evaluations will be based solely on the information included in the quote, so vendors are advised to present their best upon initial submission.
FACTOR 1. UNDERSTANDING THE PERFORMANCE WORK STATEMENT (PWS)
Submission Requirements: The vendor shall submit a technical approach that demonstrates it fully understands the requirements and tasks laid out in the PWS.
Evaluation Criteria: The Government will evaluate the vendor’s submission based on their demonstrated understanding of the objectives in the PWS and planned execution of the project and will be assigned a confidence rating. The following elements will be evaluated:
a. The manner in which the vendor proposes to plan, manage, control, and provide the required services and deliverables;
b. The extent to which the vendor understands any problems, issues, constraints, organizations and system(s) involved; and
c. The methodologies proposed to ensure successful accomplishment of the work.
FACTOR 2. KEY PERSONNEL & STAFFING
Submission Requirements: The vendor shall provide resumes for the Project Manager and any other person on its staff being committed to this contract. Each resume should clearly demonstrate how each staff member meets contract requirements and whether they are employed to the prime contractor or a major subcontractor. The staffing plan shall provide an organizational outline and describe the manner in which the vendor intends to recruit, hire, retain and develop qualified staff.
Evaluation Criteria: The Government will assess the extent to which the vendor identifies and commits Key Personnel with appropriate experience and qualifications, its ability to recruit, hire and retain and develop qualified staff, and will be assigned a confidence rating.
a. Resumes will be evaluated based on the currency, quality and depth of experience of individual personnel working on similar projects (size, scope, magnitude, duration, and complexity); and
b. The staffing plan will be evaluated based on the strength of the certification training process that personnel receive, maintenance of professional credentials, and the continuing learning opportunities available to its personnel.
FACTOR 3. PRIOR DEMONSTRATED EXPERIENCE
Submission Requirement: The vendor shall identify three (3) previous or current contracts that are most similar in size, scope, and complexity to the work of this acquisition to demonstrate its experience to perform this work. This should be the vendor’s own experience as a prime or subcontractor; experience from a proposed subcontractor shall not be submitted.
Evaluation Criteria: The Government will assess its confidence that the vendor will successfully perform the work by evaluating the demonstrated experience from three contracts/orders performed within the past five (5) years (from the date of this RFQ release). Relevancy of the submitted experience versus the work outlined in the PWS will be taken into consideration.
FACTOR 4. PRICE
The Government will perform a price analysis after completion of technical evaluations. Price analysis will be performed to determine completeness, fairness, and reasonableness. The evaluation will determine the adequacy of the quote in fulfilling the requirements of the solicitation. Completeness addresses the extent to which the elements of the price quote are consistent with the requirements of the solicitation. Reasonableness will be established using historical price information, price competition information, the Independent Government Estimate (IGE), and any other pricing tools necessary. Price will not be rated but will be a factor in making the final decision for award.
BASIS OF AWARD
Rating Adjectives: All vendors will be rated using the adjectives listed in the chart below for Factors 1) Understanding the Performance Work Statement (PWS), 2) Key Personnel & Staffing, and 3) Prior Demonstrated Experience.
Confidence Ratings
High Confidence The Government has high confidence that the vendor understands the requirement, proposes a sound approach, and will be successful in performing the contract with little or no Government intervention.
Some Confidence The Government has some confidence that the vendor understands the requirement, proposes a sound approach, and will be successful in performing the contract with some Government intervention.
Low Confidence The Government has low confidence that the vendor understands the requirement, proposes a sound approach, or will be successful in performing the contract even with Government intervention.
Technical Evaluation Weights
Factor/Subfactor Description Relative Importance
FACTOR 1 Understanding the Performance Work Statement (PWS) Equal in importance to Factor 2 and Factor 3
FACTOR 2 Key Personnel & Staffing Equal in importance to Factor 1 and Factor 3
FACTOR 3 Prior Demonstrated Experience Equal in importance to factor 1 and Factor 2
The Government will award a contract resulting from this solicitation to the responsible vendor whose quote represents the most advantageous to the Government, price and other factors considered, using simplified acquisition procedures.
The non-price factors, when combined, are significantly more important than price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
