Combined Synopsis/Solicitation Number: W912HQ21R0003 – Request for Offers

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format FAR 12.603 – Streamlined Solicitation for Commercial Items, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation. Offers are being requested and a written solicitation will not be issued. This solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2021-03, dated 16 February 2021.

This requirement is for a full and open competition under North American Industry Classification System (NAICS) code 611710, “Educational Support Services”. The size standard for this NAICS code is $16.5M.

Description: This requirement is a Firm-Fixed-Price (FFP) Single Award Task Order Contract (SATOC) for academic training services in support of U.S. Army Prime Power School (USAPPS). The period of performance will be for five years. The academic courses in the class consist of the following modules: Mathematics, Applied Physical Concepts, Mechanical System Engineering, and Electrical System Engineering. The content for the modules has already been developed (see Attachment A for the Program of Instruction (POI)), and this requirement is only for facilitator(s)/lecturer(s).

The contractor must provide qualified adjunct instructors/professors to instruct classes. Each class will have an optimum student load of twenty-four (24) students, with the option to add additional students up to a maximum of thirty-five (35); however, the size of the class will be based on the needs of the military. The normal instructional weeks are Monday through Friday except federal holidays. The normal instructional day is from 0730 hours to 1630 hours with one hour lunch break. The daily training cycle is fifty (50) minutes of training with a ten (10) minute break per hour. The contractor must provide qualified adjunct instructors/professors to perform reinforcement training for students having trouble with course materials and instruction. The contractor must provide qualified adjunct instructors/professors to perform POI development and maintenance of subject areas. All course materials developed during this time are property of the government. The contractor must provide an AAR of the instructed class and materials used to identify areas of success, improvement or change.

The ordering period for the SATOC will be from 26 April 2021 through 25 April 2026, and the minimum guarantee will be satisfied by the first task order, which will be awarded at the same time as the SATOC. Any Other Direct Costs (ODC) and travel will be negotiated prior to issuance of individual task orders. The period of performance for the first task order, which will be awarded at the same time as the SATOC, will be from 26 April 2021 to 9 May 2022 and include three classes.

SATOC Contract Line Items: This requirement and associated contract line item numbers (CLIN) are provided in the attached excel spreadsheet.

CLIN Structure Note: For the “Academic Course Instruction”, “Reinforcement Training”, and “POI Maintenance” CLINs (x001, x002, and x003), propose rates for each contract year. When a task order is awarded from the SATOC, the rates in effect at the task order award date will be used. For example, if a task order is awarded on 30 May 2024, contact year four rates would be used for any “Academic Course Instruction”, “Reinforcement Training”, or “POI Maintenance” CLINs included in the task order since the award date is between 26 April 2024 and 25 April

2025. The total values for the “ODCs and Material” and “Travel” CLINs (x004 and x005) will be negotiated prior to issuance of individual task orders.

Basis for award: The Government will award a contract resulting from this combined synopsis/solicitation based on the tradeoff/best value analysis of responsible offers whose service meets the requirements as listed in the performance work statement.

Offerors must submit the following documents for this solicitation:

1. Price proposal using CLIN structure in the excel attachment;

2. A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

3. Resumes for all proposed adjunct instructors/professors;

4. Evidence of the offeror’s regional accreditation;

5. Past performance information, to include a list of recent and relevant contracts/subcontracts (five max) for the same or similar items and completed Performance Assessment Questionnaires (including contract numbers, points of contact with telephone numbers and other relevant information) for each listed contract/subcontract;

6. Include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration;

7. Completed provisions (as applicable), including Federal Acquisition Regulation (FAR) provisions 52.204-24, “Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment”, and 52.204-26, “Covered Telecommunications Equipment or Services-Representation”.

Offerors are required to be actively registered with the System for Award Management (SAM) at www.sam.gov prior to award. Offerors are highly encouraged to download and review all attachments to this solicitation prior to submitting an offer.

Ordering Period, First Task Order Period of Performance, and Place of Performance:

Performance or Delivery shall take place at: USAPPS at Fort Leonard Wood, MO 65473. An additional one–two weeks after the last day of class instruction will be included in the period of performance for task orders to complete administrative items, such as transcripts and graduations ceremonies.

Date, Time, and Place Offers are Due: The closing date for the delivery of a response to this combined synopsis/solicitation is on or before 1:00 pm Eastern Time (ET), on 16 March 2021.

All clarification requests/questions regarding this solicitation are due by 1:00 pm ET, on 26 February 2021. Offers and clarification requests/questions shall be e-mailed to the Point of Contact (POC) shown below by the closing date and time. It is the offeror’s responsibility to ensure that the email transmission is received by the Government prior to the closing date and time. PERFORMANCE WORK STATEMENT (PWS)

USAPPS Outsourcing 12P course Modules B through E

1.0 Introduction

The contractor shall provide all personnel, equipment, tools, materials, supervision, other items, and non-personnel services necessary to perform development and delivery of training, exercises and other technical and administrative support services as defined in this PWS except as specified in government-furnished property and services at Fort Leonard Wood, Missouri.

1.1 Background

The United States Army Prime Power School (USAPPS) trains military personnel in the deployment, installation, operations, and maintenance of the Army's Prime Power Program (P3) power generation and distribution assets in support of theater commanders under the provisions of ATP 3-34.45, Electric Power Generation and Distribution. The students attending this training are Navy Seabees, Army Reserves and reclassifying Active Army soldiers. The focus of this training is to prepare the students to install, operate and maintain medium and low voltage electrical power generation and distribution equipment for the military. This training prepares the students to be analytical problem solvers in a field that is complex and dangerous. The students must be prepared to read and interpret manufacturer literature and develop a repair solution for the issues encountered.

The Program of Instruction (POI) for the 12P course has fourteen modules for training that last eight months. The course is divided into two parts that are four months each. The USAPPS currently outsources modules B through E (Academics Training Part) to an academic university.

This outsourcing includes modules on Mathematics, Applied Physical Concepts, Mechanical System Engineering, and Electrical System Engineering. The POI for these modules are available in Attachment A - Program of Instruction. The POI components, which include lesson plans, examinations, student handouts, student evaluation plans, course management plan, homework, quizzes and practical exercises, have already been developed. The duration of one training cycle is 525 hours, including administrative hours. The hours allocated for each module are as follows: 74 hours of Mathematics, 98 hours of Applied Physical Concepts, 129 hours of Mechanical System Engineering, and 174 hours of Electrical System Engineering. Study time is not included in these hours. There are 50 hours allotted to administrative / study time.

1.2 Scope

The contractor must provide qualified adjunct instructors/professors to instruct classes. Each class will have an optimum student load of twenty-four (24) students, with the option to add additional students up to a maximum of thirty-five (35); however, the size of the class will be based on the needs of the military. The normal instructional weeks are Monday through Friday except federal holidays. The normal instructional day is from 0730 hours to 1630 hours with one hour lunch break. The daily training cycle is fifty (50) minutes of training with a ten (10) minute break per hour. The contractor must provide qualified adjunct instructors/professors to perform reinforcement training for students having trouble with course materials and instruction. The contractor must provide qualified adjunct instructors/professors to perform POI development and maintenance of subject areas. All course materials developed during this time are property of the government. The contractor must provide an AAR of the instructed class and materials used to identify areas of success, improvement or change.

2.0 General Requirements

This section describes the general requirements for this effort. The following sub-sections provide details of various considerations on this effort

2.1 Non-Personal Services

The Government shall neither supervise contractor employees nor control the method by which the contractor performs the required tasks. Under no circumstances shall the Government assign tasks to, or prepare work schedules for, individual contractor employees. It shall be the responsibility of the contractor to manage its employees and to guard against any actions that are of the nature of personal services, or give the perception of personal services. If the contractor believes that any actions constitute, or are perceived to constitute personal services, it shall be the contractor's responsibility to notify the Procuring Contracting Officer (PCO) immediately.

2.2 Business Relations

The contractor shall successfully integrate and coordinate all activity needed to execute the requirement. The contractor shall manage the timeliness, completeness, and quality of problem identification. The contractor shall provide corrective action plans, proposal submittals, timely identification of issues, and effective management of subcontractors. The contractor shall seek to ensure customer satisfaction and professional and ethical behavior of all contractor personnel.

2.3 Contract Administration and Management

The following subsections specify requirements for contract, management, and personnel administration.

2.3.1 Contract Management

The contractor shall establish clear organizational lines of authority and responsibility to ensure effective management of the resources assigned to the requirement. The contractor shall provide these details to the Government.

2.3.2 Contract Administration

The contractor shall establish processes and assign appropriate resources to effectively administer the requirement. The contractor shall respond to Government requests for contractual actions in a timely fashion. The contractor shall have a single point of contact between the Government and Contractor personnel assigned to support contracts or task orders.

2.3.3 Personnel Administration

The contractor shall provide the following management and support as required. The contractor shall maintain the currency of their employees by providing initial and refresher training as required to meet the PWS requirements. The contractor shall provide administrative support to employees in a timely fashion (time keeping, leave processing, pay, emergency needs).

2.4 Period of Performance

The period of performance for this contract will be five years from date of award.

2.5 Place of Performance and Hours of Operation

The contractor is responsible for conducting training at Building 12630 FLW 28, Fort Leonard Wood, Missouri, between the hours of 0730 hours and 1630 hours, Monday through Friday except federal holidays or when the government facility is closed due to local or national emergencies, administrative closings, or similar government-directed facility closings. The contractor must at all times maintain an adequate work force for the uninterrupted performance of all tasks defined within this PWS when the government facility is not closed for the above reasons. When hiring personnel, the contractor shall keep in mind that the stability and continuity of the work force are essential.

2.6 Recognized Holidays

The Federal holidays observed are:

New Year’s Day Labor Day Martin Luther King Jr Day Columbus Day Presidents Day Veterans Day Memorial Day Thanksgiving Day Independence Day Christmas Day

When one of the above designated holidays falls on a Sunday, the following Monday is observed as a legal holiday. When a legal holiday falls on a Saturday, the preceding Friday is observed as a holiday. Work shall be scheduled around the above listed Federal holidays except as specified herein or as approved by the COR.

2.7 Accreditation

The contractor shall maintain accreditation in the in the subjects of Mathematics, Applied Physical Concepts, Mechanical System Engineering, and Electrical System Engineering. If, at any time throughout the duration of this contract, the contractor loses accreditation in any of these areas, the Contracting Officer and COR shall be notified within 2 days.

2.8 Contractor Personnel, Disciplines, and Specialties

The contractor shall accomplish the assigned work by employing and utilizing qualified adjunct instructors/professors with appropriate combinations of education, training, and experience. In order to be considered a qualified adjunct instructors/professor, the personnel must possess, at a minimum, the skills and proficiencies listed below.

2.8.1 Writing / Editing Abilities

Adjunct instructors/professors shall have basic writing and editing abilities in order to prepare both technical and non-technical documentation; the ability to demonstrate a complete understanding of grammatical standards for writing or updating course material; extensive experience in the document review process, to include draft reviews, reviewing comments, comment resolution, draft updating, final document development, and the ability to check references for accuracy; and, the ability to conduct research to obtain information needed to write and/or edit specific reports.

2.8.2 Develop Materials

Adjunct instructors/professors shall have the basic ability to develop materials in both electronic and hard copy format.

2.8.3 Business / Educational Software

Adjunct instructors/professors shall have basic abilities to use business and educational software that includes, but is not limited to, Microsoft Work, Excel, Outlook, Blackboard, etc.

2.8.4 Education

Adjunct instructors/professors shall have the appropriate educational background required to teach a college level course.

2.8.5 Experience

Adjunct instructors/professors shall have at minimum a Master’s Degree in an engineering science, teaching experience of three (3) years, and shall have experience, teaching and/or work, within the modules listed in Section 1.1 of the PWS and further defined in the POI.

3 Performance Requirements

The following section specifies the Performance Objectives and Performance Elements for the contract.

3.1 12P Academics Course Instruction

3.1.1 The contractor shall provide qualified adjunct instructors / professors.

The contractor shall provide the names of the instructors/professors for each module along with a letter of certification for each. The letter of certification shall state that the instructors / professors are qualified to teach the required material. The contractor shall make every possible effort to maintain the same instructor / professor throughout the duration of each module.

The letters of certification will be required to be provided to USACE electronically within three

(3) business days after the award of each task order for 12P Academics Course Instruction. A new letter will not be required if one is already on file from a previous task order under this contract.

3.1.2 The contractor shall instruct classes consisting of four modules for each class.

The contractor shall provide qualified adjunct instructors / professors to instruct existing materials contained in the POI in a manner than the students can comprehend to practice the theory, and demonstrate a mastery of material through written lab reports, homework questions, problem solving exercises, and tests. The modules and the allotted number of instructional hours per module are listed in Section 1.1 of the PWS and defined in the POI.

Each class will have an optimum student load of twenty-four (24) students. The actual size of the class will be based on the needs of the military. Annual training quotas will determine the number of classes conducted. In the event that a class is not conducted, POI Maintenance may be required by the Government during the period.

The normal instructional weeks are Monday through Friday except federal holidays. The normal instructional day is from 0730 hours to 1630 hours with a one hour lunch break. The daily training cycle is fifty (50) minutes of training with ten (10) minute breaks per hour.

3.1.2.1 Classroom Setup.

The contractor shall ensure that course material, equipment, training aids, lights, and climate control are working and available prior to class start time. If any issues are apparent, inform the academics branch chief.

3.1.2.2 Issuance of Course Materials.

The contractor shall ensure course materials provided by the Government are distributed to students. This includes textbooks, student advance sheets, student handouts, calculators, pens, pencils and writing tablets. Coordinate with the Government to ensure all Textbooks and calculators will be signed out to students on the Department of Army (DA) Form 2062 and retrieved when module is complete.

3.1.2.3 Facility Orientation.

The contractor shall provide students with orientation of facility so students will know where training aids and equipment used to support practical exercises are secured.

3.1.2.4 Instructor Podium and Visitor Desk Setup.

The contractor will ensure that a lesson plan and the required equipment is available for use in the classroom / lab for the current lesson being trained. The contractor will also ensure that the visitor desk is set up and has all the support documents required by the standing operating procedures for a visitor’s desk. The support documents will be provided by the Government.

3.1.2.5 Course Material Presentation.

The contractor shall be prepared to train course materials each day, starting the trainings on time as indicated on the training schedule. The contractor shall check for student understanding of material and clarify any misunderstandings. The contractor shall be available to answer questions during breaks.

3.1.2.6 Perform Practical Exercises.

The contractor shall explain the required steps to students so they can successfully perform the practical exercises. If necessary, the contractor shall provide a safety brief and demonstrate procedures (including exit procedures, location of safety equipment, emergency numbers, and assembly area for accountability) prior to starting the practical exercises.

3.1.2.7 Administer, Monitor, and Grade Evaluated Course Event.

The contractor will administer, monitor, and grade the evaluated events that occur within each module. The contractor will provide feedback to students on the graded event within 24 hours and record the raw score on data sheet and provide it to the academic Branch Chief within 48 hours of the graded event.

3.1.2.8 Maintain Control and Security of Course Material.

The contractor shall ensure all course material issued to students is returned and secured and that test booklets are checked for stray marks and writing in the booklet.

3.1.2.9 Facility Security.

The contractor shall conduct an inventory of classroom equipment, turn off unnecessary lights, and reset environmental controls if required and secure the room when not used for training or at the end of the training day.

3.1.3 The contractor shall prepare and submit After Action Reports (AAR).

An AAR will be created at the end of each module and shall include a professional discussion on events, focused on performance standards, which enable the Government to discover what happened, why it happened, and how to sustain strengths and improve upon weaknesses for the module. The AAR shall clearly identify the areas of success, improvement and/or change.

The AARs will be required to be provided to USACE electronically within ten (10) business days after the end of each module.

3.1.4 The contractor shall award college credits and transcripts upon successful completion of the set of modules.

College credits must be recognized by regional accredited academic institutions and/or Service-members Opportunity Colleges. The college credits will be based on and supported by the contractor’s assessment and recommendation from the provided POI content for each module as outlined in Section 4.2 of the PWS. Transcripts shall be made available to students upon request.

3.2 Reinforcement Training

3.2.1 The contractor shall, as needed, provide reinforcement training to students having trouble with materials and instruction from any of the four modules being taught. This additional training will be for one or more individuals (up to the class size). Contractor shall put in place procedures to ensure the Government is informed of the number of hours expended on this task in a timely manner.

3.3 POI Maintenance

3.3.1 The contractor shall update the POI for each of the four modules as needed.

Updates may be required upon recommendation from instructor / professor and approval from Government or at the request of the Government. This may include updates to the lessons plans, handouts, exams, etc. Contractor shall put in place procedures to ensure the Government is informed of the number of hours expended on this task in a timely manner.

3.4 Program/Project Management.

3.4.1 The Contractor shall participate in meetings for program/project management as deemed necessary by either party.

Meetings may be held virtually and/or at the Prime Power School in Fort Leonard Wood, MO.

The Contracting Officer, COR, and other government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings, the Contracting Officer may apprise the contractor of how the government views the contractor's performance, and the contractor may apprise the government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the government.

3.4.2 The Contractor shall provide program/project management for work assigned.

Program management will include a single POC with contracting authority along with an alternate. The Contractor must have the ability to hire and retain personnel associated with work assigned.

3.4.3 The Contractor shall ensure contractor employees identify themselves as such.

All contract personnel attending meetings, answering government telephones, and working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are government officials. They must also ensure all documents or reports produced by contractors are suitably marked as contractor products or that contractor participation is appropriately disclosed.

4 Special Requirements

This section describes the special requirements for this effort. The following sub-sections provide details of various considerations on this effort.

4.1 Quality

This section describes the Quality Control components for this effort. The following sub-sections provide details of various considerations on this effort.

4.1.1 Quality Control

The contractor shall develop and maintain an effective quality control plan (QCP) and maintain an effective quality control program to ensure services are performed in accordance with the IDIQ and this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor's QCP is the means to assure work complies with the requirement of the contract.

The finalized QCP will be delivered for concurrence to the Government no later than 30 days after date of the contract award. The Contracting Officer may notify the contractor of required modifications to the plan during the period of performance. The contractor then shall coordinate suggested modifications and obtain acceptance of the plan by the Contracting Officer. Any modifications to the program during the period of performance shall be provided to the Contracting Officer for review no later than 10 working days prior to effective date of the change.

The QCP shall be subject to the Government’s review and approval. The Government may find the QCP "unacceptable" whenever the contractor’s procedures do not accomplish quality control objective(s). The contractor shall revise the QCP within 10 working days from receipt of notice that QCP is found "unacceptable."

4.1.2 Quality Assurance Surveillance Plan (QASP)

The government shall monitor the contractor's performance under this contract in accordance with the Government’s QASP. This may be accomplished by using an Instructor Observation rubric (sample available), student course evaluations, and other methods.

4.2 Module Credits

Upon award of the contract, the contractor shall review the POI content and inform the Government as to how many credits will be awarded per module. This shall be provided 15 business days before the start of the first class.

4.3 Security requirements

4.3.1 Physical security

The contractor shall be responsible for safeguarding all government property provided for contractor use. At the close of each work period, government facilities, equipment, and materials shall be secured.

All contractor employees, to include subcontractor employees, requiring access to Army installations, facilities, controlled access areas, or require network access, shall complete AT Level I awareness training within 30 calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable. Upon request, the contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee, to the COR or to the contracting officer (if a COR is not assigned), within 5 calendar days after completion of training by all employees and subcontractor personnel. AT Level I awareness training is available at the following website:

All contractor and all associated sub-contractors employees shall comply with applicable installation, facility and area Commander installation/facility access and local security policies and procedures (provided by government representative). The contractor shall also provide all information required for background checks to meet installation/facility access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office. Contractor workforce must comply with all personal identity verification requirements (FAR clause 52.204-9, Personal Identity Verification of Contractor Personnel) as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any installation or facility change, the Government may require changes in contractor security matters or processes.

The contractor and all associated sub-contractors shall receive a brief/training (provided by the RA) on the local suspicious activity reporting program. This locally developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the project manager, security representative or law enforcement entity.

This training shall be completed within 30 calendar days of contract award and within 30 calendar days of new employees commencing performance with the results reported to the COR NLT 5 calendar days after the completion of the training.

4.3.2 Key control

The contractor shall establish and implement methods of making sure all keys/key cards issued to the contractor by the government are not lost or misplaced and are not used by unauthorized persons. No keys issued to the contractor by the government shall be duplicated. The contractor shall develop procedures covering key control that shall be included in the QC plan. Such procedures shall include turn-in of any issued keys by personnel who no longer require access to locked areas. The contractor shall immediately report any occurrences of lost or duplicate keys to the KO.

4.3.2.1 Lost Keys.

In the event keys other than master keys are lost or duplicated, the contractor shall notify the COR at the USAPPS for re-key or replacement of the affected lock or locks. However, the government, at its option, may deduct the cost of replacement of the affected lock or locks or perform re-keying from the payment due the contractor. In the even a master key is lost or duplicated, all locks and keys for that system shall be replaced by the government and the total cost deducted from the next payment due the contractor.

4.3.2.2 Key Usage.

The contractor shall prohibit the use of government-issued keys by any persons other than the contractor's employees. The contractor shall prohibit the opening of locked areas by contractor employees to permit entrance of persons other than contractor employees engaged in the performance of assigned work in those areas or personnel authorized entrance by the KO.

4.3.3 Adjunct Instructors/Professors Security Requirements

4.3.3.1 Credentials.

Adjunct instructors/professors must possess the credential required to enter a military installation. This may require registering the vehicle with the visitor processing center and submitting to vehicle inspections. A security clearance is not required in performance of duty but the contractor must be issued a common access card (CAC) to access the assigned computer.

The contractor will get assistance from the USAPPS cadre to accomplish this requirement.

The contractor and all sub-contractors employees will be issued a CAC only if duties involve one of the following: (1) Both physical access to a DoD facility and access, via logon, to DoD networks on-site or remotely; (2) Remote access, via logon, to a DoD network using DoD-approved remote access procedures; or (3) Physical access to multiple DoD facilities or multiple non-DoD federally controlled facilities on behalf of the DoD on a recurring basis for a period of 6 months or more. At the discretion of the sponsoring activity, an interim CAC may be issued based on a favorable review of the FBI fingerprint check and a successfully scheduled NACI at the Office of Personnel Management.

4.3.3.2 Disclosure of Information.

Adjunct instructors/professors must understand and secure information outlined in the “Disclosure of Information”. Information made available to the contractor by the Government for the performance or administration of this effort shall be used only for those purposes and shall not be used in any other way without the written agreement of the Contracting Officer. The contractor agrees to assume responsibility for protecting the confidentiality of Government records, which are not public information. Each contractor or employee of the contractor to whom information may be made available or disclosed shall be notified in writing by the contractor that such information may be disclosed only for a purpose and to the extent authorized herein.

4.3.3.3 Data and IT Security.

Adjunct instructors/professors must understand, secure and perform “Data and IT Security”. The USAPPS will provide all IT requirements to support training and security storage containers for course materials. The adjunct instructors/professors are responsible for their action in use of the IT assets and the securing of storage containers. The shredding and destroying of course materials is the responsibility of the USAPPS.

All contractor employees and associated sub-contractor employees must complete the DoD IA awareness training before issuance of network access and annually thereafter. All contractor employees working IA/IT functions must comply with DoD and Army training requirements in DoDD 8570.01, DoD 8570.01-M and AR 25-2 within six months of employment.

4.4 Government Furnished Documents / Services

The government shall provide the facilities, utilities, equipment and/or materials as listed below.

4.4.1 Facilities

The government will furnish the necessary workspace for the contractor staff to provide the support outlined in the PWS to include desk spaces, telephones, computers, and other items necessary to maintain an office environment in Building 12630 for the length of the PWS.

4.4.2 Utilities

All utilities in the facility will be available for the contractor’s use in performance of duties outlined in this PWS. The contractor shall instruct employees in utilities conservation practices.

The Contractor shall be responsible for operating under conditions that prelude the waste of utilities.

4.4.3 Equipment and materials

The government will provide all equipment requirements to instruct the course outlined in the

POI.

4.4.4 Contracting Officer’s Representative (COR)

The COR monitors all technical aspects of the contract and assists in contract administration.

The COR is authorized to perform the following functions: assure the contractor performs the technical requirements of the contract; perform inspections necessary in connection with contract performance; maintain written and oral communications with the contractor concerning technical aspects of the contract; issue written interpretations of technical requirements, including government drawings, designs, and specifications; monitor contractor's performance and notify both the KO and contractor of any deficiencies; coordinate availability of government-furnished property; and provide site-entry of contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates, or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

5 Deliverables

The contractor shall provide deliverables as described in subsequent task orders. Deliverables shall be specified by the government. Format and delivery schedule for deliverables are outlined as stated in the applicable section of the PWS.

52.216-18 ORDERING. (AUG 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from the date of award through five years after the date of award.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when--

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either--

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor -

(1) Any order for a single item in excess of $2,010,990;

(2) Any order for a combination of items in excess of $2,010,990; or

(3) A series of orders from the same ordering office within five years that together call for quantities exceeding the limitation in paragraph (b) (1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection

52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within three days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 INDEFINITE QUANTITY. (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period;

provided, that the Contractor shall not be required to make any deliveries under this contract after April 25, 2026.

52.212-2 EVALUATION--COMMERCIAL ITEMS
