This is a combined synopsis/solicitation for commercial items prepared in accordance with the Federal Acquisition Regulation (FAR) format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation;
proposals are being requested and a written solicitation will not be issued. The solicitation is being issued in conjunction with FAR PART 13.106. The solicitation number is FDA_21-223- 1242475. This solicitation is issued as a Request for Quote (RFQ).
The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2021-05, March 10, 2021.
The associated North American Industry Classification System (NAICS) Code is- 811219 - Other Electronic and Precision Equipment Repair and Maintenance; with a Small Business Size standard $20.5 million. This requirement is being competed unrestricted and made available to Full and Open competition, meaning any qualified vendor regardless of size status may submit a quote.

Statement of Need:
The U.S. Food and Drug Administration (FDA), Center for Biologics Evaluation and Research (CBER), Division of Viral Products (DVP), requires a Maintenance Service Agreement for a Leica STELLARIS 5 LIAchroic Confocal System to ensure reliable continued and uninterrupted performance.
Background:
FDA/CBER/DVP) conducts research on several important vector-borne viral pathogens, including Dengue, Zika, and West Nile viruses, as well as human coronaviruses. DVP frequently perform imaging analyses on virus infected cells, tissues, and organoids with various thickness.
To accomplish these research objectives more efficaciously, DVP obtained a Stellaris 5 LIAchroic Confocal System from Leica identified by Serial Number: 8200000156
The Leica Stellaris 5 LIAchroic Confocal System is currently covered under manufacturer’s warranty which expires July 29, 2021 facilitating the requirement for a post-warranty maintenance service agreement.
Minimum Technical Requirements:
• All maintenance and repair activities shall be performed by formally trained and certified technicians/engineers. All repairs and PM services shall be performed following Original Equipment Manufacturer (OEM specifications, manuals, and service bulletins, using OEM replacement parts, components, subassemblies, etc.

• Proposed pricing shall provide unlimited repair, Preventive Maintenance service(s) inclusive of shipping, labor, travel, replacement parts, components, subassemblies, etc.
• The PM Service plan shall provide at least one (1) on-site visit per year to include one purge filter for Mai-Tai System per contract year and one purge filter for Insight System every two contract years.
• If any parts could not be repaired on-site, shipping arrangements for material (e.g., crates) must be provided without extra cost
• For any parts that failed to be repaired on-site, the provider shall provide a loaner system or components until all our repairs are complete without limitation of loaner time, within five business days.
• Contractor shall provide corrective/remedial repair visits within 3-5 business days of call for service (for issues that can’t be resolved remotely via phone or Internet).
• The Contractor shall provide unlimited technical support Mondays – Fridays (excluding Federal Holidays) between the hours of 8:00 AM - 5:00 PM Eastern Time and shall begin working on a solution to the problem within 8 business hours of contact for assistance.
(e.g., telephone-based, email-based, website-based, etc.)
• The service plan shall include access to OEM technical developments, repair procedure bulletins, and unlimited software, firmware, and application updates.
• Deliverables: Service Records and Reports The Contractor shall, commensurate with the completion of each service call or preventative maintenance visit, provide the end-user of the equipment and the Contracting Officer with a copy of a field service report/ticket identifying the equipment name, manufacturer, model number, and serial number of the equipment being serviced/repaired and detailing the reason for the service call, a detailed description of the work performed, the test instruments or other equipment used to affect the repair or otherwise perform the service, the name(s) and contact information of the technician who performed the repair/service, and for information purposes, the on-site hours expended and parts/components replaced.

B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer - System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:
(i) Name and address of the contractor;
(ii) Invoice date and invoice number;
(iii) Contract/Order number (including a reference to any base award for Indefinite- Delivery/Indefinite-Quantity Contracts or Blanket Purchase Agreements);
(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:
(a) period of performance for which costs are claimed;
(b) itemized travel costs, including origin and destination;
(c) any other supporting information necessary to clarify questionable expenditures;
(d) the contractor shall include the (CLIN) Contract Line Item/Funding line item for each description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on government bill of lading;
(vi) Terms of any discount for prompt payment offered (Prompt Payment terms other than

(xii) For all Inspections, Time-and-Materials and Labor-Hour Awards, Contractor is required to attach an invoice log addendum to each invoice which shall include, at a minimum, the following information for contract administration and reconciliation purposes:
(a) list of all invoices submitted to date under the subject award, including the following:
(1) invoice number, amount, & date submitted
(2) corresponding payment amount & date received
(b) total amount of all payments received to date under the subject contract or order
(c) and, for definitized contracts or orders only, total estimated amounts yet to be invoiced for the current, active period of performance;
(xiii) Any other information or documentation required by the award.
C. An electronic invoice is acceptable if submitted in adobe acrobat (PDF) format. All items listed in (i) through (xiii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

(3) change the delivery schedule;
(4) Authorize reimbursement to the Contractor any costs incurred during the performance of this contract; or

The provision at FAR 52.212-1 Instructions to Offerors - Commercial Items applies to this solicitation (Jun 2020) The following addenda apply:
Offerors shall not submit electronic documents using Microsoft Office suite products that contain the use of “macros”. If the offeror submits documents that contain macros the Government will not be able to view or open such documents and the submission will be considered non-responsive to the solicitation. No additional time will be given to an offeror to correct the document submission and the Government will not inform the offeror that their submission is non-responsive prior to award. It is the offeror’s responsibility to ensure all electronic documents are submitted without the use of macros.
Note: This solicitation is being issued under the premise that the Contractor will certify that the combination of equipment/service it will propose to fulfill this requirement is exempt from the Service Contract Act per the conditions set forth in FAR 52.222-48 & FAR 22.1003-4(c). If this is the case and the Contractor certifies that is exempt under the terms and conditions of 52.222- 48, then clause 52.222-51 will flow per usual from this solicitation to the resulting order. Paragraph (k) System for Award Management - To be considered for award an offeror shall be registered and active in SAM (www.sam.gov) by the date and time set forth for receipt of quotes/proposals.

The provision at FAR 52.212-2 Evaluation-Commercial Items (Oct 2014) applies to this solicitation. The following subparagraph (a) factors apply:
The Government will award a contract resulting from this Request for Quote to the lowest priced technically acceptable and responsible offeror. Offers will be evaluated on their ability to meet the requirements provided herein. The lowest priced offer will be evaluated first. If the lowest priced offeror is not technically acceptable, the next lowest priced offer will be evaluated and so on until a technically acceptable offer is determined.
Technical Acceptability will be determined by review of information submitted by the offeror who shall provide sufficient descriptive material to demonstrate the proposed meet all requirements and by addressing each technical requirement as stated above for the Government to conclusively determine the proposed will satisfy its requirement.
Quotes shall include technical specifications, descriptive material, literature, brochures and other information corresponding to each minimum required item, which demonstrates the capabilities of the offeror.

If Offeror is not the OEM, demonstrated and verifiable prior experience providing the same or near-same repair and support activities for this OEM equipment to include qualifications of field service engineers/technicians, a verifiable established supply chain with the OEM for specifications, manuals, bulletins, software and firmware updates, parts, components, subassemblies, reach-back technical support, etc. necessary to deliver the services herein.
