ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS

Offerors are required to be registered in SAM at the time an offer is submitted.

Offer Submittal. Offers are due to the Contract Specialist, Ryan Tung, by 1400 / 2:00 p.m. (PST) Friday, 16 September 2022.

The Government may reject any or all quotations. The Government reserves the right to cancel this solicitation at any time. The Government will not reimburse any proposal preparation costs or other expenses incurred to respond to this notice. A Firm-Fixed-Price (FFP) award shall be made to the responsible offeror whose offer, conforming to the solicitation, will be most advantageous to the Government based on factors specified herein:

Factor 1. Technical: The offeror is to provide sufficient detail (limited to 20 pages) addressing each sub-sections of the SOW (i.e. 3.3.1 a-j and 3.3.2 a-e. 3.3.3) to demonstrate a clear understanding of statement of work.

Factor 2. Price

The offeror shall provide proposed labor rates/hours/mix (limited to 10 pages) for the base year and all options that address the following:

a. Rates: provide fully–burdened labor rates (include all indirect costs, projected travel cost, overheads, general and administrative expenses, allocated other direct costs and profit) for a base year and four option years;

b. Hours: provide estimated hours for each occupation. A standard full-time contractor works 40 hours a week for 2080 hours a year.

c. Mix: group each labor discipline into one of the following three categories:

1) Technical (researcher/engineers/analyst/programmer/illustrator/editor/ professionals performing hands-on work);

2) Managerial (executive director/senior manager/partners, program manager, project managers, etc.); and

3) Administrative (clerical, accounting, procurement, etc.)

Provide any other price-related information required for performance including subcontractor quotes, if any.

Contractor travel costs shall be governed by FAR 31.205-46.

Factor 3. Past Performance: The offeror shall provide, current contact information (telephone number, or email address for a point of contact) within the last ten (10) years, for Government or commercial contracts that have been completed and were for projects similar to this SOW, iether as a prime or as a subcontractor.

FAR 52.212-2 EVALUATION—COMMERCIAL ITEMS (Oct 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Factor 1. Technical/Risk: Proposals demonstrating strengths, lower risk of unsuccessful performance, a better approach and higher understanding of the requirements will receive higher ratings. Combined technical acceptability and risk rating will be assigned to each subfactor. Overall technical rating based upon the sub-factor ratings.

Combined technica acceptability and risk rating will be assigned to the overall Technical factor. If an offeror does not submit information for one of the subfactors that subfactor will be rated marginal.

Factor 2. Price: The contractor’s rate information will be evaluated on reasonableness, completeness and balance among labor categories and between years.

- Completeness: The Government will evaluate completeness of the price proposal to determine that all rate data has been submitted for all five years in compliance with the solicitation.

- Reasonableness: Offers will be evaluated to determine that proposed rates are reasonable based on market rates, previous contracts, and in accordance with the Service Contract Labor Standards (if applicable).

- Balance: Offers will be evaluated to ensure that rate escalation from year to year is consistent and reasonable.

Offers will be evaluated to ensure that rates are appropriately balanced among labor categories.

Factor 3. Past Performance: The offeror shall provide a short narrative summary that details their previous experience performing similar work in the past ten (10) years .

Sources of Past Performance Information for evaluation are as follows:

• Past performance information may be provided by the offeror, as solicited;

• Past performance information may be obtained from questionnaires tailored to the circumstances of the acquisition; and

• Past performance information may be obtained from any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; the Defense Contract Management Agency; and interviews with Program Managers, Contracting Officers, and Fee

RFQ No. HQ072722QRT10 within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days;

provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1)in a subcontract for commercial products or commercial services. Wide Area Workflow (WAWF) Invoice and Receiving Report Submittal Instructions (DMEA #S16-012)

WAWF application available through Procurement Integrated Enterprise Environment (PIEE) and is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

To access WAWF, the Contractor shall—

Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov/SAM/; and

Be registered to use WAWF at https://piee.eb mil/ following the step-by-step procedures for self-registration available at this web site.

WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the training webpage at https://pieetraining.eb.mil/wbt/xhtml/index.xhtml.

WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.

The Contractor shall submit Item Unique Identification IUID data “as part of the Material Inspection and Receiving Report” (as required by DFARS 252.211-7003) on delivered end items during the acceptance process.
