About this file
This document is the AIA Document A133-2019 Standard Form of Agreement template between the Iowa Department of Transportation (Owner) and a Construction Manager for construction services on a cost-plus-fee basis with a Guaranteed Maximum Price (GMP). The agreement establishes the contractual framework for preconstruction and construction phase services for a new Salix Scale & Inspection Building located in Waterloo, Iowa. The Construction Manager's responsibilities during the preconstruction phase include conducting constructability reviews, value engineering, cost estimating, schedule development, construction planning, GMP development, risk management, subcontractor prequalification and selection, bid packaging and management, and material procurement resourcing. During the construction phase, the Construction Manager will manage and execute the Work as a constructor, with construction commencing upon written Notice to Proceed from the Owner. A mandatory pre-proposal conference is scheduled for January 14, 2026, at 1:00 PM Central Time, and technical proposals are due February 10, 2026, at 1:00 PM CST. The Construction Manager must achieve a minimum of three prequalified subcontractors for each bid package unless otherwise approved by the Owner. The contract will be executed upon mutual agreement of the parties on the GMP amount and terms.
Compensation for preconstruction phase services will be negotiated and established separately, with hourly billing rates to be determined during contract negotiations. The Construction Manager's fee for construction phase services and the specific cost-sharing arrangement for any savings below the GMP will be determined during negotiations, with a percentage of cost savings allocated to both the Construction Manager and the Owner. The Construction Manager guarantees that the Contract Sum shall not exceed the GMP set forth in the Guaranteed Maximum Price Amendment, with any costs exceeding the GMP to be paid by the Construction Manager without reimbursement by the Owner. Retainage of three percent (3%) will be withheld from each progress payment prior to Substantial Completion. The Construction Manager must provide a Performance and Payment Bond for 100% of the contract amount within five days of GMP completion and maintain Commercial General Liability insurance with minimum limits of $750,000, Automobile Liability of $750,000 per accident, Workers' Compensation at statutory limits, and Builders Risk Insurance covering the full amount of the Cost of Work. Final payment will be made within sixty (60) days after issuance of the Architect's final Certificate for Payment, with interest accruing at one percent (1%) per month on unpaid amounts after sixty (60) days from invoice date. Disputes will be resolved through litigation in a court of competent jurisdiction rather than arbitration.
