About this file

This is a Class Justification and Approval (CJ&A) for a sole-source contract award issued by the Naval Air Systems Command (NAVAIR) on August 7, 2024. The document authorizes the procurement of P-8A SUU-92 Wing Pylon Assemblies and associated components from Hamble Aerostructures Limited, located in Hamble-le-Rice, Southampton, United Kingdom. The authority to act under this CJ&A expires on December 31, 2027.

The procurement includes P-8A SUU-92 and AME kits consisting of P-8A Harpoon Umbilical Cable, 1760 Umbilical Cable, and SHOLS Wing Buttons in estimated quantities of ten (10) shipsets to support aircraft production and spares for the P-8A warfighting inventory. The contract will also encompass configuration management, reliability and maintainability support, engineering change proposals, and engineering support throughout the performance period. The estimated total contract value is $8,000,000 across fiscal years 2024 through 2026, with funding subject to Congressional adjustments. The sole-source award is justified under 10 U.S.C. 3204(a)(1) because Hamble Aerostructures Limited is the only manufacturer with requisite knowledge of the SUU-92 design, technical data, fabrication processes, and operational characteristics necessary to support P-8A requirements. The contracting officer determined the anticipated cost to be fair and reasonable. A sources sought notification was posted on the System for Award Management website on January 3, 2024, and a synopsis was posted on May 21, 2024, with no responses received to either solicitation.

CLASS JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

CJ&A 24-0243

1. Contracting Activity

Naval Air Systems Command (NAVAIR) Headquarters

2. Description of the Action Being Approved

This Class Justification and Approval (CJ&A) authorizes and approves the award of sole-source contract actions for the procurement of P-8A SUU-92 Wing Pylon Assemblies to Hamble Aerostructures Limited Kings Ave, Hamble-le-Rice, Southampton SO31 4NF, United Kingdom. Authority to act under this CJ&A expires on 31 December 2027.

3. Description of Supplies/Services

The requirements under this CJ&A include the procurement of P-8A SUU-92 and AME kits consisting of P-8A Harpoon Umbilical Cable, 1760 Umbilical Cable and SHOLS Wing Buttons, for the estimated quantities of ten (10) shipsets to support aircraft production and associated spares to support the P-8A warfighting inventory requirement. Additionally, the contract actions will include configuration management, reliability and maintainability, engineering change proposals (ECPs) and engineering support throughout the period of performance. Additional SUU-92s may be procured as subsequently authorized and appropriated by Congress and/or to provide for international agreement, or Cooperative partner requirements. The estimated total dollar value of the contract actions and associated funding by fiscal year is as set forth in the table below:

Estimated Dollar Value

FY24 – FY26

APN-1* $8,000,000

AUS (COOP)** $0.00

TOTAL $8,000,000

*APN-1 funding is subject to change based on Congressional Adjustments.

**AUS funding lines reserved in the event of contingency operations, or emergent RAAF procurement requests.

4. Statutory Authority Permitting Other Than Full and Open Competition

10 U.S.C. 3204(a)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority

Hamble Aerostructures Ltd., which acquired the aerostructures business owned by GE Aviation Systems Ltd. in Hamble United Kingdom in January 2020, is the sole manufacturer of the SUU- 92 Wing Pylon Assemblies for use in the P-8A. The SUU-92 were developed for, integrated into, and tested on the P-8A during an extensive, competitively awarded P-8A system development and demonstration phase. The SUU-92s were formerly provided as Contractor Furnished Equipment (CFE), via subcontract with Hamble Aerostructures Ltd. by the P-8A prime contractor for the first five production lots but was procured separately and provided as Government Furnished Property (GFP) for production Lots 6 through 12. The original contract was not competed. This contracting approach will continue for production Lot 13. Hamble Aerostructures Ltd. is the only known source with the requisite knowledge of the design, technical data (e.g. drawings required with future ECPs, instruction manuals, installation procedures, and maintenance data necessary to support/sustain the equipment), fabrication process, performance, and operational characteristics of the SUUs capable of meeting the P-8A requirements, and is therefore uniquely qualified to perform the efforts contemplated under this CJ&A. The Government did not purchase the technical data rights to the SUU-92 Wing Pylons.

Award to any other source would result in unacceptable delays to on-going P-8A production by delaying the delivery of qualified and properly integrated SUUs to the P-8A. The timeline to design, develop, and qualify a second source to fulfill the P- 8A production weapon system requirements is estimated to be 5-7 years based on experience with other systems integrated into the P-8A. As such, award to any other source would result in unacceptable delays in fulfilling the Navy’s requirements.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable

In accordance with DFARS PGI 206.302-1, a sources sought notification was posted on the System for Award Management (SAM) website (formerly Federal Business Opportunities) on 03 January 2024. No responses were received by NAVAIR. In accordance with FAR 5.201(b), a synopsis was posted on the SAM website on 21 May 2024. No responses were received.

7. Determination of Fair and Reasonable Cost

The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this CJ&A will be fair and reasonable.

8. Actions to Remove Barriers on Future Competition

The prior J&A documented the contract action as the last GFP procurement for all known P-8A production requirements. Since then, additional requirements have been authorized via congressional adds and newly approved FMS LOAs. For reasons set forth in paragraph 5 and as this effort procures the remaining shipsets in the program of record, NAVAIR has no plans at this time to compete future contracts for the Wing Pylons. Because this effort is a follow-on for similar supplies previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(i), the prior J&A was provided to the approval authority for review. Approval of this CJ&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(ii).
