About this file
This Class Justification and Approval (CJ&A) authorizes the Naval Air Systems Command (NAVAIR) to issue sole-source orders to Honeywell International for V-22 aircraft component support. The document covers a $45.2M contract from FY23-FY27 for non-recurring engineering, logistics support, and procurement of critical V-22 aircraft components, including infrared suppressors, generators, control units, shaft-driven compressors, environmental control systems, avionics, and specialized equipment. Honeywell is deemed the only capable source due to being the Original Equipment Manufacturer with unique engineering data, technical skills, established tooling, and comprehensive knowledge of the V-22 aircraft design and components.
The sole-source justification is based on Honeywell's exclusive capabilities, with market research conducted through a sources sought notice on January 17, 2023, which yielded two responses. Only Honeywell was deemed capable of fulfilling the entire requirement. The contract includes development, design, manufacturing, modification, repair, testing, obsolescence management, in-service support, and technical integration efforts. NAVAIR notes that the Government has previously invested approximately $381.41M in Honeywell V-22 components, and competing the contract would result in duplicative costs. The authority to act under this justification expires on May 31, 2027, with individual orders to be synopsized on the System for Award Management (SAM) website.

4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 3204(a)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority.
Honeywell is the Original Equipment Manufacturer (OEM) of the infrared suppressor, generators, shaft-driven compressor, fan motors, environmental control system, weather radar, traffic collision avoidance system, inertial navigation system, radar altimeters, remote frequency indicators, and associated antennas, cockpit displays, and panels on the V-22 aircraft. During development of the V-22 aircraft, Honeywell was selected to provide the aforementioned components in support of weapon system production. Honeywell possesses the unique engineering data, technical skills, established tooling, support equipment, facilities, and requisite V-22 aircraft design, fabrication and production knowledge required to perform the efforts contemplated under this follow-on Honeywell BOA. Any follow-on kits, spares, repair parts, non-platform-related modifications/upgrades to the components, obsolescence management/Life-of-Type buys, and associated component-specific logistics support, trainer support, and support equipment are available only from Honeywell. Also, Honeywell is currently the only source with the requisite V-22 aircraft design, structural loads, safety factors, aerodynamic and structural appraisal of fatigue effect databases, unique operational performance, maintenance and support characteristics knowledge to perform the non-recurring engineering required for Engineering Change Proposal (ECP) production cut-in under production contracts, as well as to meet the Government’s retrofit requirements. The Government has invested approximately $381.41M overall into the V-22 Honeywell components to include Infrared Suppressor (IRS) development and production, Traffic Collision Avoidance System (TCAS) processor development, Shaft Driven Compressor (SDC) development and implementation, Enhanced Standby Flight Instrument (ESFI) Active Matrix Liquid Crystal Display (AMLCD) upgrades, Variable Frequency Generator (VFG) production, system hardware designs and drawings, acquisition of multiple system hardware components, and related non-recurring engineering. In addition, the Government has incurred the cost of integration and flight qualification of these Honeywell components on the V-22 aircraft via various contracts as a supplier. The aforementioned costs would be duplicative to the Government if required to design, develop, integrate, test, and procure alternate components.
These costs are not expected to be recovered through competition. Based on the foregoing, Honeywell is the only responsible source capable of satisfying the Government’s requirement without substantial duplication of costs.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
Market research was conducted through a sources sought notice posted to the System for Award Management (SAM) website on 17 January 2023 seeking sources from industry for procurement and support of Honeywell components for the V-22 aircraft. There were two responses received and evaluated by the PMA-275 technical team: Honeywell International, Inc., who is capable of completing the required tasking in its entirety, and
, who was deemed not capable because they did not clearly demonstrate their ability to obtain access to technical and engineering data/resources needed to fulfill the requirement. As such, it has been determined that the aforementioned sources sought fulfills the Defense Federal Acquisition Regulation Supplement (DFARS) Procedures, Guidance, and Information (PGI) 206.302-1 Request for Information/Sources Sought requirement for support of tasking contemplated under the Honeywell BOA for the V-22 aircraft. In accordance with Federal Acquisition Regulation (FAR) 5.201, orders will be individually synopsized on the SAM website. The Contracting Officer will evaluate any responses received prior to award of each order. Additionally, parties interested in subcontracting opportunities will be referred to Honeywell to maximize competition in subcontracted efforts.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this CJ&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in paragraph 5, NAVAIR has no plans at this time to compete future contracts for the types of supplies/support covered under this CJ&A. If the Government obtains additional data rights in the future, NAVAIR will assess potential competition opportunities that can be broken out from the overall requirement.
As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(S-70)(i), the prior CJ&A was provided to the approval authority for review. Approval of this CJ&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
