B.4 STATEMENT OF REQUIREMENTS (CONTINUATION OF BLOCK 20)
Statement of Requirements
Title 2 of the Code of Federal Regulations, Part 25 (2 CFR 25 or Part 25), titled “Universal Identifier and System for Award Management,” requires that Federal financial assistance applicants, as well as recipients and their direct subrecipients, be registered in the System for Award Management (SAM) prior to submitting an application. Part 25 also requires applicants to provide a Unique Entity Identifier (UEI) in each application.
The issue presented is whether customers seeking or receiving financial products from the Export-Import Bank of the United States (EXIM or EXIM Bank) are considered “recipients” of “Federal financial assistance” under Part 25, and, if so, which parties to an EXIM transaction are considered “recipients” under Part 25. An additional issue is whether the SPVs or SPCs involved in a number of EXIM’s export programs are considered pass-through entities under Part 25. The contractor will need to look at Part 25 as a whole, as well as the legislative history, in order to determine the drafters’ intent. The Contractor will also examine the legal basis for the establishment of the SPV/SPCs in furtherance of an EXIM Transaction.
Description of Requirements:
CLIN 0001:
Legal Analysis set forth in Legal Memorandum: The Contractor’s effort shall be directed to the following three areas of inquiry, all of which are to be addressed in the one Legal Memorandum.
Sub-CLIN 0001: Recipient Interpretation
EXIM requires legal interpretation of Part 25 and the extent to which it applies to EXIM’s loan, guarantees, and insurance programs. More specifically, EXIM seeks interpretation of the term “recipient” under Part 25. EXIM believes that the term, as applied to EXIM’s loan, guarantee, and insurance programs, includes only the party that is in direct contractual privity with EXIM (i.e., the party receiving the award directly from EXIM). The contractor shall examine the black-letter of Part 25 and other CFR sections with which it interacts, as well as review of Federal Register comments and discussion, to determine whether EXIM’s understanding of the term “recipient” is correct, or should be modified.
Sub-CLIN 0002: Subrecipient, Subaward, and Pass-through Entity Interpretation
EXIM also requires legal interpretation of the terms “’subrecipient,” “subaward,” and “pass-through entity,” which are all located in 2 CFR 200.1. The focus will be on the SPVs and SPCs
PAGE 11 OF 24 83310122Q0025
RFQ for Legal Services Analysis of UEI to Loans, Guarantees, Insurance Open Market Purchase Order (PO) per FAR 12 Commercial Item - Full and Open Competition
Solicitation 83310122Q0025 that are involved in number of EXIM’s export programs. Here, EXIM does not believe that these SPVs and SPCs are considered “pass-through entities” under Part 25 and 2 CFR 200.1.
Sub-CLIN 0003: SPVs and SPCs
The contractor shall review EXIM’s statutory Charter and annual Appropriation Acts to address the following questions:
1. Does EXIM possess legal authority to create SPVs/SPCs?
2. Do these entities have a distinct legal character outside of EXIM?
3. Does EXIM’s broad authority to engage in a general banking business include the authority to establish such entities?
4. Do any other Federal agencies similarly establish SPV/SPCs?
5. Do Federal fiscal laws apply to the funding handled by these entities (i.e. whether funds received by an SPV/SPC from a non-federal source are subject to the Miscellaneous Receipts Statute or the Purpose Statute)?
CLIN 0002:
Address question/concerns raised by EXIM staff following receipt of the final Legal Memo.
Deliverable:
The deliverable shall be a legal memorandum with option for verbal presentation to EXIM key staff. The deliverable shall include the contractor’s detailed findings of the issues outlined in the Sub-CLIN 0001s, 0002, and 0003 above. The contractor shall include citations and references where applicable. The contractor shall provide a draft of this Memo for EXIM staff review and comment. The contactor shall address EXIM’s comments and deliver a final Memo by the date further specified herein.
Applicable Conditions The Contractor and its attorney(s) assigned to perform the requirements must not possess any conflict of interest that would prevent it (or the individual attorneys, as the case may be) from undertaking effective advocacy of EXIM’s interests or providing fulsome legal advice to EXIM. The Contractor and its attorney(s) and support staff must respect the privacy interests of EXIM officers and employees, must handle all material provided to it containing Personally Identifiable Information (PII) in accordance with the Privacy Act, 5 USC 522a, and shall not knowingly or willfully release to any person or entity any PII, EXIM internal business documentation, or any documentation developed in support of EXIM’s interests or otherwise while advising EXIM. All documents provided to the Contractor by EXIM shall be returned to EXIM upon the conclusion of its performance under the resulting contract. EXIM anticipates that the primary site for performance of services shall be the offices of the Contractor;
however, the Contractor may be required to meet with EXIM personnel at EXIM facilities.
