About this file
This document is a justification for other than full and open competition related to a federal contract opportunity for Cooperative Engagement Capability (CEC) Alteration Installation Team (AIT) services. The contract will be awarded on a sole source basis to Prism Maritime due to the incumbent contractor's unique expertise and experience providing upgrades, installations, and overhauls for CEC systems onboard Navy vessels. The additional other direct costs of $14.5 million are deemed fair and reasonable to avoid a 30-36 month delay that would result from recompeting the requirement. While the opportunity was posted to SAM.gov, only Prism Maritime and three other offerors have the specialized knowledge and skills required to perform the critical work of maintaining the Navy's CEC systems on schedule. Future contracts will take into account changes occurring on this contract when estimating other direct costs.

Navy Marine Corps Acquisition Regulation Supplement APRIL 2018 (Change 18-24)
ODCs are incidental and ancillary to the labor hours. It will not be reasonable to re-compete all the labor hours simply to address the ODC issue. The additional ODCs of $14,558,453.16 is reasonable because the cost to re-complete this requirement would cost offerors expenditures related to proposals and would cause a delay in the Government receiving services and ships being unable to get the upgrades they require. The Government would incur delays of 30 to 36 months if this procurement was re-competed due to the need for additional ODC ceiling.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
The solicitation was posted to SAM.gov on 18 June 2021 as a competitive, small business set aside.
In addition to Prism, three other offerors submitted proposals and were evaluated to determine the best value to the Government. No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than Prism to provide the required supplies and services.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined that the anticipated costs to the Government for the supplies/services covered by the J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in Paragraph 5, any future contracts will continue to be competed but will take into account the changes that occurred on this contract when estimating ODCs.
