A mandatory site walk-through is scheduled for September 23, 2026, at 1:00 PM EST at the facility's top deck parking garage. Written questions regarding the IFB must be submitted by September 25, 2026, at 11:00 AM EST. The bid opening will occur on October 13, 2026, at 1:00 PM EST via Microsoft Teams. Years two through five increase annually by the Consumer Price Index (all urban consumers). The contractor must provide all labor, equipment, and materials except rock salt in the first year, and must repair all plow damage by May 30 annually. CDTA reserves the right to supply salt in subsequent years or require the contractor to provide salt at additional cost with three months' notice. Extra work is limited to off-site snow trucking only when on-site storage areas are full. The contract requires comprehensive insurance coverage including workers' compensation, general liability of $1,000,000 per occurrence/$2,000,000 aggregate, automobile liability of $1,000,000, and excess liability of $3,000,000 combined with underlying policies. SCHEDULE A-SCOPE OF WORK

INTRODUCTION

CDTA Facilities, Inc. has issued an Invitation for Bid (IFB) for snow removal services for the Joseph L Bruno (JLB) Rail Rail Station located at 525 East Street, in Rensselaer, New York.

The property consists of 3 surface parking areas/sidewalks and a parking garage area/sidewalks. Since the station services nearly 900,000 customers per year, CDTA Facilities, Inc, is searching for a well-equipped snow removal contractor for the station. The term of the contract will be for 3 years with 2 additional 1-year options, at CDTA’s discretion, beginning November 15th of each year and ending April 30th.

The bid will be based upon a lump sum price for the removal of snow for the first season, which includes 1 application of salt for all areas after each event (snow or icy conditions), a per application price to salt the top parking deck, a per application price to salt the surface parking areas. The additional years of the contract will increase by the consumer price index (all urban consumers) per year for each of the bid categories. The per application prices for salting will be multiplied by 30 and added to the lump sum season price to determine the final bid price. The lowest qualified bidder will receive the contract. NOTE: The multiplier of 30 is used only in determining bid price. Actual payments for salting will be charged on a per occurrence basis during the season. An alternate price for snow removal off site will also be requested as part of the bid but will not be part of the base bid. A log will be kept by the contractor listing the day, date, time and work performed at the site.

After the first year of the contract CDTA may elect not to supply salt for the contractor. The contractor will need to provide an alternate price per application for each of the areas listed above to include all labor, equipment and materials. If the change does occur CDTA will notify the contractor 3 month in advance of this change.

There are several requirements that must be met for this contract. They are as follows:

General Requirements

1. Response time is critical; the contractor will need to have staff and equipment within the Capital District area to ensure a proper response.

2. Contractor must begin snow removal once 1 inch of snow has fallen and will continue plowing and removing snow until the storm has ended. In the event of freezing rain, sleet or ice, contractor will check the site and apply salt if required as soon as the event begins. (The first application will be considered part of the base contract).

3. In the event of built-up ice. The contractor uses approved means and methods to remove ice.

4. Immediately following the end of the storm, clean-up of the parking lots, sidewalks (including the sidewalks around the parking managers building) and parking garage will commence and continue until completed. Due to the parking needs of the station, ALL spaces will be cleared and opened after each snowfall.

All spaces must be cleaned from curb to curb. No heavy equipment to be used on sidewalks.

5. It is the Contractor’s responsibility to keep the property free from ice and snow at all times. On occasion, the parking management company may call the contractor if additional salting is required during the season, but it is primarily the contractor’s responsibility to check the parking areas.

6. If contractor is called to provide additional salting of an area contractor must respond within 1 hour of being called and report to toll booth and sign in upon arrival. Contractor may apply a pre- treatment with rock salt before anticipated snow/ice event if they feel it’s needed. Notify facilities when pre salting.

7. Contractor will make its best efforts to minimize salt usage by plowing as much as possible. If CDTA Facilities feels that over salting has occurred, the contractor will be notified that they must sweep the area within 24 hours of notification. If CDTA puts the contractor on notice about over salting more than 3 times in a season CDTA will have the right to cancel the contract.

8. Contractor will be responsible at its cost to repair all plow damage with such damage completed by May 30th each year. Final payment of the contract will be held until the repairs have been completed. A pre-season walk thru will take place each year to locate damage prior to the start of the season.

9. Contractor will follow the plow directions and use the storage areas as depicted on the attached plans.

10. Contractor will supply enough equipment and personnel to completely clear the top parking deck within 24 hours and the surface lots within 48 hours of the end of a storm. If the contractor does not meet the requirements of the contract it will be given notice to cure within 24 hours. After that CDTA Facilities, Inc. has the right to bring in additional help to complete the work. Contractor will be responsible for all costs associated with this along with a 10% charge by CDTA Facilities. CDTA Facilities will also have the right to cancel this contract.

11. Occasionally the Contractor will be required to remove snow and ice from the lower levels (both the first and second levels) of the parking garage and the stairwells where snow has drifted.

12. Passerelle Roof: The Passerelle is the area of the building located over the railroad tracks that allows the passengers to board and leave the trains. The roof has heat trace, gutters and clips to minimize snow from falling off the roof. On occasion it will be necessary to push the snow off just the roof area (not the roof’s that cover the stairs or escalator down to the platforms). The roof is lined with a railing, but safety equipment will be required whenever the contractor is up there.

13. When leaving the facility (during a snowstorm in progress) the contractor must report to either the parking manager or the tollbooth to sign out and inform them if/when they will be returning as necessary.

NOTE: The contractor will manage all snow staging areas to get the maximum amount of storage from them. The top deck has a membrane coating that must be protected by using rubber edged equipment. Damage to the deck by using non-rubber edged equipment will be at contractor’s cost. There is also a weight limit of 15 tons. As such snow cannot be allowed to be kept in large piles and must be pushed and dumped thru the south gate as it is being removed.

• Contractor will provide a list of contacts to call for the contract.

• Contractor will be required to check the lots as often as necessary to remove snow from spaces used by longer term parked cars. Following each inspection an email will be sent to the parking manager and/or check in with the tollbooth attendant stating the date and time the facility was inspected so that a record can be kept.

• Contractor will supply all the labor and equipment for the contract.

• The equipment listed below is the minimum amount required for this contract and will be kept on site at all times during the season. Any breakdowns must be repaired within 48 hours or replaced with like kind equipment.

• Contractor will keep a log of all work done (snow removal and salting) and submit with monthly invoice. Contractor to review (and get approved) the extra salting’s logs with Parking and Facilities Manager monthly.

o Top Deck All snow/ice removal equipment (loaders, plows, skid steer, push box, blades, runners, etc.) used on the top parking deck MUST be equipped with rubber or plastic (polyethylene or pactene) to prevent the blade from cutting into the surface of the coating. Damage to the deck by using non-rubber edged equipment will be at owners’ cost.

Contractor will be responsible to keep the pile covered and dry. Any waste or unusable salt will be the contractor’s responsibility to replace at its own cost or CDTA will at the Contractor’s expense.

Agreement THIS AGREEMENT, is made this day of ________20 , by and between the Capital District Transportation Authority or its subsidiary corporation, whose principal office and place of business is at 110 Watervliet Avenue, Albany, New York 12206 (hereinafter referred to as “Owner”, “CDTA” or “Authority”) and , whose principal office and place of business is at __________ (hereinafter "Contractor"):

WHEREAS, the Contractor is willing to contract to provide certain goods and services to CDTA upon the terms and conditions hereinafter set forth; and

WHEREAS, the Contractor has an ongoing business relationship to provide goods and/or services to CDTA that will be governed by the provisions of this Agreement, that is required by CDTA as a prerequisite to work being performed by its Contractors;

NOW, WITNESSETH: That CDTA and Contractor, for good and valuable consideration, agree as follows:

ARTICLE 1. GENERAL DESCRIPTION OF

SERVICES TO BE PERFORMED:

CDTA agrees to and hereby does retain and employ the Contractor and the Contractor agrees to provide such contract labor and/or materials as set forth in the Proposal or Scope of Services attached hereto and made a part of this Agreement as Schedule A for the purpose of snow plowing at JLB Rail Station accordance with the terms of this agreement and the schedules and appendices annexed hereto and made a part hereof, to assist CDTA in carrying out its purposes as set forth in Chapters 460 and 461 of the Laws of 1970, as amended, and Contractor agrees to be duly licensed (if necessary) at all times during the performance of this agreement.

ARTICLE 2. PROVISIONS FOR PAYMENT:

CDTA shall pay to the Contractor and Contractor agrees to accept as full compensation for labor and/or materials under this agreement. Notwithstanding any contrary language in the proposal, all payments shall be made in accordance with CDTA’s prompt payment policy, adopted in compliance with Public Authorities Law section 2880. CDTA’s prompt payment policy generally requires execution of a Purchase Order and provides that payments will be made within thirty (30) days of receipt of a “proper invoice” or claim voucher. A copy of the full policy is available upon request.

ARTICLE 3. CONTRACTOR'S LIABILITY AND

INDEMNIFICATION:

The Contractor shall, to the fullest extent permitted by law:

3.1 protect, release, indemnify, defend, and save the CDTA and its subsidiaries, officers, employees, agents, consultants and Construction Manager harmless from and against any and all liabilities, damages, claims, demands, liens, encumbrances, judgments, awards, losses, costs, expenses, and suits or actions or proceedings, including reasonable expenses, costs and attorneys’ fees incurred by the CDTA and its officers, employees, agents, Consultants and Construction Manager relating in any manner whatsoever to the Contractor’s work or materials being provided under this Contract; and

3.2 Without regard to negligence, fault or strict liability

on the part of any person, the Contractor covenants and agrees to defend, indemnify and hold harmless the CDTA, its subsidiaries agents and employees and each of them (the “Indemnitees”), against any and all claims, damages, losses, obligations, penalties, liabilities, costs and expenses, including attorney’s fees which may be imposed upon or incurred by or asserted against the Indemnitees, arising from:

(a) Any Work and any other activities of Contractor, its agents, Contractors, employees or invitees in, on, within or about the location of work undertaken pursuant to this Agreement

(b) Injuries, including death, to persons, or damage to property, occurring or alleged to have occurred by reason of, or in connection with, or arising out of any right, duty or obligation created by this agreement or the subsequent work done thereunder, and also against any and all claims for damages, and all liability, loss and expense arising from injuries, including death, to persons, or damage to property, resulting from the presence in or upon any vehicle or other premises of the Contractor, of any article or articles brought or carried by the Contractor, its servants, agents, or employees, or the servants, agents, or employees of any person, firm, or corporation with whom or with which the Contractor may contract, all in connection with the exercise of its rights or performance of its obligation hereunder; and

3.3 Notwithstanding the foregoing, CDTA shall be

liable to Contractor for the actual cost of repair and/or replacement of Contractor’s facilities and equipment caused as a result of CDTA’s gross negligence or willful misconduct.

3.4 It is the intent to the provisions of this article that

the Contractor shall defend, indemnify and save harmless the Indemnitees and each of them against any and all such claims and liabilities arising out of or in any manner connected with the performance of work under this agreement, irrespective of whose negligence may have caused the occurrence upon which the claim or liability is based, and whether or not the same may be due to the negligence of the Contractor, or of any person, firm, or corporation with whom or with which the Contractor may contract in connection with the performance of this Agreement, or the negligence of any Indemnitee, or any of their respective agents, servants, or employees except as to occurrences which are solely due to the negligence of an Indemnitee. The term “liability, loss and expense”, as used in this article, shall include and cover, but not limited to any and all liability for the payment of compensation under the Workers’ Compensation Law of the State of New York.

3.5 Neither Final Acceptance of the Work, Termination

or making any payment shall release the Contractor from the Contractor's obligations under this Article. The enumeration elsewhere in the Contract of particular risks assumed by the Contractor or of particular claims for which the Contractor is responsible shall not be deemed to limit the effect of the provisions of this Article or to imply that the Contractor assumes or is responsible for only risks or claims of the type enumerated; and neither the enumeration in this Article nor the enumeration elsewhere in the Contract of particular risks assumed by the Contractor of particular claims for which the Contractor is responsible shall be deemed to limit the risks which the Contractor would assume or the claims for which the Contractor would be responsible in the absence of said enumerations.

3.6 Contractor's obligations under this Article shall not

be deemed waived, limited or discharged by the enumeration or procurement of any insurance for liability for damages. The Contractor shall notify its insurance carrier within twenty four (24) hours after receiving a notice of loss or damage or claim from the CDTA. The Contractor shall make a claim on its insurer specifically under the provisions of the Contractual liability coverages and any other coverages afforded the CDTA including those of being an additional insured where applicable.

3.7 One half of one percent of the Contractor’s fee is

paid by the CDTA to the Contractor pursuant to this Agreement as separate consideration for the indemnification of the CDTA to the Contractor under this Section.

ARTICLE 4. RISK OF LOSS:

To the extent permitted by law, the Contractor assumes all risk of loss or damage to the equipment and property of every nature and description, brought, placed or kept by the Contractor at or upon CDTA’s premises whether such loss or damage be due to (1) the acts, omissions or negligence of the Contractor or its employees or agents;

(2) fire, burglary, theft, vandalism or riot; or (3) any other cause whatsoever. Neither CDTA, nor its successors or assigns shall be liable to the Contractor, its agents or employees for any injury to the person or property of any of its agents or employees while on the premises of CDTA in connection with any work performed by the Contractor under this Agreement. In no event shall CDTA be liable to the Contractor, Contractor’s employees or any other person on account of damage to or loss of any such property, and the Contractor agrees that this clause constitutes a waiver of subrogation; provided, however, CDTA shall be liable to Contractor for the actual cost of repair and/or replacement of Contractor’s materials and equipment caused as a result of Licensor’s gross negligence or willful misconduct. CDTA shall not be liable in damages, including, without limitation, consequential damages, or otherwise to the Contractor, its agents or representatives or to any person claiming rights derivative from the Contractor (whether or not in privity to the Contractor) for any interruption or stoppage or transmission or other service over the facilities installed by the Contractor hereunder by any reason or cause whatsoever.

ARTICLE 5. EXTRA WORK:

(a) If the Contractor is of the opinion that any work Contractor has been directed to perform is beyond the scope of this agreement and constitutes extra work and/or that Contractor is entitled to additional compensation for any reason whatsoever, Contractor must notify, in writing, CDTA of that opinion. Such notice must be given prior to performing such work, which allegedly entitles Contractor to additional compensation, and no later than seven days from when the Contractor knew or should have known of its claim for additional compensation. This notice is in addition to the notice required under section 4.4 of the General Conditions. In the event that such written notice is not timely given by the Contractor, the Contractor shall not be entitled to any additional compensation for such work. In the event that such written notice is timely given by the Contractor, CDTA’s Chief Executive Officer shall determine whether the Contractor is entitled to additional compensation and such determination shall be final.

(b) In the event that CDTA determines that Contractor is entitled to additional compensation, it shall issue a supplemental agreement providing for such compensation on a fair and equitable basis. In order for it to be enforceable, such supplemental agreement must be executed by the Contractor and CDTA. In the event of a dispute as to what constitutes “fair and equitable” compensation, the determination of the Chief Executive Officer shall be final.

(c) In the event the contractor and Authority are unable to resolve their differences concerning a determination by the Chief Executive Officer, the contractor may initiate a dispute in accordance with the procedure set forth in this Article. Exhaustion of these procedures shall be a precondition to any lawsuit permitted hereunder. The parties to this contract authorize the Chief Executive Officer, or his designee, to decide all questions of any nature whatsoever arising out of, under, or in connection with, or in any way related to or on account of this Contract and his decision shall conclusive, final and binding on the parties.

(d) If the Contractor protests the determination of the Chief Executive Officer, the Contractor may commence a lawsuit in a Court of competent jurisdiction of the State of New York under Article 78 of the New York Civil Practice Law and Rules or a United States Court in New York, under the procedures and laws applicable in that court, it being understood the review of the Court shall be limited to the question of whether or not the Chief Executive Officer’s determination is arbitrary, capricious, or grossly erroneous to evidence bad faith.

This paragraph identifies the litigation referenced in this Contract, the General Conditions and/or the Supplemental Conditions.

ARTICLE 6. PUNCTUALITY:

It is intended that the parties will exert their best efforts so that this agreement will be completed by the Contractor in a punctual manner. Where there is any specific completion date, it shall be set forth in the accepted proposal referencing this agreement. Absent a force majeure, the parties pledge to exert every reasonable effort to complete the work by any specified completion date, or in the absence of such a date, in a punctual manner.
