PROPOSAL SUBMISSION TERMS & CONDITIONS
1. The Offeror’s Transmittal Letter set forth below indicates your acceptance of the terms and conditions of the concession opportunity as set forth in this Prospectus. It indicates your intention to comply with the terms and conditions of the Contract. The letter, submitted without alteration, must bear original signatures and be included in the Offeror’s Proposal Package. The National Park Service (Service) will review the entire Proposal Package to determine whether your proposal in fact accepts without condition the terms and conditions of this Prospectus. If it does not accept without condition the terms and conditions of this Prospectus, your proposal may be considered non-responsive, even if you submitted an unconditional Offeror’s Transmittal Letter.
2. The Proposal Package is drafted upon the assumption that an Offeror is the same legal entity that will execute the new concession Contract as the Concessioner. If the entity that is to be the Concessioner is not in existence as of the time of submission of a proposal, the proposal must demonstrate that the individual(s) or organization(s) (hereinafter Offeror-Guarantor) that intends to establish the entity that will become the Concessioner has the ability and is legally obliged to cause the entity to be financially and managerially capable of carrying out the terms of the Contract. In addition, the Offeror-Guarantor must unconditionally state and guarantee in its proposal that the Offeror-Guarantor will provide the Concessioner with all funding, management, and other resources that the Draft Contract requires and the proposal offers.

If the applicant seeks to submit an offer as a business entity with a claim to a preference under ANILCA, it must be legally formed by the deadline for offer submission so that it may include its organizational documents with its offer, regardless of language to the contrary elsewhere in the proposal package.
Please refer to the ANILCA Section 1307 regulations, referenced in the Proposal Instructions and included in the Appendix to this Prospectus, to answer the following questions:

Yes
No
To qualify as a local resident, each of the following elements must be met and you must provide documentation, as described in the regulations, to establish each element. Failure to submit adequate documentation to prove each element by the Prospectus deadline will result in denial of your application for local resident status.
INDIVIDUALS (Sole Proprietorship):
Has the offeror lived within the local area for 12 consecutive months before the date this prospectus was issued (see issue date on inside cover)?
Has the offeror maintained its primary permanent residence and business within the local area?
Whenever absent from this primary, permanent residence, does the offeror intend to return to it?

Post office boxes or other non-residential addresses are not acceptable proof of residence, even if listed on a State of Alaska license or other official document. NOTE: The documentation submitted must establish not only residence as of the date of the Prospectus, but residence for 12 consecutive months before the Prospectus was issued.
Rural residents without a verifiable street address should contact the National Park Service representative listed on the inside cover of this Prospectus to discuss acceptable forms of documentation.

SELECTION FACTORS
Response Format
1) Please number each page and section in your completed proposal. Add information to your proposal only to the extent that it is necessary and relevant to respond to the selection factor. Each page should have a heading identifying the selection factor and subfactor to which the information contained on the page responds. It is important that your response stays within the organizational framework in the Proposal Package and provides all relevant information directly in response to each selection factor. The Service may consider relevant information contained elsewhere in a proposal in assessing the proposal’s response to each particular selection factor.
2) The evaluation panel will only take firm commitments into account when evaluating proposals.
Responses that include terms such as “look into,” “research,” “may,” “if feasible,” and similar terms are not considered as firm commitments. In addition, the Service considers responses that include a specific time for commitment implementation as a stronger response. For example, “XXX commits to provide recycling containers in each lodging room by December of 2017.”
3) Where page limits are set out in the Proposal Package, the Service will not review or consider the information on any pages that exceed the page limitations stated, including attachments, appendices, or other additional materials the Offeror submits. The Service would like to see clear and concise answers. A longer answer will not necessarily be considered a better answer.
4) The Service considers text on two sides of one sheet of paper as two pages.
5) Offerors must use letter-size paper unless a subfactor asks for schematics or drawings, in which case Offerors may use legal or ledger-size paper for the schematics or drawings. Offerors must use 11 or 12 point font for all text within the proposal, including all tables, charts, graphs, and provided forms.
The Service will accept images of sample material with smaller fonts.
6) Page margins must be 1 inch. Page numbers and identifications of confidential information may appear within the margins.

PRINCIPAL SELECTION FACTOR 1. THE RESPONSIVENESS OF THE PROPOSAL TO THE OBJECTIVES, AS DESCRIBED IN THE PROSPECTUS, OF PROTECTING, CONSERVING, AND PRESERVING RESOURCES OF THE
PARK. (0-5 POINTS)
Service Objectives
The Service seeks Concessioners who will minimize the effect of their operations on the Park’s resources through operational processes, procedures, and the type of tour vessel.
Subfactor 1(a). Wildlife Interaction
The page limit for this subfactor is 5 pages, including all text, pictures, graphs, etc.
1) Describe how you will conduct your operations to minimize effects on Park wildlife. Your answer should include, at minimum, the following:
a. Minimum approach distances to wildlife for water and land based activities.
b. Devices used to measure approach distances.
c. Procedures for assessing whether water or land based activities are disturbing wildlife, and the actions you will take if wildlife is being disturbed.
2) Describe how you will instruct your clients in how to avoid wildlife disturbance during off-vessel activities in the Park.
Subfactor 1(b). Preserving the Natural Environment of the Park Area
The page limit for this subfactor is 4 pages, including all text, pictures, graphs, etc.
Describe the processes and procedures you will commit to implement to minimize effects on the natural environment of the Park. Your response must include your spill response process and procedures, including training and required equipment.
Subfactor 1(c). Preserving the Underwater Noise Environment of the Park Area
The page limit for this subfactor is 4 pages, including all text, pictures, graphs, etc.
Describe your operational methods, including but not limited to equipment, you will use to minimize underwater noise aboard each vessel operating in the Park. A better proposal would demonstrate knowledge of and compliance with the International Maritime Organization’s 2014 guidelines for the reduction of underwater noise (MEPC.1/Circ.906) and performance indicators developed for the Green-Marine.org environmental program for all vessels proposed to operate in the Area.

PRINCIPAL SELECTION FACTOR 2. THE RESPONSIVENESS OF THE PROPOSAL TO THE OBJECTIVES, AS DESCRIBED IN THE PROSPECTUS, OF PROVIDING NECESSARY AND APPROPRIATE VISITOR SERVICES AT
REASONABLE RATES. (0 - 5 POINTS)
Service Objectives The National Park Service’s (Service) objective under this Principal Selection Factor is protecting the wilderness character of Glacier Bay. The Service wants to enhance opportunities for customers to learn the significance of natural and cultural resources from the perspective of Tlingit tribe, to encourage and support the protection of these resources.
Subfactor 2(a). Protecting Natural and Cultural Resources through Interpretation of the Area
Enhanced interpretation of the Tlingit homeland from the perspective of Tlingit tribes traditionally associated to the area is an important component of an interpretation program at the Park, especially if such interpretation is provided by a member of a traditionally associated tribe employed by the Concessioner. Such interpretation reinforces the importance of protecting park natural and cultural resources, not only for their own physical and historic qualities, but for their spiritual and cultural values to these associated tribes.
Using not more than four (4) pages, including all text, pictures, graphs, etc.
1) Describe programs or activities you commit to implement to enhance customers’ opportunities to learn about the natural systems, history, archeology, and the Tlingit relationship to the Area from the perspective of Tlingit tribes. Your description must include why you think your programs or activities improve protection of natural and cultural resources.
2) Describe how you will ensure that cultural information conveyed to your passengers and crew is accurate, appropriate, and respectful.
Subfactor 2(b). Wilderness Character Education and Protection
The term "wilderness character" was first referenced in the 1964 Wilderness Act. The Act states that federal agencies, like the NPS, are responsible for preserving the wilderness character of wilderness areas. Wilderness character is a holistic concept based on the interaction of (1) biophysical environments primarily free from modern human manipulation and impact, (2) personal experiences in natural environments relatively free from the encumbrances and signs of modern society, and (3) symbolic meanings of humility, restraint, and interdependence that inspire human connection with nature. This includes intangible qualities like a sense of adventure, inspiration, or relaxation. Wilderness character also includes five tangible qualities associated with the biophysical environment: natural quality, untrammeled quality, undeveloped quality, opportunities for solitude for primitive or unconfined recreation quality, and other features of value.
Using not more than two (2) pages, including all text, pictures, graphs, etc.
Describe how you will educate your customers to protect and embrace wilderness characteristics.
Describe commitments that support this education. Address at a minimum, wilderness qualities of untrammeled resources (e.g., avoiding social trailing, limiting noise at anchorages) and solitude, focusing on natural soundscape, and night skies.
Subfactor 2(c). A quality trip experience will be provided at a reasonable rate.
The tour vessel itinerary is a significant element in ensuring that passengers have a reasonable opportunity to enjoy, learn about, and experience the park at a reasonable rate. Vessel route, timing (both arrival times and duration for Glacier Bay highlights), and a well-conceived overall strategy to experience Glacier Bay can make a huge difference in passenger experiences
CC-GLBA0TV-24 Proposal Package Page 13
Describe your trip itinerary for both one or multiple day visits and address the following:
• Provide your proposed rates and reservation/refund cancellation policies;
• Glacier viewing time;
• Specific wildlife viewing opportunities highlighted;
• Flexibility to experience seasonal and/or temporary scenic/wildlife hotspots (e.g. productive salmon streams and bear feeding, eagle nests, marine mammal viewing opportunities, etc.);
• Providing opportunities for passengers to experience natural soundscapes by temporarily shutting down primary engines at prime viewing sites (glacier faces, protected inlets, marine mammal haul outs, seabird nesting areas, etc.);
• Opportunity to learn about Tlingit culture and homeland by exploring the Huna Tribal House and Bartlett Cove.
Note to Offerors:
As stated in the Draft Contract, Exhibit B, Operating Plan, an approved interpretive program is a required element of the concession contract. The Service’s objectives to requiring an interpretive program are to:
• Focus tour vessel activities on Glacier Bay National Park and the mission of the Service during the visit by providing a comprehensive interpretive program;
• Provide an effective pre-arrival program for passengers to facilitate their understanding and enjoyment of the area;
• Provide a comprehensive program for evaluating effectiveness of the on-board interpretive program.
The Concessioner may elect to participate in an onboard NPS Ranger Interpretive Program on a cost recovery basis, develop your own program that meets the interpretive requirements within the Operating Plan, or elect to use the interpretive programing available in Bartlett Cove.
If the Concessioner chooses to participate in the NPS Ranger Interpretive Program, all of the Interpretive Program components in the operating plan will be provided by the Service. All costs associated with program are the responsibility of the Concessioner including NPS staff time, all meals and lodging provided on the vessel and all transportation costs to embark and disembark from the vessel in Bartlett Cove. NPS Interpretive Rangers may not board the vessel prior to 0600 (6:00am) and must disembark no later than 2100 (9pm).
PRINCIPAL SELECTION FACTOR 3. THE EXPERIENCE AND RELATED BACKGROUND OF THE OFFEROR, INCLUDING THE PAST PERFORMANCE AND EXPERTISE OF THE OFFEROR IN PROVIDING THE SAME OR SIMILAR VISITOR SERVICES AS THOSE TO BE PROVIDED UNDER THE CONCESSION CONTRACT. (0-5
POINTS)
Note to Offeror: To assist in the evaluation of proposals under this and other selection factors, provide the following information regarding the organizational structure of the business entity that will execute the Draft Contract. This organizational structure information will not be scored for selection purposes, but may be used for assessing responses to various selection factors. If the Offeror is not yet in existence, the Offeror- Guarantor should describe its own experience and explain how such experience will carry over to the Offeror entity.
Offeror’s Organizational Structure
Describe the entity with which the Service will contract, specifying whether it is currently in existence or is to be formed. The submission must include the Offeror’s Transmittal Letter signed by each Offeror-Guarantor that unconditionally states and guarantees the Offeror- Guarantor will provide the Offeror with all funding, management and other resources that the Draft Contract requires and the proposal offers. All forms are provided electronically as an Appendix to the prospectus. The Offeror must complete all forms provided and submit both a hard copy and an Excel spreadsheet file.
This selection factor has no subfactors. The Service will score the selection factor based upon the entirety of the response.

Your estimate of the acquisition and start-up costs of this business using the Initial Investment and Start-Up Expense and the Initial Investments and Start-Up Expense Assumptions forms included in the Excel spreadsheets provided as an Appendix to the prospectus. Explain fully the methodology and the assumptions used to develop the estimate. The information provided should be of sufficient detail to allow a reviewer to understand how the estimates were determined. If you are the Existing Concessioner and do not anticipate any additional initial investment or start-up costs, please state that you consider the current personal property and assets adequate to operate this concession opportunity successfully.

Below are some general notes regarding the provided forms found in the Appendices attached to the Prospectus.
• The Service has provided forms that request the information in the format it desires. These forms may differ from the format and requirements set forth in generally accepted auditing standards (GAAS) with regard to prospective financial statements. The Service does NOT request that the prospective financial statements be reviewed in accordance with GAAS.
• Do not add or eliminate rows on the Excel spreadsheets provided in the appendix. Columns should not be deleted; however, columns may be added to reflect the number of years in the Draft Contract term, if necessary. If you wish to provide additional information, do so in additional spreadsheets, outside of the ones provided. If additional information is provided, clearly identify how it fits into the income statement, cash flow, and/or assumption tables. For the purpose of the pro forma statements, use the calendar year as the fiscal year.
• Provide a clear and concise narrative explanation of the method(s) used to prepare the estimates…
