1.0. BACKGROUND

The Pension Benefit Guaranty Corporation (PBGC) is a government owned corporation. PBGC was established to protect the retirement income of individuals and their beneficiaries who are covered under certain private sectors, defined benefit pension plans as provided by Title IV of the Employee Retirement Income Security Act of 1974 (ERISA). PBGC’s programs (1) encourage the continuation and maintenance of voluntary private pension plans for the benefit of the plan participants; (2) protect pension benefits in on-going pension plans; (3) ensure timely and uninterrupted pension benefits payments under Title IV- covered plans; and (4) maintain insurance premiums at the lowest level consistent with the PBGC Title IV obligations. PBGC engages in activities to preserve plans and protect participants by administering two separate insurance programs. As of 09/30/2023, the Multiemployer Program protects about 11.0 million workers and retirees in about 1,360 pension plans. The Single-Employer Program protects about 20.6 million workers and retirees in about 23,500 pension plans.

PBGC’s operations are financed by insurance premiums set by Congress and paid by sponsors of PBGC-insured defined benefit pension plans and by investment income. In addition, the Single-Employer Program is funded by assets from pension plans trusteed by PBGC and recoveries from the companies formerly responsible for the plans.

2.0 INTRODUCTION

PBGC’s organization relevant to Custodian Banking services is overseen by the Financial Operations Department (FOD) and Corporate Investments Department

(CID).

FOD resides within the Chief Financial Officer (CFO) and administers and manages the Corporation’s financial and accounting programs and prepares the reports and financial statements for the Corporation. CID also resides within the CFO group and provides investment management services for plans assets trusteed by the PBGC and for assets managed by the Corporation. The General Accounting Branch resides within the Controller Operations Division (COD) and administers the general accounting programs and the Investment Accounting Branch (IAB) directs PBGC’s investment/trust accounting programs. Each of these groups resides within FOD.

The investment management program is designed to provide efficient and effective management of PBGC’s assets received through (1) premium receipts from PBGC’s insurance program (PBGC Revolving Funds), and (2) trusteeship of terminated pension plans (PBGC Trust Funds).

The Revolving Fund is valued at approximately $ 52.8 billion as of September 30, 2023, receives all premium payments, and is invested solely in “book-entry” U.S.

Government securities held at the U.S. Treasury. There are no Custodian Bank services required for this fund; however, performance measurement services are required.

The Trust Fund is valued at approximately $ 68.1 billion as of September 30, 2023, and receives assets from terminated plans. PBGC has become trustee for 5,129 plans as of September 30, 2023. Trust Fund assets can be more flexibly invested than Revolving Fund assets, such that possible asset classes include equities, debt obligations and real estate investment trusts.

The investment objectives of the Program reflect mid-term and long-term investment horizons and accommodate current and projected financial requirements of the PBGC. These objectives are to:

Satisfy existing liabilities and future claims when due.

Maximize funded status within a prudent risk framework that is informed by PBGC’s fixed obligations and asset composition of potential trusteed plans. • Utilize Liability Driven Investment (LDI) techniques to minimize the risk of future deficits.

Meet or exceed the performance benchmarks for the Program over three- and five year time periods on a net of fee basis.

Diversify the investment assets base when useful for managing risk, taking into account that changes based on market-timing are inconsistent with the IPS.

Maintain liability-hedging and return-seeking assets according to the target asset allocations

PBGC Trust Funds require Custodian Bank services so that those trust assets acquired through plan trusteeships can be kept separate or commingled for accounting and management purposes. The commingled account is divided by PBGC into portfolios which are managed by Investment Managers (“IM”) selected by the PBGC, including, but not limited to equity managers, fixed income managers, special situations managers, and real estate managers. Additionally, private market assets assumed from terminated and trusteed pension plans are also included; however, these investments were not initially selected by the PBGC.

A short-term commingled holding account is used for receiving and disbursing funds and securities in the commingled account.
