About this file
This is Amendment No. 4 to Contract No. 5438, executed between the Town of Greenwich, Connecticut and City Carting, Incorporated, dated July 1, 2011, concerning the loading, hauling, and disposal of single stream recyclable materials and management of recycling operations at the Holly Hill Resource Recovery Center. The amendment extends the contract for one additional five-year option period from July 1, 2021 through June 30, 2026. The document establishes the base processing fee (BPF) for single stream recyclable material removal and outlines pricing structures for the extended term, with specific escalation provisions for years three through five of the renewal period.
The amendment establishes a BPF of $65.00 per ton for the removal of single stream recyclable material, effective April 1, 2020, remaining at $65.00 per ton for the first two years of the extended term (July 1, 2021 through June 30, 2023), with a 3% annual escalation for years three through five. The amendment incorporates a shared reward program whereby if commodity prices for recyclable materials exceed the BPF, the Town retains 80% of the commodity value above the BPF while the Contractor retains 20%, with compensation calculations based on the RISI Pulp & Paper News Northeast Pricing mixed paper grade index. The document also references pricing proposals from City Carting for related contracts including municipal solid waste transportation at $93.66 per ton with annual increases, transfer station management fees of $52,843.13 per month with 4% increases beginning July 1, 2023, and construction and demolition materials disposal at varying rates with $2.00 per ton annual increases.

AMENDMENT NO. 4
TO CONTRACT NO. 5438
DATED
1 July 2011
Between
TOWN OF GREENWICH
and City Carting, Incorporated
This is an Amendment attached to, made part of, and incorporated into Contract No.
5438_made on between the Town of Greenwich (TOWN) and CityCarting, Incorporated (CONTRACTOR) providing loading, hauling and disposal of Single Stream Recyclable Materials , and management of the recycling operations at the Holly Hill Resource Recovery Center.
WITNESSETH :
WHEREAS, the TOWN has reviewed the proposal dated 23 February 2021:
The contract shall be amended as follows :
Under Article VI, Section 6.1 , Paragraph C, the contract shall be amended as follows :
Effective 04/0112020, the Town shall pay the contractor a Base Processing Fee (BPF) in the amount of $65.00 per ton for removal of single stream recyclable material.
The Town exercises its right to extend this contract for one additional 5-year option for the period of 07/01/2021 through 06/30/2026. The B PF amount for the period from 07101/2021 through 06/3 0/2026 shall remain $65.00 per ton in year one and two (07/01 /2021 through 06/30/2023) and the yearly escalation thereafter shall be 3% per year for years three through five.
If the commodity price for recyclable materials exceeds the base processing fee, the Town and the Contractor agree to a "shared reward" basis for compensation. Under the shared reward program, the Town will receive a credit for 80% of the commodity price above the base processing fee.
The fee used to calculate the shared reward program shall be based upon the commodity pricing as reported in the Market Index obtained from the RISI Pulp & Paper News (Northeast Pricing) "mixed paper grade".
Under shared reward , the Town shall retain 80% of the commodity value over the base processing fee and the Contractor shall retain 20% of the commodity value over the base processing fee .
Under the shared reward program, the total net fee payable to the contractor shall be calculated as follows:
The BPF (base processing fee) will be subtracted from the MR (market rate) and will be multiplied by 80% (0 .80) resulting in the Shared Reward Value (SRV).
The SRV will then be deducted from the BPF resulting in the Total Net Fee to be paid to the Contractor.
EXAMPLE: $100.00 (MR)- $65.00 (BPF) = $35 x 0.80 = $28.00 (SRV)
$ 65.00 (BPF)- $28 :00 (SRV) = $37.00 (TNF)
All other terms and conditions of Article VI, Section 6 remain the same.
The TOWN and CONTRACTOR agree that this constitutes the entire amendment to the contract.
The TOWN and CONTRACTOR agree that all the original terms and conditions set forth in the contract (No. 5438) dated 1 July 2011 remain intact and in effect.
IN WITNESS W~. REOF, the parties hereto have made and executed this Amendment No.4 as of 7 jul , 20-l;L_
