JUSTIFICATION AND APPROVAL FOR OTHER THAN FULL AND OPETN COMPETITION

UNDER FAR PART 6

1. CONTRACTING ACTIVITY: 411th Contracting Support Brigade, Korea, Unit #15289, APO AP96271-5590

2. DESCRIPTION OF ACTION: This is a single requirement for a Firm Fixed Price contract for Maintenance and Sustainment of the C4I080 USFK Operations Center at Camp Humphreys. The funds that will be used are CY22 Logistics Cost Sharing (LCS) program funds.

3. DESCRIPTION OF SERVICES OR SUPPLIES: The total estimated value of the proposed action is $9.6 million for a 6-month base period plus one (1) 6-month option period as follows:

Base (6 months) $4.8 million 1st Option Period (6 months) $4.8 million

The Contractor shall provide maintenance and operation of all systems within the C4I080 USFK Operations Center facility IAW all associated operations manuals and supporting documents. The Contractor shall provide all personnel, locally available equipment/materials, facilities, transportation, tools, supervision, and other items and non-personal services necessary to perform system maintenance as defined in the Performance Work Statement. This includes on-site 24/7/365 days of technical/emergency service support, periodic inspection/preventative maintenance, and repair/replacement of building systems. The estimated Period of Performance (POP) is from 15 March 2022 to 14 March 2023 (base period plus one six-month option period). Additionally, the construction contractor who is familiar with the operation of the facility’s systems, Hyundai Engineering and Construction, would be able to train the future U.S. M&S contractor on the correct operation and maintenance procedures.

4. AUTHORITY CITED: FAR 6.302-1, Only one responsible source and no other supplies or services will satisfy agency requirements, 10 USC 2304(c)(1)

5. REASON FOR AUTHORITY CITED:

a. The C4I080 USFK Operations Center is a highly complex facility. It features a robust backup power system (4x 4,160 volt Diesel Rotary Uninterrupted Power Supply Systems (DRUPS) and 4x 2.5 mega-watt generators), chemical filtration and decontamination system, and large Sensitive Compartmented Intelligence Facility areas. Hyundai Engineering and Construction Company (Hyundai E&C) completed work on the facility systems and successfully completed the building integrated systems testing (IST).

Hyundai E&C is able to perform the required maintenance and sustainment without a phase-in period as they have already been maintaining all of the major mechanical and electrical systems during the building completion inspections. This ability reduces the risk to the Government.

b. Further, the Government does not have the technical ability to maintain and operate the C4I080 systems. The C4I080 USFK Operations Center must be 100% operational at all times. If not, the ability for USFK to provide adequate command and control during a conflict will be negatively impacted. The C4I080 USFK Operation Center construction schedule was somewhat fluid and the facility turnover date was only recently confirmed.

6. EFFORTS TO OBTAIN COMPETITION:

a. The requiring activity conducted market research and could not find any companies in Korea that have experience maintaining the complex building systems found in C4I80 USFK Operations Center. This acquisition is anticipated to be processed under FAR Part 12 and Part 15. The PWS was posted on SAM.gov for a 30 day RFI period. There were four inquiries by interested contractors and two contractors provided a capabilities statement. Analysis of those contractors is described in Paragraph 8.

Market Research below.

b. A U.S. M&S contract is under procurement with the USACE Huntsville District. USACE has a

Worldwide M&S MATOC contract with a pool of 16 qualified contractors. The permanent maintenance will be competed among those MATOC contractors. The USACE procurement is necessary because once USFK has fully moved into the C4I080 Operations Center and the secure intelligence areas are in use, the maintenance and sustainment workforce will require security clearances.

7. ACTIONS TO INCREASE COMPETITION:

a. USFK is pursuing a permanent, a long-term Maintenance and Sustainment (M&S) contract through the U.S. Army Corps of Engineers Huntsville District Worldwide M&S MATOC contract. The first task order for this contract is anticipated for award in 1st Qtr. FY23. The contract with Hyundai Engineering and Construction will be the bridge to the permanent U.S. M&S contractor. The contract with Hyundai Engineering and Construction Company will establish Initial Operating Capacity (IOC) and will develop the operating procedures and manuals with the facility manager. This contract will also train the permanent U.S. M&S contractor how to maintain the unique systems of the facility.

b. This justification action will be posted on SAM.gov.

8. MARKET RESEARCH:

a. A market research study was conducted by the requiring activity and has determined that other

Korean companies do not have the capability to maintain the facility (DRUPS, chemical filtration and decontamination). While there are some Korean sources that have experience similar in scope, they do not match the complexity of this requirement.

b. Through the 30-day RFI period, there were four companies that submitted questions about the

PWS. A capabilities statement was requested from all companies. Only two companies submitted a capabilities statement. One of the companies did not submit experience with projects completed on a U.S. installation or built to U.S. construction standards. The other company that submitted a capabilities statement was Hyundai Engineering and Construction Company (Hyundai E&C). Hyundai E&C has experience building a large $200+M project on a U.S. installation to U.S. standards.

9. INTERESTED SOURCES: There were 5 interested sources that submitted RFIs during the 30 day RFI posting period. The first interested company mainly focuses on development of construction management software. The second company to express interest lists Base Operations Support in Guam;

Capabilities – Facilities and Infrastructure sustainment, renovation, and modernization. The third company that expressed interest also did not have the requisite experience (as listed above in para 8.b.).

The fourth company that expressed interest was Hyundai Engineering and Construction. HyundaiE&C

(listed in above in para 8.b.). Hyundai E&C submitted details RFIs about safety, off-shore materials, access procedures, material delivery, and performance requirements. It was clear that they performed a detailed analysis of the PWS. The last source of interest was from an individual who did not respond after initial correspondence.

10. OTHER FACTS:

a. Procurement History: This requirement is for systems maintenance of a newly-constructed, completely unique facility, designed and built to perform a very specific mission. As such, there is not a procurement history for systems maintenance of this facility. A fixed price requirements contract for systems maintenance is anticipated. The contract shall include scheduled and unscheduled maintenance requirements.

b. Other Facts: Hyundai Engineering and Construction (Hyundai E&C) is justified as a sole source through approval of other than full and open competition process, as this offeror is the only responsible source. Allowing a different source to attempt to operate and maintain the complex systems of the C4I080 facility exposes the Command to significant operational risk. Hyundai E&C is the only contractor who knows the as-built condition of the critical warfighting systems within the facility. They are the only entity that knows how to operate the systems in its “as-built” condition. It will take months for a new contractor to learn the intricacies and details of how to operate such large mechanical and electrical equipment. Hyundai can start operating the building on day 1. It will not require any time for familiarization. During the planned performance period, furniture, C4I, electronic security, and electronic data walls are planned to be installed into the facility. Mechanical or electrical outages due to improper maintenance will hinder the process of building outfitting and will present a significant schedule risk to the Troop Ready condition. All of the systems in the building were constructed to meet U.S. building code requirements. The maintenance contractor will be responsible for establishing the Initial Operating Capability for USFK. They will adjust the mechanical and electrical equipment settings based on normal and “exercise” occupancy of the facility. The contractor will also train the permanent maintenance contractor on proper operational procedures.

c. Contractor MUST show project experience on all of the systems and for the stated time frames and projects size as listed below. All of these systems in this facility are integrated and operate together in a unique manner. The performance of one of these systems impacts the performance of other systems, thus experience is necessary for all of these systems in this requirement as it demonstrates technical ability and knowledge of quality control and safety procedures.

1) Minimum 4 years of experience of construction/operation under ICD 705 securityguidelines.

2) Experience constructing, operating and maintaining a single $200+ million project on a U.S.

Military Installation.
