Subj: SOLE SOURCE MEMORANDUM TO ACQUIRE SOFTWARE SUPPORT AND SUBJECT MATTER DEVELOPMENT SERVICES FROM INNOVATIVE PROFESSIONAL SOLUTIONS (ERP# 1301023483)

1. Identification of the agency and the contracting activity, and specific identification of the document as a “Sole Source Justification.”

This is a sole source justification. Contracting activity is the Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City, FL 32407-7001 (Contracts Department Code 02).

2. Nature and/or description of the action being approved.

This action will award a firm fixed price purchase order, under the WOSB Statue FAR 19.1506, to Innovative Professional Solutions (IPS) to provide software support and subject matter development services for the PINS software framework.

3. A description of the supplies or services required to meet the agency’s needs (including the estimated value).

The PINS project has replaced several key software developers with new hires. These new hires need assistance from subject matter experts employed or available to Innovative Professional Solution (IPS) to perform daily software support activities. In addition to ongoing support the project needs IPS to provide subject matter expertise development training to the new software engineers in the complex inter-process communication frame work used on PINS. PINS is a distributed computing navigation system using the Common Object Request Broker Architecture (CORBA) communication backbone. The proprietary communication frame work is unique to PINS. The project requires IPS assistance to train new hires on the framework.

This acquisition will be conducted using simplified acquisition procedures with a total estimated value of being above the micropurchase threshold but below the simplified acquisition threshold of $250,000.00. The Government's minimum needs have been verified by the certifying technical and requirements personnel. This memo does not authorize acquisition for other requirements. This purchase will be funded with FY 2022 Operation and Maintenance, Navy (OMN) funds.

4. Identification of the justification rationale and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply orservice. 10 U.S.C. 2304(c)(1), 10 U.S.C. 2304(d)(1)(B). Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements FAR 6.302-1(a)(2)(iii)(B).

This procurement is sole source for the following reasons. IPS’s personnel developed the original PINS configuration in 2005. The CORBA frame work is no longer extensively used in industry and has been replaced by more modern solutions. The PINS system is in the sunset stage of its life cycle with end of service life in 2027. With this end date rapidly approaching, the acquisition and development of new framework is extremely expensive and not cost effective. This time is derived as to the amount of time is required to acquire the software, install, test, and recertify the PINS system. These additional costs and investment of time for a new software product are both cost and time prohibitive. As such, the Government does not expect significant savings through competition and does expects significant and unacceptable delays that will negatively impact this requirement. Therefore, it is in the Governments’ best interest to award on a sole source basis to IPS, Incorporated.

5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b).

The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the Government’s needs.

6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.

For the reasons specified in paragraph 4 above, IPS Inc. is the only source that can meet the Government’s needs. This requirement will be synopsized in the government point of entry site SAM.gov.

7. Any other facts supporting the justification.

None.

8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.

As stated in paragraph 4 above, IPS Inc. is the only source that can meet this requirement.
