About this file
This is a Combined Synopsis and Solicitation for an Indefinite Delivery Indefinite Quantity (IDIQ) contract for IMT RiverWare Software Support issued by the Department of the Interior, Bureau of Reclamation, Interior Region 7, Upper Colorado Basin, Salt Lake City Regional Office.
The solicitation (140R4026Q0099) seeks to procure comprehensive software support services for the proprietary RiverWare software, including annual software maintenance, enterprise support, technical support services, and software engineering services. The contract period runs from October 1, 2026 through September 30, 2036, consisting of a one-year base period (October 1, 2026 to September 30, 2027) followed by nine one-year option periods. The Government has determined through a sole-source justification that the University of Colorado is the only responsible source capable of meeting the requirements. Offerors must submit firm-fixed pricing for all pre-priced Contract Line Item Numbers (CLINs) for the base period and each option period, including annual RiverWare Software Maintenance and Enterprise Support CLINs and labor rates for Technical Support and Software Engineering Services. Other Direct Costs and Travel will be established as firm-fixed-price CLINs at the individual task-order level when required. The proposal submission deadline is August 20, 2026 at 1700 Eastern Standard Time. Award will be made to the responsible offeror whose proposal conforms to solicitation requirements and whose proposed prices are determined fair and reasonable, with price as the sole evaluation factor. The contract incorporates commercial item terms and conditions, requires electronic invoicing through the Invoice Processing Platform (IPP), and includes standard FAR clauses addressing representations and certifications, anti-kickback procedures, trafficking in persons, and other federal contracting requirements.

DOI-AAAP-0050 CONTRACTOR PERFORMANCE ASSESSMENT REPORTING
SYSTEM (DEC 2015) https://www.acquisition.gov/far/part-42 - FAR_42_1502
FAR 42.1502 directs all Federal agencies to collect past performance information on contracts.
The Department of the Interior (DOI) has implemented the Contractor Performance Assessment
Reporting System (CPARS) to comply with this regulation. One or more past performance evaluations will be conducted in order to record your contract performance as required by FAR
42.15.
1. The past performance evaluation process is a totally paperless process using CPARS. CPARS is a web based system that allows for electronic processing of the performance evaluation report.
Once the report is processed, it is available in CPARS for Government use in evaluating past performance as part of a source selection action.
mailto:Drbaird@usbr.gov
2. We request that you furnish the Contracting Officer (CO) with the name, position title, phone number, and email address for each person designated to have access to your firm's past performance evaluation(s) for the contract no later than 30 days after award. Each person granted access will have the ability to provide comments in the Contractor portion of the report and state whether or not the Contractor agrees with the evaluation, before returning the report to the Assessing Official (AO). Information in the report must be protected as source selection sensitive information not releasable to the public.
3. When your Contractor Representative(s) are registered in CPARS, they will receive an automatically generated email with detailed login instructions. Further details, systems requirements, and training information for CPARS is available at https://www.cpars.gov/.
4. Within 60 days after the end of a performance period, the AO will complete an interim or final past performance evaluation, and the report will be accessible athttps://www.cpars.csd.disa.mil/https://www.cpars.gov/.
a) Contractor Representatives may then provide comments in response to the evaluation or return the evaluation without comment.
b) Your comments should focus on objective facts in the AO's narrative and should provide your views on the causes and ramifications of the assessed performance.
c) All information provided should be reviewed for accuracy prior to submission.
d) If you elect not to provide comments, please acknowledge receipt of the evaluation by indicating "No comment" in the space provided, and then selecting "Accept the Ratings and Close the Evaluation".
e) Your response is due within 60 calendar days after receipt of the CPAR. On day 15, the evaluation will become available in CPARS marked as "Pending" with or without comments and whether or not it has been closed.
f) If you do not sign and submit the CPAR within 60 days, it will automatically be returned to the Government and will be annotated: "The report was delivered/received by the contractor on (date). The contractor neither signed nor offered comment in response to this assessment."
5. The following guidelines apply concerning your use of the past performance evaluation:
a) Protect the evaluation as source selection information. After review, transmit the evaluation by completing and submitting the form through CPARS. If for some reason you are unable to view and/or submit the form through CPARS, contact the CO for instructions.
b) Strictly control access to the evaluation within your organization. Ensure the evaluation is never released to persons or entities outside of your control.
c) Prohibit the use of or reference to evaluation data for advertising, promotional material, pre-award surveys, responsibility determinations, production readiness reviews, or other similar purposes.
7. If you wish to discuss a past performance evaluation, you should request a meeting in writing to the CO no later than seven days following your receipt of the evaluation. The meeting will be held in person or via telephone or other means during your 60-day review period.
8. A copy of the completed past performance evaluation will be available in CPARS for your viewing and for Government use supporting source selection actions after it has been finalized.

Changes clause of the contract; or
(2) Advise the Contractor that the Government will issue a written change order.
(f) A failure of the Contractor and Contracting Officer either to agree that the technical direction is within the scope of the contract or to agree upon the contract action to be taken with respect to the technical direction will be subject to the provisions of the clause entitled "Disputes."

(c) Before consulting with the Ombudsman, the Contractor is encouraged to first address complaints with the Contracting Officer for resolution. When requested by the Contractor, the
Ombudsman may keep the identity of the concerned party or entity confidential, unless prohibited by law or agency procedure.

Line Item Number (CLIN) within the applicable task order. The Contractor shall propose a firm-fixed price for the required travel based on the anticipated travel necessary to perform the task-order requirements. Proposed travel pricing shall be developed using the Joint Travel
Regulations (JTR) as the basis for developing the proposed Firm-Fixed Price (FFP) travel price.
(c) Prior to task-order award, the Contracting Officer shall evaluate the proposed travel price and determine it to be fair and reasonable in accordance with FAR 13.106-3 and FAR 15.404-1(b).
(d) Upon award of the task order, the travel CLIN shall be firm-fixed-price. Payment shall be made at the fixed amount established in the task order upon satisfactory performance of the authorized travel requirements. No adjustment shall be made based on the Contractor's actual travel costs incurred.
(End of Clause)

Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor-
(1) Any order for a single item in excess of $1,000,000.00;
(2) Any order for a combination of items in excess of $1,000,000.00; or
(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-
21 of the Federal Acquisition Regulation (FAR), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 10 days after issuance, with written notice stating the
Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
(End of clause)
52.216-22 Indefinite Quantity. (OCT 1995) (Deviation Effective Date)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the
Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the ordering period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order, which may include order options to be exercised after the ordering period of this contract but before the end of the period of performance of the order. The contract shall govern the Contractor's and
Government's rights and obligations with respect to that order, including options exercised, to the same extent as if the order were completed during the contract's ordering period; provided, that the Contractor shall not be required to make any deliveries under this contract after September
30, 2036.
(End of clause)
52.217-8 Option To Extend Services. (NOV 1999)

The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 126 months.

All narrative submissions shall use 12-point Times New Roman, Calibri, or Arial font, single-spaced, with one-inch margins.
Volume I: Compliance Informaiton
Because the Government has determined through the approved sole-source justification that the
University of Colorado is the only responsible source capable of meeting the Government's requirements, technical capability is not an evaluated factor for award.
Accordingly, Volume I is submitted solely for the Government to verify compliance with the solicitation requirements.
At a minimum, Volume I shall include:
• A statement acknowledging the Offeror's understanding of and agreement to perform the
Performance Work Statement (PWS);
• A statement confirming that the Offeror is the owner and exclusive licensor of the proprietary RiverWare software and is capable of providing the licenses, maintenance, software updates, software engineering services, technical support, training, and related services required under the contract;
• A statement identifying any assumptions or exceptions to the solicitation requirements;
and
• Any additional information necessary to demonstrate compliance with the solicitation requirements.
This volume will not be comparatively evaluated and will not be used as a basis for award.
The Compliance Information volume shall not exceed five (5) pages.
Volume II: Price Proposal
The Price Proposal shall contain all pricing information required by Section B.
Offerors shall complete the pricing schedule contained in Section B, including:
• Firm-fixed prices for Annual RiverWare Software Maintenance and Enterprise Support
CLINs;
• Firm-fixed labor rates for Technical Support and Software Engineering Services CLINs;
• Pricing for the base period and all option periods; and
• Supporting documentation necessary for the Government to determine price fairness and reasonableness, including the basis of estimate, pricing assumptions, labor category descriptions (if applicable), and any other information supporting the proposed pricing.
Offerors shall propose firm-fixed prices for all pre-priced CLINs for the base period and each option period.
Proposed prices shall include all direct labor, indirect costs, overhead, general and administrative expenses, profit, and projected escalation applicable to each contract period.
Other Direct Costs (ODCs) and Travel will not have pre-established contract pricing. When required, firm-fixed prices for ODCs and Travel shall be proposed, evaluated, and established at the individual task-order level in accordance with the contract.
Price is the sole evaluation factor for contract award.
Volume III: Administrative Information
The Administrative Volume shall include:
• Completed representations and certifications required by this solicitation;
• Signed acknowledgment of all solicitation amendments, if applicable;
• A description of any exceptions or deviations to the solicitation requirements, terms, or conditions;
• Required licenses, registrations, or certifications not included elsewhere; and
• Any additional administrative information required by this solicitation.
The Government reserves the right to request additional supporting information as necessary to evaluate technical acceptability, price reasonableness, or responsibility.
(b) Period for Acceptance of Offers.The Offeror agrees to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers, unless another period is specified elsewhere in this solicitation.
(c) Late Submissions, Modifications, Revisions, and Withdrawals of Offers. (1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation.
(2) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is "late" and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition, and—
(i) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m.
one working day prior to the date specified for receipt of offers; or
(ii) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers.
(3) However, a late modification of an otherwise successful offer that makes its terms more favorable to the Government will be considered at any time it is received and may be accepted.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offerors may withdraw their offers by written notice received at any time before award.
(d) Contract Award The Government intends to evaluate offers and make award without discussions. Therefore, the Offeror's initial proposal should contain its best pricing. The
Government reserves the right to conduct discussions if determined necessary by the Contracting
Officer.
The Government intends to award a single IDIQ contract to the responsible Offeror whose proposal conforms to the requirements of this solicitation and whose proposed prices are determined to be fair and reasonable, in accordance with the evaluation criteria contained in
Section M.
Technical capability is not an evaluated factor for award because it has already been established through the Government's approved sole-source justification and determination that the
University of Colorado is the only responsible source capable of meeting the Government's requirements.
(e) Debriefings. If a postaward debriefing is given to requesting Offerors, the Government will disclose the following information, if applicable:
(1) The Government's evaluation of the significant weaknesses or deficiencies in the debriefed
Offeror's proposal.
(2) The overall evaluated cost or price and technical rating of the successful Offeror and the debriefed Offeror, and past performance information on the debriefed Offeror.
(3) The overall ranking of all Offerors, when any ranking was developed by the Government during the source selection.
(4) A summary of the rationale for award.
(5) For acquisitions of commercial products, the make and model of the product to be delivered by the successful Offeror.
(6) Reasonable responses to relevant questions posed by the debriefed Offeror as to whether source selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the Government.
(End of Provision)
52.216-27 Single or Multiple Awards. (OCT 1995)
SECTION M – EVALUATION FACTORS FOR AWARD
52.212-2 Evaluation-Commercial Products and Commercial Services. (NOV 2021)
(Deviation Effective Date)
(a) Evaluation Factors The Government will award a contract resulting from this solicitation to the responsible Offeror whose proposal conforms to the solicitation requirements and whose proposed prices are determined to be fair and reasonable.
Technical capability is not an evaluated factor for award. The Offeror's technical capability has already been established through the Government's approved sole-source justification and determination that the University of Colorado is the only responsible source capable of meeting the Government's requirements. Accordingly, award will be based on price alone, subject to a determination that the proposal is compliant with the solicitation and that the Offeror is responsible.
Proposal Volume Evaluation
Proposal Volume Evaluation
Volume I: Technical/Compliance Information Factor 1: Compliance Reveiw
Volume II: Price Proposal Factor 2: Price
Volume III: Administrative Information Responsibility/Administrative Review
Factor 1: Technical/Compliance Information (Volume I: Compliance Review)
The Government will review the Offeror's submission solely to verify that it:
• Acknowledges and accepts the requirements of the solicitation;
• Demonstrates the ability to provide the proprietary RiverWare software, licenses, maintenance, updates, technical support, software engineering services, and related services described in the Performance Work Statement (PWS);
• Includes all required representations, certifications, and solicitation documentation.
This review is not a comparative technical evaluation and will not be used as a basis for source selection. Technical capability has already been established through the approved sole-source justification.
Factor 2: Price (Volume II: Price Proposal)
The Government will evaluate the completed pricing schedule for completeness, fairness, reasonableness, and balance.
The evaluation includes:
• Annual RiverWare Software Maintenance and Enterprise Support CLINs;
• Technical Support and Software Engineering Services CLINs;
• Base period pricing;
• Option period pricing; and
• All other pre-priced CLINs identified in Section B.
The Government may use one or more price analysis techniques authorized by FAR 13.106-3 and FAR 15.404-1(b), including comparison with historical pricing, the Independent
Government Cost Estimate (IGCE), market research, the Offeror's basis of estimate, comparison of proposed pricing (if applicable), and any other appropriate price analysis techniques.
The proposed firm-fixed labor rates for Technical Support and Software Engineering Services shall establish the contract labor rates for future task orders issued under the contract.
Because Other Direct Costs (ODCs) and Travel requirements cannot be determined at the time of contract award, those CLINs will not have pre-established contract pricing.
When required, the Contractor shall propose firm-fixed prices for ODCs and Travel at the individual task-order level. The Contracting Officer will evaluate those proposed prices and determine them to be fair and reasonable prior to task-order award.
Responsibility Determination
The apparent successful Offeror shall be determined responsible in accordance with FAR Part 9, including the standards contained in FAR 9.104-1, prior to contract award.
Basis for Award
The Government will award a contract to the responsible Offeror whose proposal conforms to the solicitation requirements and whose proposed prices are determined to be fair and reasonable.
Price is the sole evaluation factor for award. Technical capability is not evaluated because it has already been established through the Government's approved sole-source justification and determination that the University of Colorado is the only responsible source capable of meeting the Government's requirements.
Firm-fixed pricing for Other Direct Costs and Travel will be proposed, evaluated, and established at the individual task-order level, as applicable.
(b) Evaluation of Options The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced.
Evaluation of options does not obligate the Government to exercise any option.
(c) Notice of Award A written notice of award or acceptance of an offer furnished to the successful Offeror within the time specified for acceptance shall result in a binding contract without further action by either party. Before the Offeror's specified acceptance period expires, the Government may accept an offer (or part of an offer), whether or not discussions have occurred, unless a written notice of withdrawal is received before award.
