1. Contracting Activity: The Department of Veterans Affairs (VA), Veterans Integrated

Services Network (VISN) 10, Louis Stokes Veterans Affairs Medical Center, Cleveland, OH (CLE VAMC), Network Contracting Office (NCO) 10.

2. Nature and/or Description of the Action Being Approved: NCO 10 intends to award a new, firm fixed price, one year purchase order for a Philips Ingenia Mobile MRI lease, that will be sole sourced through Rayus Radiology. The request is for a mobile MRI system.

This procurement is in accordance with FAR 13.5 Simplified Procedures for Certain Commercial Items and specifically FAR 13.501, Special Documentation Requirements, where acquisitions conducted under Simplified Acquisition Procedures are exempt from the requirements of FAR Part 6, but still require a justification using the format of FAR 6.303-2.

3. Description of Supplies/Services Required to Meet the Agency’s Needs: The request is to maintain the currently operated Philips Ingenia Mobile MRI scanner in operation at the CLE VAMC – Parma CBOC located at 8787 Brookpark Rd, Parma, OH 44129.

4. Statutory Authority Permitting Other than Full and Open Competition:

(X ) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency

Requirements per 41 USC §3304(a)(1) as implemented by RFO 6.103-1.

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition

Requires the Use of the Authority Cited Above (applicability of authority): The currently leased Philips Ingenia 1.5T mobile MRI system is installed, operational, and fully integrated within the Parma Outpatient Clinic infrastructure. The system supports ongoing diagnostic imaging services required to meet patient demand and prevent MRI wait times from exceeding clinical access

Acquisition ID#: 36C250-26-AP-2701 standards. This requirement represents a continuity of services bridge while the Government pursues a long-term fixed MRI solution. Removal and replacement of the existing mobile

MRI unit would require deinstallation, site preparation, delivery, and installation of a replacement unit, resulting in a lapse in MRI availability. Industry research indicates that procurement and deployment of a replacement mobile MRI system—including manufacturing, configuration, regulatory readiness, delivery, and installation—requires approximately 12–18 months. This timeline would result in unacceptable disruption to patient care, increased wait times, and reduced access to diagnostic imaging services. While other mobile MRI providers may exist within the marketplace, no alternative vendor can provide an immediately available, fully installed, and operational system at the Parma location without interruption of services or substantial duplication of cost and schedule delay.

Accordingly, Rayus Radiology the only firm capable of providing the supplies and services described in Section III above without the Veteran’s Health Administration experiencing substantial duplication of cost that could not be expected to be recovered through competition.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as possible (including whether a notice was or will be publicized as required by RFO Part 5 and, if not, which exception under RFO Part 5 applies): A Sources Sought notice, 36C25026Q0434, was conducted from April 2, 2026, through April 10, 2026, with no responses.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: The CO will use a comparison of the proposed prices to historical prices paid for the same/similar items and a comparison of the proposed price to the IGCE, as well as any of the other price analysis techniques identified in FAR 13.106-3(a)(2)(ii), as necessary, to determine the price to be fair and reasonable.

8. Description of the Market Research Conducted and the Results, or a Statement of the

Reasons Market Research Was Not Conducted: Market research was conducted by the Contracting Officer and the service to determine if there were other vendors capable of providing a Mobile MRI that meet CLE VAMC's specific requirements. The following sources were reviewed:

• Results: The results were zero.

Market research identified that while mobile MRI services are available within the commercial marketplace, no alternative vendors were identified that could provide a replacement system within the required timeframe without causing disruption to ongoing clinical operations. The requirement is constrained by the need for continuity of care, immediate system availability, and avoidance of operational downtime.

The Nonmanufacturer Rule (NMR) does not apply to this procurement because the requirement is classified under NAICS 532490, Other Commercial and Industrial Machinery and Equipment Rental and Leasing, which is a service-based leasing procurement rather than the acquisition of manufactured end items. Market research has determined that the VA and SBA Rules of Two cannot be met for this requirement, the OEM has no distributors, this is custom made. This will be sole sourced to Rayus Radiology.

Based on these findings, no alternative vendors were identified that could fulfill the need without significant facility modifications, procurement delays, or operational disruptions.

The VA Rule of Two and SBA Rule of Two were not met, and as a result, Rayus Radiology remains the only responsible source.

9. Any Other Facts Supporting the Use of Other than Full and Open Competition: A FITARA review is not required for this procurement because the acquisition involves supplies/services and does not include the purchase or development of information technology hardware or software.
