1. Introduction

1.1. Summary

NOTICE IS HEREBY given that the City of Hayward invites sealed proposals for 25-059 Bunker Hill Planned

Development Area. Each proposal shall be in accordance with the general provisions for purchase of work and services on file in the office of the Engineering, 777 B Street, Hayward, CA 94541-5114. All proposals must be submitted to the City's eProcurement Portal by 4:00 pm on Friday, June 27, 2025 and clearly identified with RFP title, number, company name and due date. It is the sole responsibility of the proposing firm to ensure that proposals are received prior to the closing time, as late bids will not be accepted and deemed nonresponsive.

1.2. Background

The City of Hayward, California (the City) is located in Alameda County and is known as the “Heart of the

Bay” because of its central and convenient location to San Francisco, Oakland, and San Jose. It is served by an extensive network of freeways and bus lines and has two BART stations and an Amtrak station. Currently, it is estimated that there are 148,000 residents of the City of Hayward with the City growing by approximately three percent since 2000.

City of Hayward (City) invites proposals from qualified professionals with experience in land value appraisals for residential developments in hillside areas.

Caltrans acquired several parcels in 1960s and 1970s, mostly with existing single-family residences for

Route 238 Bypass in the Hayward Hills. The Route 238 Bypass was later abandoned and Caltrans decided to sell off its acquired parcels. City of Hayward recommended to Caltrans that its surplus land could be redeveloped more cost effectively and with fewer environmental impacts through grouping and rezoning the parcels in the form of Planned Development areas. This approach was accepted by the

California Transportation Commission and agreements were executed between the City and Caltrans to sell off the Caltrans surplus properties pursuant to the city proposed plan. As a condition of the sale, certain payments were to be made by the City to Caltrans upon the City’s sale of such surplus property to third parties.

The Bunker Hill Planned Development Area comprises approximately 37.5 acres with potential for development of along Bunker Hill Boulevard, Bunker Hill Court, Central Boulevard and Maitland Dive as shown in the attached “Bunker Hill Planned Development Area” (Attachment B). The initial land plan envisioned the development of 74 single family residences. The City executed a Disposition and

Development Agreement with the City-designated developer (Trumark homes) for the development of the single family residences project. Trumark is now considering the development of a townhome project for the development area, which would require a DDA Amendment. In connection with the City’s consideration of such DDA Amendment, and to understand any possible payments owed to Caltrans, the

City seeks a reappraisal of the Bunker Hill Planned Development Area.

2. Project Details

2.1. Important Instructions for Electronic Submittal

The City of Hayward is accepting electronic bid submissions. Bidders shall create a FREE account with

OpenGov Procurement by signing up at https://procurement.opengov.com/signup. Once you have completed account registration, browse back to this page, click on "Submit Response", and follow the instructions to submit the electronic bid.

2.2. Communication Regarding this RFP

All communication from prospective proposers regarding this RFP must be submitted in the Question &

Answer portal within the City's project posting. Please submit each question SEPARATELY.

Communication by telephone or in person will not be accepted. Attempts by or on behalf of a prospective or existing vendor to contact or to influence any member of the selection committee, any member of the City Council, or any employee of the City of Hayward with regard to the acceptance of a proposal may lead to elimination of that vendor from further consideration.

2.3. Last Day for Questions

All questions must be submitted to the Question & Answer portal within the City's project posting by

4:00 pm Friday, June 20, 2025. This will allow sufficient time for any addenda to be issued by the City to all bidders. Please submit each question SEPARATELY.

2.4. Award of Contract

The City reserves the right to reject any and all proposals, to contract work with whomever and in whatever manner the City decides, to abandon the work entirely and to waive any informality or non-substantive irregularity as the interest of the City may require and to be the sole judge of selection process. The City also reserves the right to negotiate separately in any manner to serve the best interest of the City. The City retains the right at its sole discretion to select a successful vendor.

2.5. City's Rights Reserved

• The City reserves the right to select the proposal which in its sole judgment best meets the needs of the City. The lowest proposed cost will not be the sole criterion for recommending the contract award. The recommended selection of the evaluation committee is final and subject only to review and final approval by the Steering Committee and the City Council.

• The City reserves the right to reject any or all proposals and to waive technicalities and informalities when such waiver is determined by the City to be in the City’s best interest.

• The City reserves the right to retain all accepted proposals, including proprietary documentation, regardless of which proposal is selected. No proposals will be returned to vendors.

• The City reserves the right to request any supplementary information it deems necessary to evaluate proposer’s experience or qualifications. This may include supplemental financial information, additional interview(s), and/or additional presentation by the proposer.

• The City reserves the right to reconsider any proposal submitted at any stage of the procurement. It also reserves the right to meet with select proposers at any time to gather additional information. Furthermore, the City reserves the right to delete or add functionality

(i.e., modules and components) until the final contract signing.

• The City reserves the right to cancel, in part or in its entirety, this RFP, including, but not limited to: selection schedule, submittal date, and submittal requirements. If the City cancels or revises this RFP, all proposers will be notified in writing by the City.

• The City reserves the right to revise the RFP prior to the date that proposals are due. The City will communicate changes through addendum to this RFP. All registered proposers will be notified of revisions to the RFP. The City reserves the right to extend the date by which the proposals are due.

• The City reserves the right to split the award from this RFP between multiple proposals when such split award is determined to be in the best interests of the City.

• The City reserves the right, in its sole discretion, to reject any and all proposals and to waive informalities and minor irregularities in any proposals received. Failure to furnish all information requested or to follow the format requested herein may disqualify the proposer, in the sole discretion of the City. False, incomplete, misleading or unresponsive statements in a proposal may also be sufficient cause for a proposal’s rejection.

• This RFP does not commit the City to award a contract. All proposals submitted in response to this RFP become the property of the City and public records, and as such, may be subject to public review.

• The City shall not be liable for any pre-contractual expenses incurred by prospective vendors or selected contractors, including but not limited to costs incurred in the preparation or submission of proposals. The City shall be held harmless and free from any and all liability, claims, or expenses whatsoever incurred by, or on behalf of, any person or organization responding to this

RFP.

• If the successful proposer defaults, the City may award this RFP to the next best proposal and may recover the loss occasioned by the successful proposer against a surety bond, if any, or by suit against the successful proposer.

• The City reserves the right to cancel, in part or in its entirety, this RFP including, but not limited to: selection procedures, submittal date, and submittal requirements. If the City cancels or revises the RFP, all interested firms will be notified.

• All proposals submitted in response to this RFP become the property of the City and public records and, as such, are subject to public review.

2.6. Protest

Should any proposer question or protest the award of the contract, such question or protest must be furnished in writing to the Purchasing Manager within three (3) calendar days after the City notifies all proposers of its Intent to Award. Such submittal must fully explain the basis of the objection supported by all relevant information facts and details. Letter must be signed by an authorized representative stating specific reason(s) for the protest including all relevant facts (law, rule, regulation, and criteria).

Questions or protests not furnished in writing as prescribed will not be accepted.

2.7. Public Records

The City is subject to the provisions of the California Public Records Act (Govt. Code § 6250 et seq.) (the

“Act”), and each proposal submitted to the City is subject to disclosure as a public record, unless the proposal or any portion thereof is exempt under the Act. If a proposer believes that any portion of its proposal is exempt from disclosure under the Act, it must clearly identify the portion(s) it believes to be exempt and identify the basis for the exemption. Each proposer bears the burden of proving any claimed exemption under the Act, and by submitting a proposal, a proposer agrees to indemnify, defend, and hold harmless the City against any third-party claim seeking disclosure of the proposal or any portions thereof.

2.8. Non-Discrimintation

Consultants shall not unlawfully discriminate, harass or allow harassment, against any employee or applicant for employment because of sex, sexual orientation, race, religious creed, color, national origin, ancestry, denial of family and medical care leave, medical condition (cancer/genetic characteristics) physical handicap, disability (mental or physical) including HIV and AIDS, denial of pregnancy disability leave or reasonable accommodation, marital status, age (40 and above), or other condition outlined in

Attachment E, in the performance of City contracts. Consultant and any subconsultants shall ensure that the evaluation and treatment of their employees and applicants for employment are free from such discrimination and harassment.

Proposers shall sign the City’s City of Hayward Nondiscriminatory Employment Practices Provision

(Attachment F).

2.9. Levine Act

Consultants will be required to disclose on the record any contribution of more than $250 which they have made to a City Council Member within the twelve-month period preceding the submittal deadline of this RFP, and within the twelve-month period preceding any subsequent procurement based on this

RFP. This applies to your company, any member of your team, any agents for you or other team members and to the major shareholders of any closed corporation, which is part of your team. If you have made a contribution which needs to be disclosed you must provide written notice of the date, amount and receipt of the contribution(s) to the City Manager. This information will need to be provided before the City can approve any contract.

2.10. Disadvantaged Business Enterprise (DBE)

City has adopted a Disadvantage Business Enterprise (DBE) Policy, pursuant to which the City encourages all prime Consultant proposers to utilize qualified DBE subconsultants on City Projects. City promotes the direct purchase of goods from qualified DBEs by utilizing DBE vendors when such vendors are available and the price of the goods sought is reasonable, and, for professional services contracts, City seeks the utilization of qualified DBEs when such DBEs are available. All prime consultants are required to report on DBE usage during the term of each contract.

For purposes of City's DBE Policy, a DBE shall be a "Disadvantage Business" within the meaning of 13 CFR

Part 121 and California Government Code Section 14837. In the event that the City's DBE Policy conflicts with any Federal, State or applicable funding source's programs, policies, regulations or requirements, City shall make the DBE Policy consistent with said funding source's programs, policies, regulations and requirements to the extent required by law. City's DBE Policy is neutral as to race, ethnicity, national origin, age, sex, religion, sexual orientation and other protected classes.

2.11. Indemnification, Insurance, and Bonding Requirements

Insurance and bonding requirements for this maintenance service are set forth in attached Standard

Consultant Professional Services Agreement (Attachment B).

2.12. Prevailing Wage

All vendors bidding/quoting on Public Works-Prevailing Wage projects exceeding $15,000 for maintenance and $25,000 for new construction, alteration, installation, demolition or repairs, must be registered with the DIR in order to submit a bid/quote.

3. Scope of Work

3.1. Scope of Work

The following Scope of Work defines project tasks. The following task descriptions are presented as information to assist consultants in preparing a proposal. A detailed scope of services will be incorporated into the negotiated consultant agreement. The Consultant, under the general direction of, and in coordination with the City’s project manager, shall be responsible for the tasks and program/ document requirements as per the following tasks:

A. Kick-off Meeting. Meet with key City team members to discuss backgrounds, goals, expectations, schedule, and budget.

B. Review Existing Documents. Review existing and proposed land use plans, easements, geotechnical reports, available site plans and any existing survey information needed for the project. Obtain any necessary clarifications from the City.

C. Prepare Draft Land Value Appraisal Report. In accordance with the Appraisal Instructions

(Attachment A) prepare a Draft Land Value Appraisal Report. City staff will review the draft report with Caltrans staff. City staff will submit written comments to the appraiser.

D. Prepare Final Land Value Appraisal Report. Submit Final Report in bound paper and .pdf formats to the City point of contact: Sara Buizer, Director of Development Services; E-mail:

3.2. Overview of Scope

A. Consultant Selection:

1. Proposals will be reviewed by the City and evaluated based on the following criteria:

f. Exceptions to Standard Consultant Agreement

B. Schedule:

1. The following provides milestones in the consultant selection process for City of

Hayward Bunker Hill Planned Development Area:

a. Electronically submit completed proposals to City of Hayward

Engineering at 4:00 pm on Friday, June 27, 2025 to https://procurement.opengov.com/portal/hayward-ca/projects/172805.

b. Tentative Interview Dates: Week of July 7, 2025

c. Final recommendation: July 14, 2025

d. Tentative contract approval: July 28, 2025

C. Proposal Format:

1. These guidelines are provided for standardizing the preparation and submission of the proposal. The intent of these guidelines is to assist Consultants in preparation of their proposals, to simplify the review process, and to help assure consistency in format and content. The total number of pages must not be more than 30 pages.

Introductory Letter, Appendices and Resumes are not included in the page count.

2. The page limitation applies to sections “a” through “i” of the Proposal

Requirements. The proposal cover, divider sheets, resumes and disclosure are not subject to the page limitation. Resumes of key personnel shall be provided in an appendix bound with the proposal.

3. The proposal must be clearly identified with the proposal title, due date and company name. The City will select two appraisers to complete independent appraisals of land value.

Consistent with the Purchase and Sale Agreement between the City of Hayward and

Caltrans, the average value of the two appraisals, provided they are within 15% of each other, will be the basis for a modified purchase price for the property to be sold.Appraisal requirements are summarized below in the Appraisal Instructions section. Proposals submitted by the due date and time will be initially reviewed by a City selection panel.

Caltrans staff may participate on the selection panel. All submitted copies become the property of the City of Hayward. The City shall not be held liable for any costs associated with the preparation or presentation of any proposal.

4. If any portion of the City’s standard Professional Services Agreement is unacceptable to your firm, please identify the particular clause(s) in a separate letter to the City submitted with your proposal.

5. Proposals shall contain the following information in the order listed:

a. Introductory letter.

i. The introductory letter shall be addressed to:Sara BuizerDirector of

Sara.Buizer@hayward-ca.govThe letter shall be on Consultant’s letterhead and include the proposer’s contact name, mailing address, telephone number, and email address. The letter will address the proposer’s understanding of the services being requested and any other pertinent information the proposer believes should be included. All addendums received must be acknowledged in the letter.The letter shall acknowledge the acceptance to the terms and conditions of the Consulting Services

Agreement and shall contain a statement that the proposal is valid for one hundred and twenty (120) days.

b. Qualifications. Related Experience and References

i. This section of the proposal should establish the ability of the Consultant to satisfactorily perform the required work by reasons of experience in performing work of a similar nature, demonstrated competence in the services to be provided, strength and stability of the firm, staffing capability, workload and supportive client references. Please feel free to add as many sheets of paper as you would like to your proposal to describe your qualifications and other sections covered in this RFP.The Consultant shall:

I. Provide a brief profile of the firm such as the types of services offered, the year founded, form of the organization (corporation, partnership, and sole proprietorship), number, size, location of offices and number of employees.

II. Provide a general description of the firm's financial condition and identify any conditions (i.e., bankruptcy, pending litigation, planned office closures, impending merger) that may impede the Consultant's ability to complete the work.

III. Describe the firm's experience in providing similar work and highlight the participation in such work by the proposed staff for this RFP.

IV. Identify subconsultants, by company name, address, contact person, telephone number and their function in relating to the work under this

RFP (if applicable).

V. Provide at a minimum three (3) references for the service cited as related experience and furnish the name, title address, telephone number and email address of the person(s) at the client organization who is most knowledgeable about the work performed. The Consultant may also supply references from other work not cited in this section as related experience.

c. Staffing.

i. The Consultant shall:

I. Identify key personnel proposed to perform the work.

II. Provide brief descriptions of key personnel, detailing applicable experience.

III. If applicable, list any required licenses of key personnel needed to perform the work under this RFP.

IV. Include a statement that identified key personnel will be available for the duration of the work and acknowledge that no key personnel shall be removed or replaced without the prior written concurrence of the City.

d. Project Approach and Work Plan.

i. The Consultant shall provide a brief narrative of the proposed approach for the Project. The proposer shall explain the way in which the proposer will completely and timely complete all of the tasks called for under the RFP.

e. Schedule.

i. The proposal will include a schedule detailing when the specific task will be completed. Consultants should factor in additional time that may be required due to reasonably foreseeable types of delays. The proposal shall also identify all critical tasks, sequencing and critical paths required to ensure that the work is completed. The schedule shall also factor in reasonable review and feedback periods for draft deliverables by City staff and all legally mandated review period and comment period, including those that may be required by third party regulatory agencies.

f. Cost Proposal.

i. Detailed cost estimate for specific Tasks 1-4 identified in the RFP and a schedule of rates for each proposed personnel that may be tasked to complete the Project. The task-specific cost estimate shall include an estimate of the number of hours per staff member by proposed task and clearly identify an hourly rate schedule for the proposed staff. Consultant rates for clerical, reproduction, and any proposed reimbursable shall also be included for each specific task.If applicable, proposers shall submit a cost breakdown identifying items such as quantities, labor categories and rates, equipment rates, unit prices, material costs, applicable taxes, shipping, and delivery charges.The prospective Consultant shall submit the Cost Proposal form included in Appendix C with their proposal in addition to the detailed cost estimate included in the proposal. This form will not be included in the page count limit.

g. Conflict of Interest Statement.

i. The Consultant shall disclose any financial, business, or other relationship with the City that may have an impact upon the outcome of the service contract. The Consultant shall also list current clients who may have a financial interest in the outcome of this contract or the construction Project that will follow. The Consultant shall disclose any financial interest or relationship with any construction company that might submit a bid on the construction Project.

h. Contract Agreement.

i. The Consultant shall provide a brief statement affirming that the proposal terms shall remain in effect for one hundred and twenty (120) days following the date proposal submittals are due.

i. Exceptions/Deviations.

i. The Consultant shall state any exceptions to or deviations from the requirements of this RFP or the City’s standard consultant agreement. Where the Consultant wishes to propose alternative approaches to meeting the

City's requirements, these should be thoroughly explained.

3.3. Appraisal Instructions

A. Qualifications

1. Appraiser shall have the following qualifications:

a. Appraiser shall be an MAI Designated member of the Appraisal Institute.

b. Appraiser shall have a current California “Certified General” (AG) real estate appraiser license issued in accordance with Title XI of Reform, Recovery and Enforcement Act of

1989 and the California Code of Regulations Title 10, Chapter 6.5 (Real Estate

Appraisers).

c. Experience in eminent domain valuations consistent with California Code of Civil

Procedures.

B. Non-Discrimination

1. Appraisal shall be administered without regard to race, color, national origin, or sex, in accordance with Title VI of the Civil Rights Act of 1964 (42 USC 2000d, et seq.) and Section

162(a) of the Federal Highway Act of 1973 (23 USC 324).

C. Purpose of Appraisal

1. The purpose of the appraisal report is to present the information gathered and reasoning used to estimate the fair market value of the subject property. The appraisal report shall be used consistent with the purposes described in the RFP to which these instructions are attached.

D. Intended Use and User of Appraisal

1. The client is the City of Hayward, which intends to sell the subject property for residential development purposes and also to provide payments for the subject property to the previous owner the State of California, acting by and through the Department of

Transportation (“Caltrans”). As such both the City and Caltrans will use and rely on the appraisal of the subject property.

E. Appraisal Performance Standards

1. The appraisal report is associated with real property acquired for transportation purposes. The property rights may have been acquired with Title 23, United States Code funds. The appraisal report shall comply with the Federal Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970, as amended (Uniform Act) found in Title

49 of the Code of Federal Regulations Part 24 (49 CFR 24). The appraisal report shall comply with the definition in 49 CFR 24.2(a)(3):The term appraisal means a written statement independently and impartially prepared by a qualified appraiser setting forth an opinion of a defined value of an adequately described property as of a specific date, supported by the presentation and analysis of relevant market information.The appraisal shall be based on nationally recognized appraisal standards and techniques to the extent that such principles are consistent with the concepts of value and the rules on the admissibility of evidence of value in a court of law. The appraisal shall comply with the Uniform Standards of

Professional Practice (USPAP).The appraisal shall include consideration of site constraints and an analysis of the developable area. The appraiser shall conduct a detailed analysis of the site’s physical constraints, including but not limited to topography, grading limitations to maintain slope stability, drainage issues, limited access and needed infrastructure improvements. Site development plans would most likely need extensive use of retaining walls, street reconstruction and widening for needed emergency service vehicles and on-street parking, underground placement of existing pole mounted electrical and tele-communication utilities to facilitate use of ladder trucks for emergency services, upgraded water, sewer and storm drains, storm water treatment and detention areas mandated by regional storm water pollution prevention programs.City will make available the site improvement plans and geological and geotechnical study reports for a recently proposed development plan for the area with the intent of seeking an accurate land value appraisal report. The appraisal analysis should go beyond zoning and theoretical land use potential by considering feasibility factors such as site access, grading costs, and structural requirements for slope stabilization. Any limitations on developability must be explicitly stated and factored into the valuation. The appraiser must fully disclose all assumptions made, including those regarding site conditions and development feasibility.

F. Definition of Fair Market Value

1. Appraiser shall use fair market value as the standard of value for the appraisal report. Fair market value shall be defined as follows per California Code of Civil Procedure, Section

1263.320:

a. The fair market value of the property taken is the highest price on the date of valuation that would be agreed to by a seller, being willing to sell but under no particular or urgent necessity for so doing, nor obliged to sell, and a buyer, being ready willing, and able to buy but under no particular necessity for so doing, each dealing with the other with full knowledge of all the uses and purposes for which the property is reasonably adaptable and available.

b. The fair market value of property taken for which there is no relevant, comparable market is its value on the date of valuation as determined by any method of valuation that is just and equitable.

G. Consistency with Caltrans’ Right of Way Manual

H. Organization, Content, and Sequence of Appraisal Report

1. The organization, content, and sequence of the appraisal report shall adhere to Section

7.02.03.00 of the Caltrans Right of Way Manual. The report shall include, but not be limited tom the following elements:

I. Appraisal Report Review and Submission

1. The appraisal report shall follow Caltrans’ review and approval process and shall be subject to the approval delegations of authority found in Section 7.18.01.00 of the Caltrans Right of

Way Manual.

Appraiser shall submit an electronic copy of the draft appraisal report for the City and

Caltrans’ review

The reviewers shall have the opportunity to submit any comments pertaining to the draft appraisal report back to the Appraiser. Appraiser shall address all comments to the satisfaction of the reviewers prior to final submission.

The final accepted submission shall be one (1) bound original report with original wet signatures where the Appraiser’s signature is required, two (2) bound paper copies (pages in color where necessary) of the signed original and one (1) electronic copy of the signed original in PDF format.

4. Evaluation Criteria

The City will review all proposals received as part of a structured evaluation process. For each decision point in the process, the City will evaluate proposers according to specific criteria and will then elevate a certain number of proposers to compete in the next level.

The sole purpose of the proposal evaluation process is to determine which solution best meets the City’s needs. The evaluation process is not meant to imply that one proposer is superior to any other, but rather that the selected proposer can provide and has proposed the best solution and implementation approach for the City’s current and future Library needs.

A review committee will evaluate all responses to the RFP that meet the submittal requirements and deadline. Submittals that do not meet the requirement or deadline will not be considered. The review committee will rank the proposals and arrange interviews with the finalist prior to selection.

The table below describes the criteria that will be used to review proposals and interview performance.

The proposals will be reviewed by City staff. The composition of the interview panel has not been determined; it could consist of the proposal reviewers, individuals that were not formally involved in proposal review and/or officials of partner agencies. The City reserves the right to select a consultant based on written proposals alone (i.e., without an interview). The City also reserves the right to not select a consultant.
