About this file

This document is a Sole Source/Brand Name Justification Memorandum for a procurement by the Naval Surface Warfare Center Carderock Division (NSWCCD). The acquisition involves purchasing an Agile Distributed Data Acquisition Processing & Training (ADDAPT) system from Analog Devices Inc. (ADI), with specific hardware components including fifty Carbon Nanotube Corrosion Sensing Elements, ten ADDAPT Edge Connectors, two ADDAPT Solo/Terminators, two Temp and Humidity Sensors, and two ADDAPT Bases. The required delivery date is no later than August 4, 2025.

The justification for sole source procurement is based on ADI's exclusive licensing agreement with Metis Design Corporation, which developed the ADDAPT technology under an Office of Naval Research Small Business Innovation Research (SBIR) program. ADI holds proprietary rights to the ADDAPT system product licenses, maintenance, and support. Port Electronics Corp. has been authorized by ADI to facilitate the one-time sale to NSWCCD. The Navy has already invested $2,241,979.00 in the product's development, and the procurement is deemed critical to prevent potential negative impacts on the Navy Fleet, particularly regarding corrosion monitoring and maintenance costs.

MEMORANDUM FOR FILE

FROM:

CODE: 654

TO: Code 02 SUBJECT: Sole Source/Brand Name Justification / Limited Source Justification for Use of Other than Full &

Open Competition for an Acquisition under the Simplified Acquisition Threshold (SAT)

I. BACKGROUND

1. FAR 13.106-1(b)(1)(i) states for purchases not exceeding the simplified acquisition threshold, Contracting Officers may solicit from one source if the Contracting Officer determines that the circumstances of the contract action deem only one source reasonably available.

2. As required by FAR 13.106-3(b)(3)(i), this memorandum explains the absence of competition for this acquisition, as only one source will be solicited for this requirement (or for a portion of the requirement) and the requirement is not expected to exceed the simplified acquisition threshold.

3. This memorandum is derived from Enclosure 3, Department of Navy Simplified Acquisition Procedures Guide (April 2018) and is only applicable to acquisitions under the SAT.

II. DESCRIPTION OF ITEM OR SERVICE (include manufacture/sole source name and address) Naval Surface Warfare Center Carderock Division (NSWCCD) Code 654 requires the purchase of an Agile Distributed Data Acquisition Processing & Training (ADDAPT) system manufactured by Analog devices Inc.

III. BASIS FOR DETERMINATION FOR USE OF OTHER THAN FULL & OPEN COMPETITION

A. BRAND NAME:

Item required must be a brand name product, or feature of a product, particular to one manufacturer.

1. Restrictive Rights: The source has established proprietary rights, limited rights in data, patent rights, copyrights, or secret processes in the item or service required.

2. Exclusive Licensing Agreements: The item or service is only available from the Original Equipment Manufacturer (OEM).

3. Other Reasons:

B. SOLE SOURCE (select all that apply)

Code 654 conducted a market survey and Analog Devices Inc. (ADI) is the only source authorized to provide the Agile Distributed Data Acquisition Processing & Training (ADDAPT) system hardware and sensors. NSWCCD does not have a direct purchase account with ADI. To facilitate a one-time sale, ADI has authorized Port Electronics Corp. to sell NSWCCD the hardware.

1. Restrictive Rights: The source has established proprietary rights, limited rights in data, patent rights, copyrights, or secret processes in the item or service required.

ADI has proprietary rights to all ADDAPT system product licenses, maintenance, and support.

2. Exclusive Licensing Agreements: The item or service is only available from the Original Equipment

The ADDAPT hardware and sensors were developed for the Navy under an Office of Naval Research (ONR) Small Business Innovation Research (SBIR) program by the Metis Design Corporation. ADI obtained an exclusive technology and license agreement, granted by Metis Design Corp., for the ADDAPT technology, see SS BNJ Attachment 1, Excerpted Licensing Agreement.

ADI is the only manufacturer of ADDAPT products. As ADDAPT is still a prototype technology, the products are not listed for sale in the ADI marketplace or distributors websites. ADI is using Port Electronics Corporation as a source for purchasing ADDAPT hardware, see SS BNJ Attachment 2, Email, ADI Sales Director, of 27 Mar 2025.

3. Other Reasons:

The Navy Fleet will suffer if Code 654 is unable to complete the procurement.

The Navy has already funded $2,241,979.00 for the SBIR development of the product.

C. LIMITED SOURCE (FAR 8.405-6):

Item required must be a brand name product, or feature of a product, particular to one manufacturer.

1. Restrictive Rights: The source has established proprietary rights, limited rights in data, patent rights, copyrights, or secret processes in the item or service required.

2. Exclusive Licensing Agreements: The item or service is only available from the Original Equipment Manufacturer (OEM).

3. Other Reasons:

IV. CERTIFICATIONS & APPROVALS

A. Technical/Requirements Certification: I certify that the facts and representation under my cognizance, which are included in this justification, are complete and accurate to the best of my knowledge and belief.

B. Certification/Approval per FAR 13.501: Upon the basis of the above justification, I hereby approve the solicitation of the proposed procurement(s) described herein using other than full and open competition, pursuant to the authority of 10 U.S.C. 2304(c).
