Contract Documents and do not supersede signed or published PDF documents.

Bidder Qualification Statement in Section 00 45 13 within five calendar days after request.

4.03 Information presented at the pre-bid conference or during site examination is not binding unless incorporated into an Addendum.

ARTICLE 5 - SITE AND EXISTING CONDITIONS

5.01 No project-specific geotechnical report or environmental report has been prepared or furnished. Existing surface conditions, base limits, utility locations, and dimensions shown are approximate and must be verified as required for the Work.

5.03 The City-designated fill site is near the Wastewater Treatment Plant as described in the Technical

Specifications. Unacceptable material must be legally disposed of off Site.

ARTICLE 6 - BIDDER REPRESENTATIONS

6.01 By submitting a Bid, Bidder represents that it has examined and carefully studied the Bidding Documents, acknowledged all Addenda, visited or had the opportunity to visit the Site, and correlated its observations with the requirements of the Work.

6.02 Bidder represents that the Bid includes all labor, materials, equipment, supervision, testing, bonds, insurance, taxes, fees, overhead, profit, and incidentals necessary for complete performance.

6.03 Bidder represents that it has no known conflict, has not engaged in collusion, and is authorized to submit and bind the entity named in the Bid.

ARTICLE 7 - INTERPRETATIONS AND ADDENDA

7.01 Questions must be submitted through CivCast no later than September 1, 2026, at 5:00 p.m. Central Time.

Questions submitted by other means or after the deadline may not be answered.

Only an Addendum issued through CivCast is binding.

7.03 Bidders shall not rely on oral explanations, informal emails, field conversations, or information from third-party plan rooms. From issuance through award, Bidders shall direct communications only through CivCast or the Issuing Office and shall not initiate ex parte communications with City officials or employees involved in evaluation or award.

ARTICLE 8 - BID SECURITY

8.01 Each Bid must include a Bid Bond in the amount of five percent of the Lump Sum Bid Price, payable to the

City of Castroville, using Section 00 43 13 or a form approved by Owner.

8.02 Upload the executed Bid Bond and current Power of Attorney in PDF through CivCast. Upon request, the apparent low Bidder shall deliver the original bond to Owner within three business days.

8.03 Bid security will be forfeited as provided in the Bid Bond if the Successful Bidder fails to execute the

Agreement or furnish required performance and payment bonds and insurance within the required time.

ARTICLE 9 - CONTRACT TIMES AND LIQUIDATED DAMAGES

9.01 Substantial Completion must be achieved within 90 calendar days after the date established in the Notice to

Proceed.

9.02 Final Completion must be achieved within 21 calendar days after Substantial Completion.

9.04 The Bidder shall include known park-event suspensions, public-access requirements, weather reasonably anticipated for the season, and the upper-lot-first sequence in its Bid and schedule.

ARTICLE 10 - SUBSTITUTES AND OR-EQUAL ITEMS

10.01 Requests for approval of substitutes or or-equal items before Bid must be submitted through CivCast at least ten calendar days before Bid opening and include complete technical information. Approval, if any, will be by Addendum.

10.02 A Bid shall be based on the materials and systems specified unless an Addendum approves an alternative.

ARTICLE 11 - SUBCONTRACTORS AND SUPPLIERS

11.01 The apparent low Bidder shall submit a list of major Subcontractors and Suppliers within five calendar days after request. Owner may object to a proposed entity for reasonable cause.

11.02 The Contractor remains fully responsible for all Work performed by Subcontractors and Suppliers.

ARTICLE 12 - PREPARATION OF BID

12.01 Submit one Lump Sum Bid for all Work. There are no alternates and no sectional bids.

12.02 Complete every required CivCast field and upload the signed Bid Form, Bid Bond, Schedule of Values and

Unit Values, and Non-Collusion Affidavit.

12.03 The Schedule of Values must total exactly to the Lump Sum Bid. Bidder shall enter estimated quantities and unit values for each listed work component. The schedule is a breakdown of the Lump Sum Bid and does not create a unit-price contract.

12.04 Prices must be stated in United States dollars. The Bid must be electronically signed by a person authorized to bind the Bidder.

ARTICLE 13 - BASIS OF BID

13.01 Award will be based on the Lump Sum Bid Price, subject to determination that the Bid is responsive and the

Bidder is responsible.

13.02 Plan quantities and Bidder-entered Schedule of Values quantities are estimates. Quantity differences do not change the Contract Price unless Owner authorizes a change in the Work by Change Order.

13.03 Unit values in the Schedule of Values will be used as a starting basis for progress-payment review and additions or deductions, subject to verification of reasonableness and applicability by Engineer.

ARTICLE 14 - ELECTRONIC SUBMITTAL OF BID

14.01 Electronic Bids must be fully submitted and released to the CivCast electronic lockbox before September

10, 2026, at 2:00 p.m. Central Time. A Bid remaining in draft, incomplete, uploading, or unreleased at the deadline is not received.

14.02 Bidder is solely responsible for internet access, registration, document upload, electronic signature, and timely submission. Begin the submission process sufficiently early to address technical issues.

14.03 Owner is not responsible for Bidder equipment, software, internet, or user errors. A verified CivCast system-wide failure may be addressed by written Addendum or public notice issued by Owner.

ARTICLE 15 - MODIFICATION AND WITHDRAWAL

15.01 A Bidder may modify or withdraw its Bid through CivCast before the deadline. After the deadline, Bids may not be modified or withdrawn except as allowed by law.

ARTICLE 16 - OPENING OF BIDS

16.01 Bids will be electronically opened after the deadline and read aloud publicly in person in the Council

Chambers at Castroville City Hall, 1209 Fiorella Street, Castroville, Texas 78009, and through Microsoft

Teams. An abstract of Bids will be posted through CivCast.

Passcode: Lt3S944D.

ARTICLE 17 - BID ACCEPTANCE PERIOD

17.01 Bids will remain subject to acceptance for 90 calendar days after Bid opening. Owner may release a Bid and its security earlier in its discretion.

ARTICLE 18 - EVALUATION AND AWARD

18.01 If Owner awards the Contract, award will be to the responsible Bidder submitting the lowest responsive Lump Sum Bid, subject to City Council approval. General City purchasing provisions concerning best value or local preference do not alter this stated award basis unless the Bidding

Documents are amended by Addendum.

18.02 Owner may reject any or all Bids, reject nonresponsive, conditional, unbalanced, or irregular Bids, and waive minor informalities that do not affect price, time, or the Work, to the extent permitted by law.

18.03 Owner may evaluate the completeness and reasonableness of the Schedule of Values. Materially unbalanced values may be grounds for rejection or required correction before execution without changing the

Lump Sum Bid.

Notice of Award unless Owner grants a written extension.

Governmental Contract and Purchasing Rider, Form 1295 if applicable, and other legally required certifications within 14 calendar days.

AGREEMENT BETWEEN OWNER AND CONTRACTOR - STIPULATED PRICE

STATE OF TEXAS

COUNTY OF MEDINA

This Agreement is made effective as of ____________________, 20____, by and between the City of Castroville, Texas, a Texas municipality (Owner), and ______________________________________________ (Contractor).

Owner and Contractor agree as follows:

ARTICLE 1 - WORK

1.01 Contractor shall furnish all labor, materials, equipment, supervision, testing, temporary facilities, bonds, insurance, and incidentals required to complete the Castroville Regional Park Parking Lot Rehabilitation in accordance with the Contract Documents.

ARTICLE 2 - PROJECT AND ENGINEER

2.01 The Project consists of rehabilitation of the upper and lower parking lots at Castroville Regional Park, including removal of loose pavement materials; base repair; geogrid and flexible-base construction; two-course surface treatment; minor concrete sidewalk and accessible-parking improvements; pavement markings; signs; wheel stops; grading; erosion controls; and related work.

2.02 RESPEC Company, LLC, 1201 Fiorella Street, Suite A, Castroville, Texas 78009, is Engineer and will have the status, authority, and responsibilities stated in the Contract Documents. Engineer will not furnish a full-time Resident Project Representative.

ARTICLE 3 - CONTRACT TIMES

3.01 The Contract Times commence on the date stated in the Notice to Proceed. Substantial Completion is required within 90 calendar days. Final Completion is required within 21 calendar days after Substantial Completion. Time is of the essence.

3.02 Contractor acknowledges the upper-parking-lot-first sequence, the requirement to keep at least one parking lot open, event-day suspensions, public-access obligations, and foreseeable weather days stated in the Supplementary Conditions. These requirements are included in the Contract Times and Contract Price.

ARTICLE 4 - LIQUIDATED AND SPECIAL DAMAGES

4.01 Contractor shall pay Owner $200 for each calendar day that expires after the time for Substantial Completion until the Work is substantially complete, and $200 for each calendar day that expires after the time for Final Completion until the Work is complete and ready for final payment. Liquidated damages are not cumulative for the same calendar day and are not a penalty.

4.02 In addition to liquidated damages, Contractor shall reimburse Owner for fines or penalties imposed on Owner as a direct result of Contractor's failure to comply with the Contract, and for actual additional engineering, construction observation, inspection, testing, and administrative costs reasonably incurred after expiration of the applicable Contract Time because of Contractor's delay. Owner may not recover the same loss twice.

ARTICLE 5 - CONTRACT PRICE

5.01 Owner shall pay Contractor the following stipulated Lump Sum Contract Price, subject to additions and deductions by Change Order:

Contract Price in figures:

Contract Price in words:

5.02 The accepted Schedule of Values allocates the Lump Sum Contract Price for payment administration and Change Order evaluation. It does not convert the Contract to measured unit-price payment, and quantity variation alone does not change the Contract Price.

ARTICLE 6 - PAYMENT PROCEDURES

6.01 Contractor shall submit monthly Applications for Payment based on the accepted Schedule of Values. Before Substantial Completion, progress payments will equal 95 percent of the value of Work completed and eligible stored materials, less prior payments and lawful set-offs.

6.02 Payments, including the time of payment and interest on overdue undisputed amounts, are governed by Texas Government Code Chapter 2251. Owner may correct an invoice or Application for Payment to conform it to the Contract.

6.03 Upon Substantial Completion, Owner may increase total payments to 100 percent of the value of Work completed, less lawful set-offs and not less than 200 percent of Engineer's estimate of incomplete or defective Work. Final payment and release of remaining retainage require Final Completion, closeout documents, and consent of Surety.

ARTICLE 7 - CONTRACT DOCUMENTS

7.01.1 This Agreement and its exhibits.

7.01.2 Performance Bond and Payment Bond.

7.01.3 EJCDC C-700, Standard General Conditions of the Construction Contract, 2018 edition, unmodified except by the Supplementary Conditions.

7.01.4 Supplementary Conditions, Governmental Contract and Purchasing Rider, and Insurance Requirements.

7.01.5 Prevailing Wage Requirements and the wage schedule included in Section 00 73 43.

7.01.6 Technical Specifications for the Project.

7.01.7 Construction Drawings prepared by RESPEC, dated July 2026, as revised by Addenda.

7.01.8 Advertisement, Instructions to Bidders, accepted Bid Form, accepted Schedule of Values, Non-Collusion Affidavit, and other Bid attachments expressly incorporated by this Agreement.

7.01.9 Addenda issued before Bid opening.

7.01.10 Notice to Proceed, Change Orders, Work Change Directives, Field Orders, and other written amendments issued after execution.

7.02 In an irreconcilable conflict, written amendments and Change Orders govern over earlier documents; the Governmental Contract and Purchasing Rider and this Agreement govern over the Supplementary and General Conditions; the Supplementary Conditions govern over the General Conditions; and detailed project requirements govern over general requirements. Contractor shall promptly request interpretation instead of proceeding on an assumed precedence.

SC-5.05 Locations of Underground Facilities shown on the Drawings are approximate. Contractor shall contact Texas 811, coordinate with City utilities, use non-destructive verification where necessary, protect facilities, and repair damage caused by Contractor.

SC-5.06.A Owner is not aware of reports or drawings identifying Hazardous Environmental Conditions at or adjacent to the Site. If suspected contamination is encountered, stop affected Work, secure the area, and notify Owner and Engineer immediately.

SC-5.06.B To the fullest extent permitted by law, Contractor shall indemnify Owner and Engineer from third-party claims, costs, losses, and damages arising from a Hazardous Environmental Condition or Constituent of Concern brought to or created at the Site by Contractor or a party for whom Contractor is responsible, but only to the extent caused by Contractor's negligent act, omission, or breach of the Contract.

SC-6.04 Builder's risk insurance and separate contractor's pollution liability insurance are not required for this Project unless required by written amendment. Contractor remains responsible for loss of or damage to the Work, materials, equipment, and temporary facilities until acceptance, except to the extent caused by Owner.

ARTICLE 7 - CONTRACTOR'S RESPONSIBILITIES

SC-7.03.A Normal construction hours are sunrise to sunset. Weekend work requires prior written City approval.

Emergency protective work may proceed as necessary with prompt notice.

SC-7.03.B Contractor is responsible for incremental Owner and Engineer observation, inspection, or administrative costs caused by Contractor-requested work outside normal hours, except emergency work or work specifically directed by Owner.

SC-7.03.C Construct only one parking lot at a time. Complete and reopen the upper parking lot, including final surface treatment, striping, signs, wheel stops, cleanup, and acceptance for public use, before disturbing the lower parking lot, unless Owner authorizes otherwise in writing.

SC-7.03.D At least one parking lot must remain open and safely accessible to the public. Contractor shall maintain safe pedestrian and vehicular routes and shall not block emergency or City access.

SC-7.03.E Coordinate with Parks and Recreation. Unless authorized in writing, suspend construction operations, deliveries, hauling, and changes in closures during Wine Fest on October 3, 2026; Bluebonnet BBQ Cook-Off on October 10, 2026; and Boo-Bash on October 31, 2026. Contractor may have active construction before and after Boo-Bash but shall pause for the event day, secure the Work, remove or barricade hazards, and maintain City-approved access. No additional time or compensation is allowed for these planned suspensions.

SC-7.03.F Coordinate at least weekly with the City regarding soccer activities expected from September through November and adjust traffic control, deliveries, and access without additional compensation.

SC-7.09 Owner will be identified as the City operator for the applicable small-construction stormwater authorization. Contractor shall implement, inspect, maintain, document, modify, and remove BMPs; support Owner's permit compliance; and provide records requested by Owner or Engineer.

SC-7.10 Contract Price includes all taxes for which Contractor is responsible. Owner's tax-exempt status does not relieve Contractor of taxes on purchases, equipment, supplies, or operations except to the extent an exemption certificate lawfully applies.

SC-7.12 Contractor shall maintain marked-up record drawings, testing records, material tickets, wage records, inspection documentation, and approved submittals at the Site and submit complete closeout records before Final Completion.

SC-7.16 Submittals must be transmitted electronically in searchable PDF. Engineer's review does not relieve Contractor from responsibility for dimensions, quantities, means and methods, safety, or compliance.

SC-7.18 To the fullest extent permitted by law, Contractor shall indemnify and defend Owner, Engineer, and their officers, employees, agents, and consultants from third-party claims, losses, and damages attributable to bodily injury, death, or damage to tangible property, but only to the extent caused by negligent acts or omissions of Contractor, Subcontractors, Suppliers, or persons for whom they are responsible. The obligation is not limited by workers' compensation benefits and does not require indemnification for an indemnitee's own negligence.

ARTICLE 8 - OTHER WORK AT THE SITE

SC-8.01 City forces may relocate or remove designated signs and split-rail fencing and may perform other park work. Contractor shall coordinate and avoid interference.

ARTICLE 9 - OWNER'S RESPONSIBILITIES

A Subcontractor may include 15 percent on its Work, and Contractor may include 5 percent on the Subcontractor's net cost. No markup is allowed on taxes, bonds, insurance premiums, or pass-through costs unless specifically approved.

SC-11.06 Work performed without written authorization is at Contractor's risk and does not entitle Contractor to an adjustment in Contract Price or Contract Times.

ARTICLE 12 - CLAIMS

SC-12.01 Contractor shall strictly comply with notice and documentation requirements for Change Proposals and Claims. Continued performance is required unless the Contract permits suspension.

ARTICLE 13 - COST OF THE WORK; ALLOWANCES; UNIT PRICE WORK

SC-13.03 The accepted Schedule of Values and unit values do not convert the Contract to unit-price payment. Unit values may be used for additions or deductions when applicable, but Owner may require actual-cost support and may reject an unreasonable or unbalanced value.

ARTICLE 14 - TESTS AND INSPECTIONS; DEFECTIVE WORK

SC-14.02 Contractor shall provide and pay for testing assigned to Contractor in the Technical Specifications, using an independent laboratory acceptable to Owner. Contractor shall pay for retesting, reinspection, and additional Engineer visits caused by failed tests, defective Work, premature requests for completion inspection, or covered Work.
