About this file

This file is a Question and Answer Report for Oregon State Police's Request for Quote S-25700-00003455 regarding the procurement of respirator masks. The solicitation seeks pricing for respirator mask supplies needed by the Oregon State Police Mobile Response Team, with quotes to be submitted through OregonBuys. The specific items and quantities are detailed in the solicitation's Items tab, with all items measured in "Each" except Item 3, which is measured in "Pack of 4." This is the first time Oregon State Police has solicited a price agreement for respirator masks in at least ten years. The price agreement structure allows the state to make purchases across multiple OSP divisions including Patrol, Fish & Wildlife, Arson, SWAT, and Explosives, though the frequency and quantity of future purchases cannot be guaranteed at this time.

The initial pricing must remain firm through 2022, after which vendors may request price increases up to once per calendar year. Oregon State Police requires a minimum of $1 million per occurrence and $2 million aggregate insurance coverage, which is non-negotiable, along with Additional Insured Endorsement language in Exhibit C. The state will work with the selected awardee to complete and sign a Price Agreement following quote submission; electronic signatures such as DocuSign are acceptable. The price agreement may be terminated at any time by mutual consent of both parties, and renewal terms are determined by mutual agreement rather than solely at the state's discretion. No historical spend data or estimated usage projections are available, as this represents the agency's initial procurement of this type.

Question # Date Subject Question Answer

1 Jun 17, 2022 Terms and Conditions

If there are bid terms and conditions Vendor may not be able to agree to, will Oregon State Police allow Vendor to include clarifications or exceptions as part of its bid submission?

As stated in the Questions tab, certain exceptions could disqualify an offeror.

2 Jun 17, 2022 Insurance

If there are insurance requirements that Vendor may not be able to agree to will Oregon State Police consider exceptions to insurance terms and conditions?

The state's minimum requirements for contracts of any size is $1m per occurrence/$2m aggregate.

This is non-negotiable. Other language in the Exhibit C is also generally non-negotiable, including the Additional Insured Endorsement.

3 Jun 17, 2022 Electronic signatures Does Oregon State Police consider electronic signatures to be valid "original" signatures (i.e.:

DocuSign)?

No signatures are required at this time - quotes should be submitted through OregonBuys. Agency will work with awardee to complete and sign a Price Agreement. Generally, we do accept an electronic signature like DocuSign.

4 Jun 17, 2022 Bid Tabulation for previous award

Can Oregon State Police please provide vendors with the most recent bid tabulation for awarded pricing and Unit of Measure for the items in the current bid?

Units of measure have already been provided on the Items tab. It is "Each" for all items; except Item 3 is "Pack of 4". This solicitation is the first time our agency has solicited to obtain a price agreement for respirator masks of this time (at least in the last ten years). There is no recent bid tabulation that would be relatable to this opportunity.

5 Jun 17, 2022 Renewals Renewal terms, are they at the sole discretion of Oregon State Police or by mutual consent of Oregon State Police and Vendor?

As to the term itself, Section 1.4.1 allows the agreement to be terminated at any time by mutual consent. We never force vendors to renew a price agreement.

As to pricing, refer to Section 1.6. The purpose of a price agreement is not to hold the vendor to the same price indefinitely. Section 1.6.4.1 allows a price increase once per calendar year. So initial pricing should be firm through 2022. After that, the vendor can request a price increase each calendar year if necessary.

6 Jun 17, 2022 Future spend projections

Is there an estimated usage included?

We have an immediate need for the items and quantity specified on the Items tab. Provided we receive additional funding, additional masks are planned for purchase, but Agency is not able to guarantee any specific number of purchases or overall spend. Additionally, historical spend data for these masks is not available. The initial purchase is for our Mobile Response Team (MRT), but the price agreement will be available for other divisions of OSP to purchase who uses similar masks such as Patrol, Fish & Wildlife, Arson, SWAT, or Explosives. Again, the frequency and quantity of purchases are unknown at this time since this is the first time setting up a contract like this.
