I. ABOUT THE PORT
The Stockton Port District (“District” or “Port”) was established under the California Harbors and Navigation Code, Sections 6200 through 6372. It is governed by a seven-member Board of Commissioners (Board). Four commissioners are appointed by the Stockton District Council and three by the San Joaquin County Board of Supervisors. The day-to-day administration of District operations is under the direction of the Port Director who is selected by and serves at the will of the Board. The District’s geographical boundaries are the same as the District of Stockton’s, with the exception of an eight-mile long strip extending one-half mile on either side of the Stockton Ship Channel.
The District is a deep-water seaport located seventy-five miles inland from San Francisco, in the agricultural heartland of California in San Joaquin County. The District owns and operates docks, transit sheds, and warehouses, which are used to load and unload cargo from ships, barges, trucks, and railroads, and to store cargos. Cargos handled by the District include various dry and liquid bulk commodities, general cargos, and project cargos. Some of the commodities handled at the District include steel products, rice, cement and slag, sulfur, gypsum, fertilizers, molasses, coal, edible oils, and ammonia. The District also leases land and warehousing facilities to a number of diverse tenants. District operations are self-supporting and receive no direct tax subsidies.
II. SCOPE OF SERVICES & QUALIFICATIONS
The Port has been awarded $45,908,418 in grant funding from the California State Transportation Agency (CalSTA) Rail Infrastructure Improvements for Sustainable Exports (RIISE) Port and Freight Infrastructure Program (PFIP).
The RIISE project supports building new infrastructure to enhance rail capacity, accommodate increased freight tonnage and train frequencies, mitigate potential service disruptions, and reduce long-term repair and maintenance costs. PFIP will fund elements of this project including a replacement of the San Joaquin River Rail Bridge; expansion of the Port’s long lead track to two tracks; and procurement of a zero-emission electric railcar mover. The project will help reduce trucks traversing neighborhood streets, consistent with the priorities of near-port communities and the Stockton AB 617 Community Steering Committee, reducing public health harms and negative environmental and economic impacts.
The Port invites proposal submissions from interested and qualified firms to provide the below mentioned list of services. Proposals must document the resources and capability for performing said services. Such evidence includes, but is not limited to, the respondents’ demonstrated competency and experience in delivering services of a similar scope and type, and availability of personnel and resources. The District intends to engage in a one (1) year contract with the successful Respondent.
Project Description The RIISE Project includes three primary components:
1. Long lead track in BNSF ROW. The additional track will be supported by a new structure across Fresno Avenue, at the border of the City of Stockton and San Joaquin County. The additional track crosses under the State Route (SR) 4 Crosstown Freeway before entering the Port.
2. Double track improvements through the Port’s East and West Complexes, requiring close coordination with the Port tenants and the shortline railroad, Central California Traction (CCT). Note that CCT interchanges with both The Union Pacific Railroad and The BNSF Railway at The Port of Stockton.
3. McCloy yard expansion in the Port’s West Complex. The additional yard tracks require modification and closure of existing at grade crossings, requiring new roadway access improvements. Soil remediation is required prior to the McCloy Yard construction, which will require coordination with the Port’s hazardous materials consultants, who are providing oversight of the remediation work.
Pre-Construction activities are anticipated to begin December 2026 through May 2027.
Scope of Work The Port is seeking professional pre-construction services for the Project with a focus on new construction, inspections, observations, and management. These services may include, but are not limited to, some or all the following services:

3. Workers’ Compensation: as required by the State of California, with Statutory Limits, and Employer’s Liability Insurance with limit of no less than $1,000,000 per accident for bodily injury or disease.
4. Professional Liability (Errors and Omissions): Insurance appropriates to the Contractor’s profession, with limit no less than $2,000,000 per occurrence or claim, $2,000,000 aggregate.
If the Contractor maintains broader coverage and/or higher limits than the minimums shown above, the Port requires and shall be entitled to the broader coverage and/or the higher limits maintained by the contractor.
Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the Port.
Other Insurance Provisions The insurance policies are to contain, or be endorsed to contain, the following provisions:
Additional Insured Status The Port, its officers, officials, employees, and volunteers are to be covered as additional insureds on the CGL policy with respect to liability arising out of work or operations performed by or on behalf of the Contractor including materials, parts, or equipment furnished in connection with such work or operations. Coverage can be provided in the form of an endorsement to the Contractor’s insurance (at least as broad as ISO Form CG 20 10 11 85 or the addition of both CG 20 10, CG 20 26, CG 20 33, or CG 20 38; and CG 20 37 if a later edition is used).
Primary Coverage For any claims related to this contract, the Contractor’s insurance coverage shall be primary and non-contributory and at least as broad as ISO CG 20 01 12 19 as respects the Port, its officers, officials, employees, and volunteers. Any insurance or self-insurance maintained by the Port, its officers, officials, employees, or volunteers shall be excess of the Contractor’s insurance and shall not contribute with it. This requirement shall also apply to any Excess or Umbrella liability policies.
Umbrella or Excess Policy The Contractor may use Umbrella or Excess Policies to provide the liability limits as required in this agreement.
The Umbrella or Excess policies shall be provided on a true “following form” or broader coverage basis, with coverage at least as broad as provided on the underlying Commercial General Liability insurance.
Notice of Cancellation Each insurance policy required above shall provide that coverage shall not be canceled, except with notice to the Port.
Waiver of Subrogation Contractor hereby grants to Port a waiver of any right to subrogation which any insurer of said Contractor may acquire against the Port by virtue of the payment of any loss under such insurance. Contractor agrees to obtain any endorsement that may be necessary to affect this waiver of subrogation and provide a copy to the Port, but this provision applies regardless of whether or not an endorsement has been issued.
Self-Insured Retentions
Self-insured retentions must be declared to and approved by the Port. The Port may require the Contractor to purchase coverage with a lower retention or provide proof of ability to pay losses and related expenses within the retention. The policy language shall provide, or be endorsed to provide, that the self-insured retention may be satisfied by either the named insured or Port.
Acceptability of Insurers Insurance is to be placed with insurers authorized to conduct business in the state with a current A.M. Best’s rating of no less than A:VII, unless otherwise acceptable to the Port.
Claims Made Policies (note – should be applicable only to professional liability, see below) If any of the required policies provide claims-made coverage:
1. The Retroactive Date must be shown and must be before the date of the contract or the beginning of contract work.
2. Insurance must be maintained, and evidence of insurance must be provided for at least five (5) years after completion of the contract of work.
3. If coverage is canceled or non-renewed, and not replaced with another claims-made policy form with a Retroactive Date prior to the contract effective date, the Contractor must purchase “extended reporting” coverage for a minimum of five (5) years after completion of work.
Verification of Coverage
Contractor shall furnish the Port with original certificates and amendatory endorsements or copies of the applicable policy language effecting coverage required by this clause All documents are to be received and approved by the Port before work commences. However, failure to obtain the required documents prior to the work beginning shall not waive the Contractor’s obligation to provide them. The Port reserves the right to require complete, certified copies of all required insurance policies, including endorsements required by these specifications, at any time.
Special Risks or Circumstances Port reserves the right to modify these requirements, including limits, based on the nature of the risk, prior experience, insurer, coverage, or other special circumstances.
