Bid Notice Summary

This Invitation for Bids (IFB) No. HSR26-28 is issued by the California High-Speed Rail Authority for the procurement of Overhead Contact System (OCS) Copper Conductors to support high-speed rail construction in California. The Authority seeks to procure OCS Copper Conductors compliant with technical requirements specified in Exhibit A of the contract, which will be used to transmit electrical power, control signals, and communications for railway and train systems. The materials will be delivered to two railhead locations: approximately one-third to the Wasco railhead in Kern County and the remaining quantities to a Fresno County railhead. The procurement employs a one-step sealed bid process with a bid submission deadline of November 13, 2026, at 12:00 p.m. Pacific Time, followed by a virtual bid opening at 2:00 p.m. the same day. Bidders may request one-on-one meetings with Authority representatives during October 19-23, 2026, and written questions regarding the IFB must be submitted by October 23, 2026. The contract term will be one to three years, with materials to be delivered through multiple Notices to Proceed (NTP 1, NTP 2, and NTP 3) supporting construction across the 119-mile First Construction Section and potential extensions to the northern and southern segments.

The contract pricing structure includes separate line items for manufacturing costs of catenary (messenger) wire and contact wire, plus delivery costs to both railhead locations across three contract years. The total not-to-exceed dollar value for all materials procurements (including OCS poles, long welded rail, concrete ties, ballast, OCS components, fiber optic cables, and cable troughs) is estimated at $507,100,000, with actual amounts subject to funding availability and specific delivery orders. The procurement is funded by State of California appropriations and potentially federal funds from the Federal Railroad Administration (FRA), requiring full compliance with Buy America and Build America, Buy America Act (BABA) requirements, with no current waivers available. Bidders must submit a bid bond equal to 10 percent of the total bid amount and comply with prevailing wage requirements under California Labor Code, as well as meet Small Business participation goals of 25 percent of total contract value (including a 3 percent microbusiness goal and a 10 percent race-neutral Disadvantaged Business Enterprise goal). The contract award is anticipated for December 2026 through January 2027, contingent upon Authority Board approval and execution of required contract documents within seven days of the award notice.

INSTRUCTIONS TO BIDDERS

1. General Background

The California High-Speed Rail Authority (Authority) is responsible for planning, designing, building, and operating the first high-speed rail system in the nation.

California high-speed rail will connect the mega-regions of the state, contribute to economic development and a cleaner environment, create jobs, and preserve agricultural and protected lands.

The Authority may enter into contracts with private and public entities for the design, construction, and operation of high-speed rail trains including all tasks and segments thereof pursuant to California Public Utilities Code section 185036.

With this procurement, the Authority seeks to purchase materials necessary for the construction of its high-speed rail track and overhead contact system (OCS).

Materials specifically sought under this Contract are OCS Copper Conductors compliant with the requirements set forth at Exhibit A (Technical Specifications) of Attachment C, (Sample Contract).

This procurement is funded with State of California and, potentially, with federal funds, including, but not limited to, funds provided by the Federal Railroad

Administration (FRA) and funds made available through the various federal funding grant programs and, therefore, requires compliance with certain federal provisions in the contract.

Plan for First Track & Systems Construction - The Authority intends to begin construction of track and systems (including OCS, traction power, signal, and communications) in 2026 to allow an initial segment of track to begin construction in 2026. This plan is subject to the means and methods to be employed by the

Track and Systems Construction Contract (TSCC) contractor. This TSCC contractor is anticipated to begin work in the second quarter of 2026 and shall work under multiple Notices to Proceed (NTPs) that are arranged with the

Authority. The plan, subject to successful NTPs, is to construct across the entire

119-mile First Construction Section (FCS). The FCS is composed of single track and passing loops of approximately 138 miles of optimized single track and systems, with an option to continue to complete track and systems work for the entire 171-mile limits of the Early Operating Segment (EOS).

The assumed plan anticipates that work will begin at the Wasco (Kern County) railhead and build to the north through Construction Package 4 (CP 4;

approximately 22 miles single track, no passing loops). The Wasco railhead is approximately 160 acres of storage area, with a direct rail connection to BNSF

Railway (BNSF). Next, the TSCC is expected to continue and extend the track work into the southern portion of Construction Package 2-3 (CP 2-3(65 miles of single track with 2 passing loops that total 5 miles). This is subject to the contractor on CP 2-3 having completed their work. With completion, or a plan around that event, construction into CP 2-3 will continue as allowed.

Presently, the Authority envisions that the process will then reach a halfway point within the 119 miles of the FCS where the TSCC contractor may shift the work from the Wasco railhead to a Fresno railhead. The Fresno railhead will be used to access Construction Package 1 (CP 1; 31 miles of single track with 3 passing loops that total about 15 miles) and to complete the northern elements of CP 2-3.

The Fresno railhead will have a rail connection to BNSF and may have a rail connection to Union Pacific Railroad (UPRR).

Thematically, the assumed plan is to begin the track and systems and to not have idle times in the flow of work. The TSCC contractor will be responsible for arranging the work subject to areas of access and the major material management process assigned to the TSCC. The process assumes that the

OCS pole foundations will be installed first, followed by installation of the track, and will conclude with OCS installation. OCS Copper Conductors will be installed in embedded troughs.

2. Procurement Overview

A. The Authority now seeks to procure OCS Copper Conductors compliant with the technical requirements set forth in Exhibit A of Attachment C.

B. OCS Copper Conductors will be used in railway and train systems to transit electrical power control signals and communications.

1. The Authority will use a one-step procurement process to select the responsible and responsive Bidder offering the lowest Bid to manufacture and deliver the OCS Copper Conductors in accordance with the requirements of the Contract set forth as Attachment C to this IFB. The initial term of the

Contract resulting from this IFB will be one to three years (see Exhibit B of

Attachment C, Table 1). The Contract will be delivered through multiple

Notices to Proceed (NTPs) as described below. The Contract will include an initial authorization to manufacture and supply materials as directed by specific Delivery Orders for NTP 1. The Contract will include options to issue

NTP 2, and NTP 3 at a later date.

i. NTP 1: To be issued for the manufacture and supply of OCS

Copper Conductors for use in construction over the 119-mile First

Construction Section. The not-to-exceed dollar value for all materials procurements (including OCS Poles, Long Welded Rail, Concrete Ties, Ballast, OCS Components, Fiber Optic Cables, OCS Copper Conductors, OCS Aluminum Conductors, and Cable

Troughs), is estimated to be a combined total of $507,100,000.

Contracts have been executed for Long Welded Rail, Concrete

Ties, Ballast, OCS Poles, and Cable Troughs. As set forth at

Section 30 of the General Provisions, the actual amount of Work requested by the Authority under a Contract resulting from this IFB is subject to availability of funding.

ii. NTP 2: To be issued for the manufacture and supply of Materials for use in construction on the northern extension (Merced to

Madera).

iii. NTP 3: To be issued for the manufacture and supply of Materials for use in construction on the southern extension (Poplar Avenue in the County of Kern to Bakersfield).

C. This IFB will be available in electronic format on the California State Contracts

Register website (Cal eProcure).

D. Bids and required documents shall be submitted via delivery to the Authority pursuant to Section 5.1, no later than the time specified in this IFB in the

Procurement Schedule (Section 4, Table 1).

E. Shipping / Logistics

1. Contractor shall deliver the Materials pursuant to the terms set forth in

4.5. Rules of Contact

For purposes of this section, the definitions of Bidder and Bidder Team shall include potential Bidders and potential Bidder Teams as this section specifically applies to all interested parties from the date of issuance of the IFB. The following rules of contact shall apply during this procurement that began upon the date of issuance of this IFB and will be completed with either the execution of the

Contract resulting from this procurement, or the cancellation of the procurement.

These rules are designed to promote a fair and unbiased procurement process.

Contact includes, but is not limited to, face-to-face, telephone, web-based meeting platforms (including viewing/sharing information on screen), text message/SMS, facsimile, email, electronic messaging of any kind or formal written communication. Contact and communications include direct contact or direct communication and those made through an intermediary.

The specific rules of contact are as follows:

A. No Bidder, or any of its team members, may communicate with another

Bidder or its team members with regard to the IFB or any other team’s Bid with the exception of Subcontractors that are shared between two or more

Bidder Teams. In such cases, those Subcontractors may communicate with their respective team members so long as those Bidders establish a protocol to ensure that the Subcontractor will not act as a conduit of information between the teams. Contact among Bidder organizations is allowed during

Authority sponsored informational meetings. Protocols established to ensure that Subcontractors do not act as conduits of information between teams are subject to Authority review and approval, at the Authority’s discretion.

B. Bidders shall correspond with the Authority regarding the IFB only through the

Authority’s Designated Point of Contact.

C. Except for communications expressly permitted by the IFB or approved in advance by the Authority’s Chief Counsel in their sole discretion, no Bidder or representative thereof shall have any ex-parte communications regarding the

IFB or the procurement described herein with any member of the Authority

Board or with any Authority staff. This includes any of the Authority’s advisors, contractors, or consultants (and their respective affiliates) that are involved with the procurement.

4.6. Organizational Conflicts of Interest

The use of the term “Bidder” in this section specifically applies to all interested parties from the date of issuance of the IFB including but not limited to Bidders, potential Bidders, and subcontractors. The Authority has adopted an

Organizational Conflicts of Interest Policy (Policy) that will apply to this procurement and the resulting Contract, in addition to the Authority’s Conflict of

Interest Code and other applicable requirements. The Policy can be found on the

Authority’s website.

Bidders are advised to carefully review the Policy, and to have their team members review the Policy, since it includes provisions that may:

1. Preclude certain firms from participation in this procurement; and

2. Affect the ability of a Bidder, its subcontractors, and their Affiliates (as defined in the Policy) to contract with the Authority.

Failure to comply with the Policy in any respect, including the failure to disclose any actual, perceived, or potential organizational conflict of interest, may result in serious consequences as described in section V(2) of the Policy.

An organizational conflict of interest is a circumstance arising out of a Bidder or

Contractor’s existing or past activities (including projects outside of the

Authority’s program), business or financial interest, familial relationships, contractual relationships, and/or organizational structure (i.e., parent entities, subsidiaries, Affiliates, etc.) that results in or would result in the following:

1. Impairment or potential impairments of a Bidder to the Authority or of its objectivity in performing work for the Authority;

2. An unfair competitive advantage for any Bidder submitting a Bid on an

Authority procurement; or

3. A perception or appearance of impropriety with respect to any of the

Authority’s procurements or contracts, or a perception or appearance of unfair competitive advantage with respect to a procurement by the

Authority (regardless of whether any such perception is accurate).

If an organizational conflict of interest is found to exist, the Authority may:

1. Disqualify the Bidder; or

2. Determine that the Authority may contract with such Bidder if it is appropriate and possible to mitigate, neutralize, or avoid such conflict, which may include the addition of mitigation provisions to in the Contract awarded.

Each Bidder shall fully disclose any actual, perceived, or potential organizational conflicts of interest in its Bid using Form H, Organizational Conflicts of Interest

Disclosure Statement. Form H shall be filled out and signed, under penalty of perjury, by the Bidder, including a separate Form H for all members if bidding as a joint venture. A separate Form H shall also be filled out and signed, under penalty of perjury, by each Bidder Team member, including all subcontractors.

Form H requires a statement, signed under penalty of perjury by the company’s executive that the company considered the Policy and performed conflicts checks prior to submitting its Bid. The refusal to provide the required disclosure, or any additional information required, may result in disqualification of the Bidder.

If nondisclosure or misrepresentation is discovered after award of the Contract resulting from this procurement process, the Contract may be terminated.

Note that business relationships on projects other than the California High-Speed

Rail project may require disclosure if they involve consultants or contractors working on the California High-Speed Rail project.

By submitting its Bid, each Bidder agrees that, if an organizational conflict of interest is discovered following submittal of the Bidder, including after any contract award arising out of this IFB process, the Bidder will make an immediate and full written disclosure to the Authority that includes a description of the action taken, or proposed to be taken, to avoid or mitigate such conflicts. To the extent applicable, the Contractor is required to self-certify annually that all required

If a Bidder requires an organizational conflict of interest determination related to this procurement, Bidder shall immediately consult the Policy and provide the required information to the Authority’s legal department at Legal@hsr.ca.gov with a copy to the lead attorney for this procurement, Krassimire Krossov, krassimire.kostov@hsr.ca.gov. To expedite the determination process, the requestor is asked to provide the following information with the request:

B. A brief description of the scopes of work for the above-identified contracts, including tasks, deliverables, and key roles of personnel, if applicable.

C. A brief description of the work, tasks, deliverables, and any key roles that your company expects to perform relative to the contract resulting from this procurement. (If not yet final, please be as detailed as possible.)

G. If your company is planning to seek work related to other Authority procurements, provide information regarding the procurement and the scope of work your company would likely perform.

H. Any other information and/or documents that you believe are relevant to this analysis, including information regarding other public projects your company is a part of that may impact the Authority.

(c) applicable rules of conduct established by the California Board for

Professional Engineers, Land Surveyors, and Geologists.

4.7. Non-Exclusiveness of Subcontractors

Subcontractors are not precluded from being on more than one Bidder Team, subject to the provisions of Section 4.5, Rules of Contact. There is no prohibition against Subcontractors being exclusive to one Bidder, however, exclusivity is strongly discouraged for Small Business, Disadvantaged Business Enterprises, and Disabled Veteran Business Enterprise subcontractors.

4.8. Non-Commitment of Authority

This IFB does not commit the Authority to award a contract, to pay any costs incurred in the preparation of a Bid in response to this request, or to procure or contract for services or supplies. In connection with this procurement, the

Authority reserves to itself all rights, which may be exercised by the Authority in its sole discretion, available to it under applicable law, including without limitation, with or without cause and with or without notice, the right to the following:

A. Cancel this IFB in whole or in part at any time prior to the execution of a contract without incurring any cost obligations or liabilities.

(train or transit) conductors that are, or were, in revenue service. The bidder is to provide contact information for each of these references.

The statement should also include where the Goods will be manufactured, and which specific entity will be used to manufacture the Goods.

The Technical Criteria Statement (Form J) shall be evaluated by the Authority on a pass/fail basis. The Authority shall evaluate based on the statement itself as well as any descriptions of past projects and experience with high-speed train projects. The Authority has discretion to evaluate what is provided on Form J and to determine whether it demonstrates, to a sufficient level, that the Bidder can meet the requirements as set forth in Exhibit A and can meet the anticipated delivery schedule.

The Contractor will be required to follow State and federal Equal Employment
