Signature of Bidder: Date

BR - 13

No verbal interpretation of the intent of any of the Contract Documents will be made before the receipt of Bids. Requests for interpretations prior to receipt of Bids must be presented in writing to Tina Bartlett-

Bearup, Purchasing Manager, City of Watertown Purchasing Department, City Hall, Room 206, 245

Washington St, Watertown, New York ( tbartleCbearup@watertown-ny.gov ) and to be given consideration must be received at least five (5) business days prior to the date set for the opening of Bids.

Any interpretation, and any additional information or instruction will, if issued, be in the form of a written

Addendum or Addenda sent by email to all plan holders on the official plan holders list maintained by the

City of Watertown Purchasing Department at the provided email address ( tbartleCbearup@watertown-ny.gov ), at least five (5) days prior to the date of the opening of Bids.

Failure of any Bidder to receive any such Addendum or interpretation shall not relieve such Bidder from any obligation under this Bid as submitted. All Addenda so issued shall become a part of the Contract

Documents.

Qualifications of Bidders

The Owner reserves the right to make such investigation as he/she/they may deem necessary or advisable to determine any Bidder’s ability to do the work, and the Bidder shall furnish to the Owner on request all data and information pertinent thereto. The Owner reserves the right to reject any Bid if such investigation fails to satisfy the Owner that the Bidder is fully qualified to do the work. Contractors that have had a documented project failure in New York State within the past few years due to providing inferior materials and/or workmanship may be considered not fully qualified by the Owner.

Conditional Bids will be considered informal and will be rejected.

Immediately following the Canvas of Bids, the Low Bidder, if so requested, shall furnish the Owner a sworn and notarized financial statement, and a statement of his/her/their qualifications and experience.

Obligations of Bidders

At the time of the opening of Bids, each Bidder will be presumed to have inspected the Site, to have informed himself/herself/themselves fully of the conditions relating to the work and labor required for the work, and to have read and acquainted himself/herself/themselves with all the Contract Documents.

Failure to do so will not relieve the Bidder who is awarded the Contract of his/her/their obligation to complete the work for the price or prices bid, or of any other obligation under the Contract. The failure or omission of any Bidder to receive or examine any Contract Documents shall in no way relieve him/her/them from any obligation in respect to his/her/their Bid.

Bid Security

Each Bid must be accompanied by cash in United States currency or a certified cashier’s check in an amount not less than five percent (5%) of the Base Bid. A Bid Bond, fully executed by the Bidder as principal, and having as surety thereon a surety company approved by the Owner and authorized to do business in New York State, will be accepted in lieu of cash or certified check. Checks should be made payable to the Owner.

Such cash, certified cashier’s check, or Bid Bonds will be returned to all except the three lowest Bidders within three working business days after the opening of Bids. The remaining deposits will be returned to the three lowest Bidders within three working business days after execution of the Contract, or, if no

Contract is executed within 60 calendar days after opening of Bids, upon demand of the Bidder at any time thereafter so long as he has not been notified of the acceptance of his/her/their Bid.

BR - 14

Liquidated Damages for Failure to Execute Contract

Should the successful Bidder refuse or fail to execute the Contract and Bond within five (5) working days after receipt of notice of the acceptance of his/her/their Bid, the security deposited with his/her/their Bid shall be forfeited to the Owner as liquidated damages for such refusal or failure. (Refer to BR-15, Bid

Deposit).

Discrepancy in Bids

In the event a discrepancy exists in any Bid between the unit prices written in figures, numerical unit prices, and the math for the total price written in figures, the unit prices in written form shall govern. The numerical unit prices and total price shall be corrected, if necessary, and the Bid may not be considered informal.

Lowest Bidder

Bids will be compared on the basis of the totals, corrected as necessary in conformance with “Discrepancy in Bids,” given at the bottom of the schedule of quantities, prices and extensions in the order presented in the bid combinations. Such total in each Bid shall be the sum of all lump sum prices, plus the sum of all the extensions produced by multiplying the unit price in each case by the corresponding listed quantity.

Award of Contract

The Contract will be awarded to that responsible bidder whose Bid selected by the Owner, after corrections and adjustments, totals the least number of dollars.

The Owner reserves the right to reject any and all Bids if the bids are higher than the funding available or if the Owner determines that it is not in their best interest to continue with the Project. The Owner can reject bids which are deemed to be unbalanced; if the materials are not filled out completely, if it appears the Contractor cannot perform the work or if the Contractor is unresponsive.

BR - 15

BID DEPOSIT

Accompanying this proposal is a bid bond for the specified amount of deposit required. In the event this proposal is accepted and the undersigned shall fail to execute the contract and in all respects comply with the provisions of Section 38 of the Highway Law, as amended, or where applicable, Section 30 of the Canal

Law, as amended, the moneys represented by such bid bond, shall be regarded as liquidated damages and shall be forfeited and become the property of the owner; otherwise to be returned to the depositor in accordance with the provisions of said Section 38 of the Highway Law, as amended, or where applicable with Section 30 of the Canal Law, as amended.

On acceptance of this proposal for said work the undersigned does or do hereby bind himself/herself/themselves to enter into written contract, within ten (10) days of date of notice of award, with the said owner, and to comply in all respects with §38(6) of the Highway Law, as amended, or where applicable with §30(7) of the Canal Law, as amended, in relation to security for the faithful performance of the terms of said contract.

This summation will hereinafter be referred to as the gross sum bid.

The undersigned further agrees to accept the aforesaid unit bid prices as compensation for any additions or deductions caused by variation in quantities due to more accurate measurement, and for use in the computation of the value of the work performed for monthly estimates.

Standard Specifications.

In case the undersigned voluntarily undertakes to start work, other than that expressly prohibited in this Subsection, after the contract agreement is signed by the Sponsor the undersigned does so entirely at its own risk and without obligation or responsibility on the part of the

Sponsor unless and until the awarded contract becomes effective by approval of the Sponsor, and hereby agrees and warrants that, as a prerequisite to the start of any such voluntary work, accepts, assumes and undertakes all of the provisions of this proposal and of the plans and specifications of the proposed contract, including all of the provisions and responsibilities thereof relative to (1) damage, indemnification and holding the Sponsor harmless as set forth in said contract documents, and (2) actually furnishing in advance of any contract operations, the required insurance policies of each and every kind and amount as called for in said contract documents, particularly with relation to workers’ compensation and liability insurance policies as set forth in the related specifications; and also agrees and warrants that all of such policies will be in force and effect on the date of the start of any such contract operations, whether or not the contract documents have been executed and filed as aforesaid. In no event shall the undersigned start any contract work which involves a disturbance of the contract site prior to execution of the contract by the Sponsor.
