Section 2 - Scope of Services

1) Background

The Toledo Area Regional Transit Authority (TARTA) is a public transit authority that operates public transportation bus and paratransit services across metropolitan Toledo, Ohio and Lucas

County, Ohio. TARTA’s mission-critical employees, such as operators, are considered first responders because transit is designated as an essential service in times of crisis. TARTA’s service area includes all 596 square miles of Lucas County which includes the City of Toledo and into the City of Rossford in Wood County.

Founded in 1971, TARTA has grown to provide service on 19 routes system-wide to 1.7 million riders. As the region’s public transportation provider, TARTA operates three facilities in its service area.

Headquartered in Toledo at 1127 West Central Avenue, the Central Offices are home to the executive office, all administrative departments, and the bus storage facility, which houses

TARTA’s directly operated fleet, micro-transit, maintenance, and operations departments.

The TARTA Hub Station, located in downtown Toledo, is the central boarding hub and transfer point for 17 TARTA routes, the customer information center, and on-site security.

TARTA also operates ADA Complementary paratransit operations through Toledo Area Regional

Paratransit Services (TARPS) from a facility located at 130 Knapp Street just outside the downtown Toledo Area. The TARPS facility is home to administrative, operations, and maintenance departments for the ADA paratransit service.

In that case, TARTA may cancel the unfilled portion of the contract for cause, purchase substitute requirements elsewhere, and recover from the Contractor any increased costs, thereby incurred together with all resulting incidental and consequential damages. TARTA may also terminate for cause, purchase substitute requirements elsewhere and recover costs and damages for breach of Contractor obligations.

The Contractor shall be entitled to a reasonable extension of time from TARTA for the delays caused by damage to the Contractor's and/or TARTA's property caused by fire, lightning, earthquakes, tornadoes, and other extreme weather conditions, pandemics or acts of nature, power failures, riots, acts of civil or military authorities of competent jurisdiction, strikes, lockouts, and any other industrial, civil, or public disturbances beyond the control of the

Contractor and its subcontractors causing the inability to perform the requirements of this

Contract. Any delay other than the ones mentioned above shall constitute a breach of the

Contractor's contractual obligations.

8) Taxes, License, Laws, and Certificate Requirements

The Contractor shall maintain and be liable for all taxes, fees, licenses, and costs as may be required by federal, state, and local laws, rules, and regulations for the conduct of business by the Contractor and any subcontractors and shall secure and at all times maintain all such valid licenses and permits as may be required to provide the services or supplies under this Contract.

Suppose for any reason, the Contractor’s required licenses or certificates are terminated, suspended, revoked, lapsed, or in any manner modified from their status at the time this

Contract becomes effective. In that case, the Contractor shall immediately notify TARTA in writing of such condition.

The Contractor will give all notices and comply with all federal, state, local, and TARTA laws, ordinances, rules, regulations, standards, and orders of any public authority bearing on the performance of the Contract, including, but not limited to, the laws referred to in these General

Provisions of the Contract and the other Contract Documents. Suppose the Contract

Documents are at variance in addition to that in any respect. In that case, any necessary changes shall be adjusted by appropriate modification. Omission of any applicable laws, ordinances, rules, regulations, standards, or orders by TARTA in the Contract Documents shall be construed as an oversight. It shall not relieve the Contractor from their obligations to meet such fully and completely. Upon request, the Contractor shall furnish TARTA certificates of compliance with all such laws, orders, and regulations. The Contractor shall be responsible for obtaining all necessary permits and licenses required for performance under the Contract.

Applicable provisions of all federal, state, and local laws, and of all ordinances, rules, and regulations shall govern all claims and disputes which may arise between the person(s) submitting a bid response hereto and TARTA, by and through its officers, employees and authorized representatives, or any other persons, natural and otherwise, and lack of knowledge by any Contractor shall not constitute a cognizable defense against the legal effect thereof.

9) Defective Work, Materials, or Services

When and as often as TARTA determines that the work, materials, or services furnished under the Contract are not wholly and entirely following any requirement of the Contract, it may give notice and description of such non-compliance to the Contractor. Within seven (7) calendar days of receiving such written notification, the Contractor must supply TARTA with a written detailed plan which indicates the time and methods needed to bring the work, materials, or services within acceptable limits of the Contract. TARTA may reject or accept this plan at its discretion. If this plan is rejected, the work, materials, or services will be deemed not accepted and returned to the Contractor at the Contractor’s expense. This procedure to remedy defects is not intended to limit or preclude any other remedies available to TARTA by law.

10) Assignment

The Contractor shall not assign any interest, obligation, or benefit under or in this Contract or transfer any interest in the same, whether by assignment or notation, without the prior written consent of TARTA. If an assignment is approved, this Contract shall be binding upon and inure to the benefit of the successors of Contractor. This provision shall not prevent the Contractor from pledging any proceeds from this Contract as security to a lender. An assignment may be conditioned upon the posting of bonds, securities, and the like by the assignee. The assignee must assume the written Contract in writing and be responsible for the obligations and liabilities of the Contractor, known and unknown, under this Contract and applicable law.

TARTA may assign its rights and obligations under the Contract to any successor to the rights and functions of TARTA or any governmental agency to the extent required by applicable laws or governmental regulations or to the extent TARTA deems necessary or advisable under the circumstances.

11) Indemnification and Hold Harmless

TARTA has the right to stop or resume work, to make inspections, to receive reports, and to provide recommendations or suggestions, consistent with the employment of an independent contractor, and that no provision of this Agreement shall be construed as TARTA retaining control of or having liability for the actions of the Contractor. TARTA shall have no liability for the Contractor’s selection of personnel, employees, or subcontractors, nor for the presence of dangerous conditions on any real property where the Contractor is employed.

The Contractor shall have sole control over the manner and means of providing the work and services performed under this agreement. TARTA’s relationship to the Contractor under this agreement shall be that of an independent contractor. The Contractor will not be considered an employee of TARTA for any purpose. The parties agree that the Contractor is exclusively responsible for determining what work is required to complete the tasks outlined herein and the means and methods of achieving such work. TARTA’s compensation to the Contractor shall be limited to that described in any approved contract. TARTA shall not reimburse any expenses, provide any benefits, withhold any employment taxes, or otherwise have a financial relationship with the Contractor other than payment of the stated compensation. The

Contractor shall be solely responsible for withholding taxes, providing employee benefits, or otherwise complying with applicable laws relating to its employees or contractors.

The Contractor shall be responsible for determining its sequence of performance for required work. The Contractor’s work shall be evaluated by TARTA based upon the result of such work.

The Contractor shall be responsible for any expenses incurred by the Contractor in the performance of its work and shall not be authorized, expressly or impliedly, to obligate TARTA on any debt, contract, or other agreement whatsoever. Suppose the Contractor is compensated on an hourly basis under the terms of this Agreement. In that case, TARTA and the Contractor agree that Contractor’s compensation is usual and customary, based on the terms that

Contractor offers its services to the market in general. The Contractor shall be responsible for all damages to property or persons arising out of any error, omission, and/or negligent act in the prosecution of the work or failure to prosecute the work and shall indemnify and hold harmless TARTA, its officers, agents, and employees from all suits, claims, actions, or damages of any nature whatsoever resulting therefrom. The Company shall assume all restitution and repair costs arising out of any error, omission, and/or negligence.

The Contractor agrees to indemnify and hold harmless TARTA, including its elected or appointed officials, employees, attorneys, and agents against all claims, loss damage, injury, liability, and court costs and attorney’s fees incidental to that, including any claims made by employees of the Contractor or any of their subcontractors, as well as all other persons, resulting directly or indirectly from work covered by this contract or the equipment used in connection therewith. It is understood that this agreement shall apply to all such claims whether resulting from the negligence or the intentional acts of the Contractor, the

Contractor’s employees, contractors, or subcontractors, TARTA or TARTA Indemnitees or otherwise, with the single exception of any claim, damage, loss, or expense arising solely out of the intentional misconduct of TARTA or TARTA Indemnitees. The Contractor is solely responsible for determining the accuracy and validity of any information provided to the

Contractor by TARTA or its representatives. This indemnification shall apply to the fullest extent of the law. Suppose any provision hereof is determined to be unenforceable. In that case, the indemnification obligations shall be severable. The fullest extent of indemnification that may lawfully apply shall remain in full force and effect. This indemnification shall include any claims arising out of the erection, construction, placement, or operation of any scaffold, hoist, crane, stay, ladders, support, or other mechanical contrivance in connection with such work, including but not limited to losses, claims, damages, and expenses arising pursuant to claims asserted against TARTA. This indemnification shall not be limited in any way by limitations on the amount or type of damages, compensation, or benefits payable by or for the Contractor under

Workers’ Compensation Acts, disability benefit acts, or other employee benefit acts. However, the Parties shall not indemnify the other for any liabilities, damages, costs, or expenses resulting from the other party’s own willful misconduct or negligence.

Further, the successful Proposer shall abide by all federal, state, and local laws, TARTA regulations, policies, and procedures, and ordinances governing any areas(s) where a service is rendered and shall have all required permits, licenses, agreements, tariffs, bonding, and insurance required by same. No claims for additional payment shall be approved for changes required to comply with any such requirements.

13) Attorney Fees

In the event either party shall engage the services of an attorney or other professional due to the default of the other party, the defaulting (non-prevailing) party shall pay all legal costs and fees, including attorney’s fees, incurred by the non-defaulting (prevailing) party in enforcing its rights.

14) Conflicts of Interest and Non-Competitive Practices
