About this file
This document is an Other Transaction Agreement (OTA) template between the Naval Undersea Warfare Center (NUWC) and a company for prototype development under Commercial Solutions Opening (CSO) authority, authorized under 10 U.S.C. § 4022.
The agreement establishes a five-year umbrella framework for funding Tactical Oceanography (TAC-O) prototyping efforts to demonstrate military effectiveness. Individual prototype projects are executed under this master agreement with negotiated payment schedules, either fixed-price or cost-reimbursement structures. The government's liability is limited to funds obligated under specific prototype projects, which may be incrementally funded. The company must maintain a Generally Accepted Accounting Principles-compliant accounting system capable of tracking and segregating costs to individual agreements. Invoices are submitted via the Wide Area Work Flow (WAWF) system with Net 30 payment terms under the Prompt Payment Act. The Statement of Work (Attachment 1) specifies detailed project requirements, deliverables, and pricing. Eligible awardees must be non-traditional defense contractors, small businesses, traditional defense contractors with significant non-traditional participation, non-profit research institutions, or traditional defense contractors providing one-third cost share. The agreement incorporates extensive regulatory requirements including NIST SP 800-171 cybersecurity standards, Cybersecurity Maturity Model Certification (CMMC) compliance, covered defense information safeguarding, cyber incident reporting within 72 hours to DoD, export control compliance, patent rights allocation favoring the company with government non-exclusive licenses, data rights management across four categories, intellectual property protections, and organizational conflict of interest monitoring. Standard provisions address property disposition, security requirements per NISPOM, publications review, foreign technology transfer restrictions, and dispute resolution through escalating review to the Director of Contracting and CEO level before litigation.

A. The Term of this Agreement
This Agreement will be available for a period of five years from award. Provisions of this Agreement, which, by their express terms or by necessary implication, apply for periods of time other than specified in the SOW, shall be given effect, notwithstanding this Article.
B. Early Termination of Agreement
Subject to a reasonable determination that the Program, or a prototype project funded under the Program, will not produce beneficial results commensurate with the expenditure of resources, the Government may terminate performance of work under this Agreement, in whole or in part, if the AO determines that a termination is in the Government’s interest. The AO shall terminate this Agreement by delivering to the COMPANY a Notice of Termination specifying the extent of termination and the effective date of such termination.
After receipt of a Notice of Termination, and except as directed by the AO, the COMPANY shall immediately proceed with the following obligations, regardless of any delay in determining or adjusting any amounts due:
(1) Stop work and direct its subagreement holders/vendors/suppliers/partners to stop work as specified in the notice.
(2) Place no further orders for materials, services, or facilities, except as necessary to complete ongoing tasking commensurate with the SOW.
(3) Terminate all orders to the extent they relate to the work terminated.
(4) Assign to the Government, as directed by the AO, all right, title, and interest of the COMPANY under the orders terminated, in which case the Government shall have the right to settle or to pay any termination settlement proposal arising out of those terminations.

(6) As directed by the AO, transfer title to the following, where applicable, and deliver to the Government --
(i) The fabricated or unfabricated parts, work in process, completed work, supplies, and other material produced or acquired for the work terminated; and
(ii) The completed or partially completed plans, drawings, information, and other property that, if the order had been completed, would have been required to be furnished to the Government.
(7) Complete performance of any work not terminated, if applicable.
(8) Take any action that may be necessary, or that the AO may direct, for the protection and preservation of the property related to the project that is in the possession of the COMPANY and in which the Government has or may acquire an interest.
(9) Use its best efforts to sell, as directed or authorized by the AO, any property of the types referred to under Article IV.B. Termination Provisions.

Nothing in this section shall be construed as a limitation of the rights of either Party in the event of a breach of contract or default by the other Party.
C. Stop Work Clause
As directed by the AO, the COMPANY shall stop all, or any part, of the work called for under this Agreement for a period as determined at the time of the written order is delivered, and for any further period to which the Parties may agree.
