Questions received via Email:

1) Question: Reference the subject BAA, is there any stipulation imposed that defines the maximum allocation that a prime awardee could give to a subcontractor? So, for example, could the prime award 80% (or 50% or 10%) of the effort to a subcontractor? If so, is that allocation applied on a task order by task order basis, or is it applied on a total roll up of the whole contract?

Answer: Paragraph VIII(8) on page 21 of the BAA addresses Limitations on Pass- Through charges. More specifically, FAR 52.215-22 – Limitations on Pass-Through Charges—Identification of Subcontract Effort provides the following:

(a) Definitions. “Added value, excessive pass-through charge, subcontract, and subcontractor,” as used in this provision, are defined in the clause of this solicitation entitled “Limitations on Pass-Through Charges” (FAR 52.215-23).

(b) General. The offeror’s proposal shall exclude excessive pass-through charges.

(c) Performance of work by the Contractor of a subcontractor.

(1) The offeror shall identify in its proposal the total cost of the work to be performed by the offeror, and the total cost of the work to be performed by each subcontractor, under the contract, task order, or delivery order.

(2) If the offeror intends to subcontract more than 70 percent of the total cost of work to be performed under the contract, task order, or delivery order, the offeror shall identify in its proposal—

(i) The amount of the offeror’s indirect costs and profit/fee applicable to the work to be performed by the subcontractor(s); and

(ii) A description of the added value provided by the offeror as related to the work to be performed by the subcontractor(s).

(3) If any subcontractor proposed under the contract, task order, or delivery order intends to subcontract to a lower-tier subcontractor more than 70 percent of the total cost of work to be performed under its subcontract, the offeror shall identify in its proposal—

(i) The amount of the subcontractor’s indirect costs and profit/fee applicable to the work to be performed by the lower-tier subcontractor(s); and

(ii) A description of the added value provided by the subcontractor as related to the work to be performed by the lower-tier subcontractor(s).

Per FAR 52.215-22(c)(2), if you intend to subcontract more than 70% of an individual task order, it needs to be identified and the value added by the prime contractor needs to be described.

2) Question: Please confirm the planned award date and period of performance.

Page 11 of the BAA states Award is 10DEC2015 and anticipated funding for

FY15-FY20.

Page 2 of the BAA states Basic Contract is 81 months.

Is the anticipated funding meant to be Calendar Year CY15-CY20, with 61 month base contract, which makes POP 10DEC2015-09DEC2020?

Answer: The basic contract period of performance is anticipated to be 81 months, this means we anticipate work being performed under this effort for up to 81 months.

The basic contract has an anticipated ordering period of 60 months. The ordering period only affects the ability of the Government to place NEW task orders against the basic contract. If a new order were placed on the last day of the 60 month ordering period, it could only have a period of performance of 21 months (limited by the basic contract period of performance).

The anticipated funding for the program (entire basic contract) shows the fiscal years the Government anticipates getting funding (and amount) for this effort. FY 20 is the last anticipated year of funds for this effort; however that doesn't mean the work can't continue on past FY 20. The performance of the work is limited by the 81 month period of performance.
