About this file
This document is a Sole Source Memorandum justifying a direct award to Cabras Marine Corporation for refurbishment services of two Mini Fly Away Dive Lockers (FADLs) located at Navy Base Guam. The Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD) will issue a firm fixed-price purchase order for refurbishment services for specific serial numbered FADLs (SN 47182-005 and SN 26728-001). The sole source justification is based on Cabras Marine Corporation being the only local vendor with the necessary tools, permits, and capabilities to complete the sanding and re-painting work within the required 90-day operational timeline, with the work to be performed onsite in Guam to support Explosive Ordnance Disposal (EOD) diving equipment readiness.
The contract will be executed using simplified acquisition procedures, with the contracting officer determining the order represents the best value considering price, special features, and administrative costs. The unique local requirements and operational constraints in Guam's Area of Responsibility preclude competitive bidding, and the government does not expect significant cost savings through competition. The procurement is critical to maintaining warfighter capabilities in the region, with the EOD Depot team and their support contractor (General Dynamics Information Technology) identifying Cabras Marine Corporation as the sole capable vendor for this specialized refurbishment service.

Subj: SOLE SOURCE MEMORANDUM TO AQUIRE SERVICES FROM CABRAS MARINE
CORPRORATION FOR REFURBISHMENT OF FLY AWAY DIVE LOCKERS
1. Identification of the agency and the contracting activity, and specific identification of the document as a “Sole Source” Justification.
This is a sole source justification. Contracting activity is the Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City, FL 32407-7001.
2. Nature and/or description of the action being approved.
This action will award a firm fixed price purchase order, on a sole source basis, to Cabras Marine Corporation, 178 Industrial Avenue Piti, Guam 96915, for procurement of services and materials for refurbishment of two Mini Fly Away Dive Lockers (FADLs) currently located at Navy Base Guam.
3. A description of the supplies or services required to meet the agency’s needs (including the estimated).
The contract effort is to acquire the following:
DESCRIPTION ITEM QTY
Refurbishment Services IAW with SOW 3.2 SN 47182-005
SN 26728-001
The Government’s minimum needs have been verified by the certifying technical and requirements personnel. This memo does not authorize acquisition for other requirements. This acquisition will be conducted using simplified acquisition procedures with a total dollar value above micro-purchase levels, but not exceeding the simplified acquisition threshold.
4. Identification of the justification rationale and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service. 10 U.S.C. 2304(c)(1), 10 U.S.C.
2304(d)(1)(B). Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements FAR 6.302-1(a)(2)(iii)(B).
NSWC PCD provides the depot for the Fly Away Dive Locker (FADLs). These portable containers provide a modular, containerized support facility for support of Explosive Ordnance Disposal (EOD) Diving equipment such as the MK 16 Mod 1 Underwater breathing Apparatus (UBA), and the Very Shallow Water (VSW) Viper UBA.
Located in Guam currently has four (4) Mini FADLs stationed at their command. Due to the current global concerns in Guam’s Area of Responsibility (AoR) as well as the difficulty and length of time to ship these systems to Panama City for refurbishment, the EODMU 5 leadership has requested the refurbishment be done onsite.
This procurement is sole source for the following reasons. Operational timeline constraints. Completing items locally in Guam requires a vendor to have access to specific tools and permits for painting and sanding. The EOD Depot team has conducted extensive market research in the area to find vendors that possess the ability and understanding to conduct the services within the 90 day window currently required. To such an end, the EOD Diving Depot team and the Depot support contractor, General Dynamics Information Technology (GDIT) , has identified Cabras Marine Corporation as the only entity in the area that can provide sanding and re-painting capabilities locally to EODMU5 within the 90-day window. Due to the unique nature of the work and location requirements, it is not expected that significant cost savings will be accomplished through competition. Therefore, it is imperative that this tasking be awarded to Cabras Marine Corporation as soon as possible to maintain warfighter capabilities in the region.
5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b).
The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (such as considering price, special features, administrative costs) to meet the Government’s needs.
6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.
For the reasons specified in paragraph 4 above, Cabras Marine Corporation is the only source that can meet the Government’s needs.
7. Any other facts supporting the justification.
None.
8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.
As stated in paragraph 4 above, Cabras Marine Corporation is the only source that can meet this requirement.
