About this file

This document is a Sole Source Memorandum for the Naval Surface Warfare Center, Panama City Division (NSWC PCD) to acquire a Flow Imaging Microscopy System from Yokogawa Fluid Imaging Technologies, Inc. The procurement consists of eight line items including a FlowCam 8400 (488 nm) microscopy instrument, objective kits, standards and sample preparation kit, installation and training, a silver service plan, shipping kit, power cord, and domestic shipping. The total acquisition is for use on an Unmanned Underwater Vehicle (UUV) to support testing and analysis, with the specific goal of maintaining data set uniformity across existing test records.

The sole source justification is based on the program office's prior experience with this brand of microscope and the need to ensure consistent analytical results. Yokogawa Fluid Imaging Technologies is the original equipment manufacturer (OEM) and does not sell these items through distribution. The Contracting Officer has determined the order represents the best value, considering price, special features, and administrative costs. The requirement will be synopsized in SAM.gov, and the procurement will be conducted using simplified acquisition procedures with a total dollar value above micro-purchase levels but not exceeding the simplified acquisition threshold.

4. Identification of the justification rationale and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service. 10 U.S.C. 2304(c)(1), 10 U.S.C.

2304(d)(1)(B). Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency

Requirements FAR 6.302-1(a)(2)(iii)(B).

Pursuant to 10 U.S.C. 2304(c)(1), this procurement is sole source for the following reasons.

The Naval Surface Warfare Center Panama City Division (NSWC PCD) has a requirement to place a flow imaging microscope on a Unmanned Underwater Vehicle (UUV). The items in Paragraph 3 of this document are going to be used to support testing and analysis of the aforementioned UUV. The sponsoring program office has used this brand microscope and has a significant amount of test data on file. In order to maintain uniformity across all data sets, it is in the Governments best interest to procure the same hardware that is in use elsewhere. If another brand were to be selected, the collected data may not be consistent with the data on file, resulting in unacceptable analytical errors.

Yokogawa Fluid Imaging Technologies is the OEM of the items listed in Paragraph 3 and does not sell these items through distribution.

As such, the government does not expect significant savings through competition and it is more advantageous to the

Government to award on a sole source basis to Yokogawa Fluid Imaging Technologies for the items listed in

Paragraph 3 of this document.

5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b).

The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the Government’s needs.

6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.

For the reasons specified in paragraph 4 above, Yokogawa Fluid Imaging Technologies, Inc.is the only source that can meet the Government’s needs. Additionally, this requirement will be synopsized in the government point of entry SAM.gov.

7. Any other facts supporting the justification.

None

8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.

As stated in paragraph 4 above, Yokogawa Fluid Imaging Technologies, Inc.is the only source that can meet this requirement.
