About this file

This document is a Sole Source Memorandum from the Naval Sea Systems Command (NSWC PCD) justifying a direct award to Innovative Professional Solutions Incorporated for minesweeping cutters refurbishment support. The procurement is for mechanical minesweeping system installation and testing, specifically addressing wear, fit, and missing item issues for SLQ-37 minesweeping cable systems deployed on MCM One Class Ships. The contract will be a firm fixed-price purchase order under the WOSB Statute, with a total value not exceeding $250,000.00 and all services to be completed by September 30, 2025.

The justification for sole source is based on IPS's unique capabilities, as they developed the specific procedures, techniques, and fit-testing methods for MK 12 and MK 14 Minesweeping Cutters. The company is deemed the only source capable of properly refurbishing these cutters due to their in-house knowledge of the renewal project, proprietary tooling, and fit-check processes. The Contracting Officer has determined that this award represents the best value and lowest overall cost alternative, and the requirement will be synopsized on SAM.gov.

MEMORANDUM

Subj: SOLE SOURCE MEMORANDUM TO ACQUIRE MINESWEEPING CUTTERS REFURBISHMENT

SUPPORT FROM INNOVATIVE PROFESSIONAL SOLUTIONS INCORPROATED

1. Identification of the agency and the contracting activity, and specific identification of the document as a “Sole Source Justification.”

This is a sole source justification. Contracting activity is the Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City, FL 32407-7001

2. Nature and/or description of the action being approved.

This action will award a firm fixed price purchase order, under the WOSB Statue FAR 19.1506, to Innovative Professional Solutions Incorporated, 8317 Front Beach Rd Suite 17D, Panama City Beach, FL 32407 to provide mechanical minesweeping system installation and testing support.

3. A description of the supplies or services required to meet the agency’s needs (including the estimated value).

The Navy is refurbishing minesweeping cutters for the SLQ-37 minesweeping cable systems. The refurbishment addresses wear issues, fit issues, and missing items for the minesweeping cutters. The cutters are deployed with the minesweeping cables on MCM One Class Ships. The Government's minimum needs have been verified by the certifying technical and requirements personnel. This memo does not authorize acquisition for other requirements.

This acquisition will be conducted using simplified acquisition procedures with a total dollar value above micro-purchase levels, but not exceeding the simplified acquisition threshold of $250,000.00. All services will be completed no later than 30 September 2025.

4. Identification of the justification rationale and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service. 10 U.S.C. 2304(c)(1), 10 U.S.C.

2304(d)(1)(B). Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements FAR 6.302-1(a)(2)(iii)(B).

This procurement is sole source for the following reasons. IPS’ personnel developed the procedures and techniques for refurbishing, renewing, and fit-testing the MK 12 and MK 14 Minesweeping Cutters. IPS refurbished a ship set of cutters, developing fit-tests and repair fixtures to ensure correct minesweeping cutters. As the developer and sole owner of the procedures and techniques for refurbishing, coupled with IPS in-house resident knowledge of the unique MK 12 & MK 14 cutter renewal project, IPS is the only company that can properly refurbish the MK12 and MK14 cutters. Additionally, IPS is the only company with the in-house resident knowledge of the required tooling and fit-checks required as IPS is the sole developer of these as well. This makes IPS the only company qualified to accomplish statement of work tasking. No other contractor will be able to duplicate the knowledge and processes.

The refurbishment contracted by this order will complete the refurbishment program for the fleet. As such, the Government does not expect significant savings through competition and does expect significant and unacceptable delays that will negatively impact this requirement. Therefore, it is imperative that this procurement is awarded on a sole source basis to Innovative Professional Solutions, Incorporated.

5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b).

The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the Government’s needs.

6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.

For the reasons specified in paragraph 4 above, Innovative Professional Solutions, Inc. is the only source that can meet the Government’s needs. This requirement will be synopsized in the government point of entry SAM.gov.

7. Any other facts supporting the justification.

None.

8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.

As stated in paragraph 4 above, Innovative Professional Solutions is the only source that can meet this requirement.
