EXCEPTION to FAIR OPPORTUNITY for the placement of an order >$150K uuder a Multiple Award Contract (MAC)
Upon the basis of the following justification, I, Christina Neto, as Contracting Officer, of SPAW ARSYSCEN, Pacific, hereby approve the Exception to Fair Opportunity Pursuant to FAR l 6.505(b )(2).
JUSTIFICATION
1. Agency and ContractingActivitv. Department of the Navy, SPAWARSYSCEN, Pacific(SSCPAC).
2. Nature/Description of Action. This is a fair oppmtunity exception to place an order N66001-18-F OO 11 with Lockheed Maiiin under multiple award contract number N66001-15-D-O 181.
3. Description of Supplies/Services. The purpose is to provide software transition support related to the Hydroid REMUS Unmanned Underwater vehicle (UUV) vehicle code, Unified Vehicle Interface Program system, Common Operator Interface Navy (COIN), SeeByte developed Service Oriented Layered Architecture for Robotics (SOLAR), and SeeByte developed Neptune autonomy software. The contractor is providing configuration management and integration of the various systems into the Mk! 8 UUV vehicle. The contractor is providing development and implementation of structured processes to coordinate between development and sustainment teams.
Tasks include: Provide support for program management and systems engineering functions associated with at-sea testing of autonomous systems; manage the software development configuration management list and maintain the repository of software products at SSCPAC for MK 18 transition efforts; create, update and manage the standard operating procedures (SOPs) for tracking software deficiencies within the MK 18 software development issue tracking databases; create, update, and manage MK 18 software development roadmaps; and assist MK 18 software development team create, update, and manage MIG 8 software architecture and associated documentation.
The period of performance for the proposed base period is one year, with a single one year option period.
The total estimated value of this award is Funding for the CLINs will be provided incrementally.
The estimated annual values of the task order are below:
Base Period Option 1 Total Labor ODCs Total
4. Identification of the Exception to Fair Opportunitv. (FAR 16.505 (b )(2))
Identification/Justification for Exception: If the r,equirement qualifies for one of the five exceptions to fair opportunity, check the appropriate exception and provide justification.
D a. The agency need for services is of such urgency that providing fair opportunity would result iu unacceptable delays.
IZJ b. Only one such awardee is capable of providing such services required at the level of quality required because the services ordered are unique or highly specialized.

(b)(4)
Lockheed Martin is the only multiple award contract holder with the expertise and experience working with the Common Operator Interface Navy (COIN), Vehicle Inte1face Program (VIP), SeeByte proprietary architectures, and MEDAL software transition support effmts. Lockheed Mattin supports SSCPAC Mkl8 operations with their work on the technical support task order under the Unmanned Maritime System Support (UMSS) multiple award contracts (MAC), specifically with the software packages being transitioned into Mk 18 active operations. This task order requires not only a comprehensive knowledge of the VIP autonomy software, MEDAL software package, See Byte proprietm·y software packages, and COIN software developed to support underwater vehicle operations, but historical knowledge of the software's development process, intricacies of the code, and the effect of chm1ges and modifications of the software code to the vehicle operators and suppo1t staff. Knowledge of individual Mk! 8 software packages is not sufficient to successfully manage the transition and configuration efforts. To successfully manage the web of software packages needed to configure in this effort, the contractor needs knowledge and experience with all of the software packages, which is a unique skill of Lockheed Mmtin.
Any relaxation of the technical requirements would create an unacceptably lm·ge delay in being able to provide cogent support to the VIP, MEDAL, SeeByte, and COIN software packages. The technical code has estimated it would take three to five months to train a new software engineer to work the MEDAL and VIP code, and likely over a year to train a qualified software engineer on the COIN software code.
This training would take over 33% of the fully exercised period of perfonnance, and longer than the initial base period of performance. This training would need to encompass training on the strncture and architecture of tens of millions of lines of software code, and a historical review of service implementation. To gain knowledge elsewhere of See Byte software architecture and its place within the transition that Lockheed Mattin has, the Government would need to directly contract with SeeByte at a higher cost. The three to five months delay on VIP/MEDAL and over a year delay on COIN would directly impact the sponsor, PMS 408, as well as the highest repmting priority customer, NA VSEA, as the support for the COIN, MEDAL and VIP software directly affects ongoing operations in Bahrain and the CENTCOM region. Additionally, the cost impact of training and hiring an untrained engineer cannot be funded by the sponsor. There is operational risk, as well, having to engineers unfamilim· with the COIN, VIP, SeeByte and MEDAL software packages working to transition, perform configuration management, and integrate it into operational Mk! 8 vehicles. Errors created by unfamiliarity with the software packages could lead to malfunctioning vehicles, navigational e1rnrs leading to the loss of vehicles, or the inability to properly complete missions or report usable intelligence back to base, which would put Naval assets at risk in operational situations.
For this acquisition, the Government attempted to solicit via the UMSS MAC vehicle. Lockheed Ma1tin was the only respondent willing to bid the task. Other contractors stated they did not have the requisite technical experience to be able to propose for this effort. This supp01ts the market research that Lockheed Martin is uniquely qualified to provide this software transition suppott with a diverse group of specialized Mkl8 related software.
D c. The order must be issued ou a sole-source basis in the iuterest of economy and efficiency as a logical follow-on to an order already issued under the MAC, provided that all the awardees were given fair opportunity to be considered for the original order.
D d. It is necessary to place an order to satisfy a minim nm guarantee.
D 5. For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or rnquires that the purchase be made from a specified source.

6. Detennination of Fair and Reasonable Cost. Based on the historic cost information currently available, the contracting officer has adequate infonnation to ensure that the cost to the government for this acquisition will be fair and reasonable.
7. Any Other Facts Suppmting the Justification.
None.
8. Actions Taken to Remove or Overcome Ban-iers that Led to the Exception to Fair Opportunitv. The technical code will continue to survey the industrial base for qualified personnel or oppmtwtlties to contract with other MAC awardees for tasking that would result in the broadening of the knowledge base.
