About this file

This document is a Justification and Approval (J&A) for Other Than Full and Open Competition for the Army Vantage software-as-a-service (SaaS) contract. The Army has a requirement to continue using the proprietary Army Vantage SaaS solution developed by Palantir Technologies, Inc. under a prior prototype other transaction agreement. The J&A cites the authority at FAR 6.302-1(a)(2) for a sole source award to Palantir as the only responsible source. The Army is pursuing a short-term sole source bridge contract for Army Vantage while developing a successor ADP 2.0 program that will feature a modular, open systems architecture. The anticipated sole source contract value is $. The J&A provides details on the Army Vantage capabilities, the alternatives considered, and the planned transition to the future ADP 2.0 solution. The related federal contract opportunity is a solicitation for the Army Vantage sole source follow-on contract under solicitation number W519TC-25-R-VANT.

Applications, the licenses associated with querying tools and dashboards, that is designed to provide a specific result to support quick analytical review of results, are priced separately as Option Contract Line Item Number (CLINs) to enable the Army to add/discontinue features as missions change. The number and duration of Option Periods in this action balances the need to maintain uninterrupted capability until a successor solution, known as ADP 2.0, can be competitively awarded, achieve Authority to Operate (ATO), and be deployed to end users, which is anticipated to be

(reference paragraph 5, Figure 2). The designed into the schedule are meant to provide the opportunity to sunset the Vantage sole source as timely as possible upon achieving ATO on the ADP 2.0.

4. Authority Cited: 10 U.S.C. 3204(a)(1), as implemented by Federal Acquisition Regulation (FAR) 6.302-1(a)(2), Responsible Source and Supplies or Services will Satisfy Agency Requirements.

5. Reason for Authority Cited: Army Vantage is the result of the competitively awarded Prototype OTA W15QKN-18-9-6003, awarded to Palantir Technologies, Inc.

on . The prototype project demonstrated capabilities that exceeded the Army's ability to leverage its data to make informed decisions. An Acquisition Decision Memorandum was signed by the Army Acquisition Executive (AAE), The PFCS enables users to ingest, manage, search, transform, analyze, and present data in a variety of ways depending on their needs and technical proficiency. Army Vantage ingests data from authoritative data sources (enabled by the Vantage Data Connection Adapter - VDCA) primarily within the Business Mission Area (BMA) across domains such as Logistics, Personnel, Training and Readiness (T&R), Acquisitions, and Financial Management. These data sources have a variety of sync cadences, ranging from near real time updates to annual ingests and have varying methods for connecting and acquiring data from source systems.

Army Vantage enables enterprise-wide capabilities at every echelon from Company to Army-level, providing vital data to enable Commanders to see themselves. For example, Army Vantage provides data for Army Commanders

Army Vantage is used throughout the entire Army to include the Reserves and National Guard.

Tailored analytical capabilities - otherwise known as Application Licenses - within Army Vantage have been leveraged by Soldiers, Civilians, and Senior Leaders across the Total Army to reduce harmful behaviors via the Commander's Risk Reduction Toolkit. These Applications have also provided critical logistics and sustainment support to the Security Assistance Group-Ukraine in the European theater. These products and efforts within Army Vantage directly support warfighters across echelons and cannot be re-created using a different platform without a detrimental capability gap.

Army Vantage is based upon proprietary tools and technologies.

Following the Production OTA extension, the PM ADP considered three alternatives:

• Alternative 1 - Full & Open Competitive Award

• Alternative 2 - Long-term Sole Source

• Alternative 3 - Short-term Sole Source Contract for Army Vantage with a

Transition to a Competitive Award for ADP Alternative 1 - Competitive Award for Army Vantage: The planned Request for Proposal (RFP) release extends past the maximum extension time of the OTA

). The costs for other contractors to provide a seamless solution will be financially prohibitive. The ADP 2.0 program will require to achieve a Minimum Viable Capability Release. The timeframe to test and deploy would not provide the seamless migration to continue the capability for the Army. Therefore, Alternative 1 was deemed infeasible.

Alternative 2 - Long-term Sole Source for Army Vantage: The Army's goals include a modular open systems architecture, multi-vendor data platform, and program affordability. A long-term Sole Source contract beyond the planned period does not enable the Army to achieve these goals. Therefore, Alternative 2 was deemed infeasible. That necessitates a solution other than Army Vantage.

Alternative 3 - Short-Term Sole Source Contract for Army Vantage with a Transition to a Competitive Award for ADP: This alternative includes a Sole Source contract to enable the transition to a new, long-term ADP 2.0 capability through a competitive award. The proposed Sole Source contract will enable the Army to maintain the Army Vantage capability and support while the competitive contract activities occur for the ADP program. The Army will conduct a full and open competition for the ADP 2.0 program concurrent with the execution of the Army Vantage Sole Source contract. The Army will then transition from the Army Vantage Sole Source contract to the ADP 2.0 program when it achieves a comparable level of capability to Army Vantage. This effort will encompass those necessary activities to take place in parallel while maintaining needed user capability and support. The PdM ADP plans on executing Alternative 3, a short-term Sole Source Contract with Army Vantage with a Transition to a Competitive Award for ADP 2.0.

PdM ADP is actively developing the successor to Army Vantage, known as ADP 2.0, which will feature a modular open systems architecture to lessen the Army's dependence upon any single vendor. The Capabilities Requirements Document (CRD) for ADP 2.0 was approved by the Undersecretary of the Army on . PdM ADP successfully completed Acquisition Shaping Panel #1 (ASP#1) in and is progressing to ASP#2, anticipated in . The AAE provides direction for acquisition strategy at ASP#2, thus PdM ADP cannot release a solicitation for ADP 2.0 prior to a successful ASP#2 and incorporating the AAE's guidance.

Additionally, ADP 2.0 is a New Start program in . PdM ADP estimates that it will take approximately (from when this sole source bridge is awarded) to competitively award the ADP 2.0 contract and subsequently develop ADP 2.0, gain ATO, and deploy it to end users.

Article VIII of the Prototype OTA W15QKN-18-9-6003 describes the data rights agreed to by the Government and Palantir for the Vantage Prototype project. The Prototype OTA described of data and associated data rights for each (reference Table 3).

Palantir Foundry was developed at private expense and was first offered as an independent product in . Accordingly, Foundry meets the definition of data as included in Prototype OTA. The allocation of principal rights (data rights) provided in the Prototype OTA are shown in Figure 3.
