This is a sole source, combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. Solicitation Number 140P2123Q0001 is issued as a Request for Quote (RFQ) constitutes the entire solicitation. Price quotations with detailed breakdown are being requested. This acquisition will be conducted pursuant to FAR Part 12 and 13 and is not considered a construction requirement. This solicitation document incorporates all mandatory commercial item provisions and clauses in effect through Federal Acquisition Circular 2022-08, effective 10/28/2022. This solicitation is posted on a sole source basis.
The government anticipates award of one (1) firm-fixed price purchase order.
EVALUATIONS
Quote shall be evaluated for technical acceptability and price reasonableness.
The following Federal Acquisition Regulation (FAR) clauses and provisions are applicable to this announcement and are available at www.acquisition.gov.
FAR 52.212-1 through 52.212-5 apply and are incorporated into this acquisition. Further detailing of contract clauses and provisions are provided below.
All contractors must be registered in www.SAM.gov to be considered eligible for award.
REQUIREMENT:
MITTW Training Facility – Statement of Work Part 1 General Information
1. GENERAL: This is a non-personnel services contract to provide all logistical, technical, administrative, and hospitality support services necessary to host a Making IT and Telecom Work (MITTW) training session for up to 250 trainees staying overnight plus up to 90 attendees who would only stay for a few hours one day a week, plus other non-overnight attendees who may stay for the majority of the day and potentially consume meals. The Government shall not exercise any supervision or control over contractor employees performing the services herein. However, the government’s logistical and technical personnel will be available on site to assist with onsite formal, informal, and technical communications as needed.
1.1 Description of Services/Introduction: The contractor shall provide all personnel, equipment, supplies, facilities, tools, materials, tables chairs, meeting rooms, overhead projectors, technical support, supervision, and other items and non-personal services necessary to perform all services required as defined in this Statement of Work except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.
1.2 Background: The National Park Service (NPS) is a very diverse and widely dispersed operation covering over 400 field locations spread throughout the United States and the Trust Territories. With this wide variety of organizations comes widely diverse skill levels in provided needed information technology (IT) support to each NPS managed site. Despite all the automated tools available to assist with remote IT management, NPS understands there has been no effective substitute for on-site face to face training where both novices and subject matter experts in certain IT fields can network, exchange information, learn from guest instructors, and gain an appreciation for the IT needs of their co-workers.
1.3 Work Objectives:
The objective of this Statement of Work (SOW) is for the contractor to provide a state of the art training facility with all the necessary support, hospitality functions, and technical capabilities to ensure a quality training experience for the IT workforce of the NPS. Specific work deliverables expected include the following:
· Providing hospitality services to training participants upon arrival to include tasks such as room key distribution, training room assignments, facility maps, access to any amenities such as social areas, lounges, gyms or workout rooms
· Ensuring sufficient on site staff to support pre/onsite preparations and post training conference wrap-up support.
· Providing three meals daily plus mid-morning or mid-afternoon snacks
· Providing sufficient check-in and monitoring to effectively distinguish overnight stay training participants from day use only participants and to ensure that the costs billed to the government are no more than and commensurate with the services used or consumed by each training participant.
· Providing complimentary Wi-Fi access in public spaces and meeting spaces
· Providing complimentary On-site Parking with adequate security precautions such as access gates or monitored security cameras
· Providing appropriate IT capabilities to effectively carry out training course objectives and to facilitate secure communications. These may include such items as secure virtual private networks (with appropriate set up and/or usage fees), audio-visual assistance with overhead projectors, screens, and device controllers.
· Providing amplified sound systems (e.g. microphones and speakers), podium, easels, flip charts, and other audio-visual support for larger conference room sessions
· Providing each conference room or breakout session room with a requisite amount of chair and table space, overhead projectors, screens, etc. as appropriate for the number of people expected to use these rooms.
· Evaluate results as training sessions conclude and adjust support requirements accordingly
· Use clear and professional communication and provide high quality of customer service when interacting with Government personnel.
· The contractor may also be required to perform other business-related duties as identified by the CO or Contracting Officer’s Representative (COR) from time to time.
1.4 Scope: The scope of this SOW covers the governments requirements for a week-long on-site training session at the contractor’s provided facility. As such the contractor’s on-site service, supply, and equipment requirements are significantly greater than the government’s (see Sections 3 and 4 of the enclosed). The week long training session is expected to occur during the month of November 2022, ideally in the middle of month during a week where there are no Federal holidays. This contract shall be considered fully completed upon the conclusion of said week long training session and upon payment to the contractor for services rendered satisfactorily or better.
1.5 Period of Performance: The period of performance shall be for one (1) week during the month of November, 2022
1.6 General Information
1.6.1 Hours of Operation: Except where otherwise specified in Section 5 of this document, the core hours of operation are from 7:30 am through 4:30 pm Monday through Friday.
1.6.2 Type of Contract: The government will award a single firm fixed price contract to cover all the contractor’s expenses of providing a training facility while allowing for reasonable profit.
1.6.3 Communication Security Requirements: The vendors technical infrastructure must be robust enough to handle up to 10 concurrent training sessions on secure internal communication networks. It is critical that all internet communications occurring at the vendor’s location be done through secure connections such as Pulse Secure, and on secure software platforms such as the Microsoft Suite. The NPS will provide technical staff with knowledge of government security requirements to help facilitate important communication and software use security measures.
1.6.4 PHYSICAL Security: The contractor shall be responsible for providing a safe and hospitable learning environment for all training attendees. The contractor must also provide reasonable means to protect government employee’s and trainee’s physical conveyances, such as cars, trucks, vans, etc. while on the premises at the contractor’s facility. Such reasonable protections include site access gates or security cameras. For each internal classroom session, all government equipment, information, and property provided for each training course needs proper security. At the close of each training period, government facilities, equipment, and materials shall be secured in locked rooms.
The Contractor shall not be permitted to use Government issued keys/key cards/PIV cards. The Contractor shall prohibit the opening of locked areas by Contractor employees to permit entrance of persons other than Contractor employees engaged in the performance of assigned work in those areas, or personnel authorized entrance by the Contracting Officer.
1.6.4 Flexible pricing for meals, lodging, and snacks: The government anticipates a wide variety of participation from both trainees and instructors at this event. Some participants may be day use participants only who will consume little more than utilities and water (estimated to be about 90 people over the course of one week). Some participants may be day use participants who will consume one or more meals or snacks. Still other participants will consume the full array services including lodging and meals (approximately 250 participants) The contractors pricing should be commensurate with the services consumed by the individual government participant. For example, for participants identified as day use only, the contractor should not charge a lodging fee, nor should the contractor charge a full daily meal fee for participants who only consume one meal.
1.6.5. On-site Identification of government employees and trainees: The contractor may use any means it deems necessary to identify and categorize trainees and other attendees at this training session. Approaches such as using different colored name tags, requiring that government ID’s or room keys be displayed on the premises, etc. are authorized to the extent such practices facilitate the effective management of trainee needs (including meals, lodging, and snacks) while at the contractor’s facility.
1.6.6 Contracting Officer’s Representative (COR): The government shall provide a contracting officer’s representative (COR) to oversee the contractor’s performance. The COR will be identified by separate letter. The COR monitors all technical aspects of the contract and assists in contract administration. The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance: maintain written and oral communications with the Contractor concerning technical aspects of the contract: issue written interpretations of technical requirements: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies; and coordinate availability of government furnished property. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.
1.6.7 Special Qualifications: The contractor shall be highly skilled and qualified in all aspects of providing on-site multi-day training facility services. These may include logistical arrangements, technical support, providing needed supplies and materials, hospitality skills, providing meals and snacks, and attention to detail. Contractor employees must adhere to the highest ethical principles of protecting personal privacy and integrity.
1.6.8 Identification of Contractor Employees: All contract personnel engaged in supporting meetings, answering questions, and working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. At the contractor’s discretion, such identification may include special nameplates, logos on clothing, uniforms, or similar methods of identification.
1.6.9 Conduct and Attire: While working onsite at any designated work location, business casual attire is appropriate for staff at all times. Contract staff shall abide by the National Park Service Rules of Behavior and conduct themselves in a professional manner at all times. For example, contractor employees will be required to abide by all government policies and directives including a workplace that is free from any form of unlawful discrimination or harassment.

2. DEFINITIONS AND ACRONYMS:
2.1. DEFINITIONS:
2.1.1. CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.
2.1.2. CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government.
2.1.3. CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.
2.1.4. DELIVERABLE. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.
2.1.5. KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.
2.1.6. PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.
2.1.7. WORK WEEK. Monday through Friday, unless specified otherwise.

GOVERNMENT FURNISHED PROPERTY, EQUIPMENT, AND SERVICES
3. GOVERNMENT FURNISHED ITEMS AND SERVICES:
3.1. Services: The Government will provide supplies, equipment and services as specified below for both production set-up and for ongoing support throughout the term of the contract.
3.2 Equipment: The Government will provide Government Furnished Equipment (GFE), Equipment, and/or Material on an as-needed basis under this contract. Such equipment may include government PCs, Laptops monitors, wifi hotspots, books, training materials, etc. It is not anticipated that any government furnished equipment or supplies will be used or needed in any context outside a formal training session. All such supplies and equipment must be properly secured at the conclusion of each training session. The contractor will inform the Government immediately if any GFE property is damaged, lost or becomes non-operational.
3.3 Technical Assistance: The government will provide its own technical assistance as necessary to assist the contractor in any uniquely governmental technical communication needs such as using secure end point connections, secure wireless networks, etc.
PART 4
CONTRACTOR FURNISHED ITEMS AND SERVICES
4. CONTRACTOR FURNISHED ITEMS AND RESPONSIBILITIES:
4.1 Facilities: The contractor will provide all the necessary work space for government particiaptns and trainees to provide the support outlined in this statement of work (SOW). These provisions include acceptable desk space, chairs, heating, lights, and HVAC, overhead projectors, flip charts, and/or other items as necessary to maintain an effective work space in a typical training environment. The contractor shall be responsible for providing all the technical support needed to effectively use its training tools and equipment.
4.2 Utilities: The contractor will provide standard utility and support services including heating, lights, break room areas, refrigerators, restrooms, sinks, etc. The contractor shall be responsible for operating under conditions that preclude the waste of utilities, which include turning off the water faucets or valves after using the required amount to accomplish necessary cleaning and sanitation.
4.3 The contractor will provide all necessary hospitality services including individual rooms with room keys, clean sheets and towels, three daily meals and and afternoon snacks.
4.4 The contractor will provide attendees with reasonable facility security over parking areas including access gates or monitored security cameras.
4.5 The contractor shall provide all necessary keys, tools, supplies, and other miscellaneous items typical of what it would normally provide for an on-site hosted training session.
4.6 General: The Contractor shall furnish all supplies, equipment, facilities and services required to perform work under this contract that are not listed under either Section 3 or Section 4 of this SOW but which the contractor determines to be necessary.

ELECTRONIC INVOICING AND PAYMENT REQUIREMENTS – INVOICE PROCESSING PLATFORM (IPP) (APR 2013) Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.
Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:
An invoice in accordance with the clause at FAR 52.212-4(g) Invoice, containing the elements identified at (1) (i) through (x).
The Contractor must use the IPP website to register, access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3 - 5 business days of the contract award date. (d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

Addendum 3.0: Additional Provisions Incorporated in Full Text
52.204-24 Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment (NOV 2021) The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract , or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services —Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Products or Commercial Services . The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services , or any equipment , system, or service that uses covered telecommunications equipment or services " in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.
(a) Definitions. As used in this provision—
Backhaul, covered telecommunications equipment or services , critical technology , interconnection arrangements, reasonable inquiry , roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment .
(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment , system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to—
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment , system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services , regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to—
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) ( https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services ".
(d) Representation. The Offeror represents that—
(1) It □ will, □ will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and
(2) After conducting a reasonable inquiry , for purposes of this representation, the Offeror represents that—
It □ does, □ does not use covered telecommunications equipment or services , or use any equipment , system, or service that uses covered telecommunications equipment or services . The Offeror shall provide the additional disclosure information required at paragraph (e)(2) of this section if the Offeror responds "does" in paragraph (d)(2) of this section.
(e) Disclosures. (1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded "will" in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:
(i) For covered equipment —
(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier , CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);
(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and
(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.
(ii) For covered services—
(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or
(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.
(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:
(i) For covered equipment —

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (OCT 2018)
(a) Definitions. As used in this provision— “Administrative proceeding” means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings).
