52.212-4 COMBINED SYNOPSIS/SOLICITATION
Bio Acoustic Fish Fence (BAFF) Invasive Carp Deterrent System U.S. Fish and Wildlife Service, Fisheries, Region 3
This is a solicitation for commercial items prepared in accordance with the format in Subpart 12.6. This is a combined synopsis/solicitation, and this announcement constitutes the only solicitation. This solicitation is issued as a Request for Proposal (RFP).
This requirement is being procured in accordance with FAR Part 12, Acquisition of Commercial Items and in accordance with FAR Part 13, Simplified Procedures for Certain Commercial Items, will be sent directly to the vendor Fish Guidance Systems Limited. Buyer intends to issue a single award firm-fixed price contract.
The U.S. Fish and Wildlife Service (USFWS) and partners are investigating the feasibility of using a Bioacoustic Fish Fence (BAFF) for invasive carp deterrence at a U. S. Corps of Engineers lock and dam location, Barkley Lock and Dam near Grand Rivers, Kentucky. The BAFF utilizes a combination of a proprietary sound, flashing lights, and a bubble curtain to deter fish from entering a location. Barkley Lock was selected as the study site to evaluate the BAFF because it has an established Invasive carp population, an existing invasive carp monitoring program conducted by the Kentucky Department of Fish and Wildlife Resources, and has met all environmental permitting and Endangered Species Act (ESA) Section 7 Consultation requirements as part of the background work done to install the BAFF. To determine the impacts of the BAFF on fish movement through the fence, a telemetry array that monitors fish movement is utilized.
Major Components of this requirement include:
· Lease of Proprietary BAFF System
· Repair and Maintenance of System
· Travel
· Administrative and fixed Maintenance components (IE Compressor Maintenance)
· Option for Purchase of BAFF System
· Removal of BAFF System at end of Performance.
All work shall be performed in accordance with the Performance Work Statement (PWS); Performance Requirement Summary (PRS) and Quality Assurance Surveillance Plan (QASP).
This requirement is being procured in accordance with FAR Part 13, Simplified Procedures for Certain Commercial Items, will be sent directly to the vendor Fish Guidance Systems Limited. Buyer intends to issue a single award firm-fixed price contract.
This RFP is not a Small Business Set-Aside, as the sole source vendor is considered a large business due to being based out of the United Kingdom. The North American Industry Classification System (NAICS) Code for this procurement is 541330 Engineering Services.

DIAPR 2010-14, CONTRACTOR PERFORMANCE ASSESSMENT REPORTING SYSTEM (JULY 2010)
(a) FAR 42.1502 direct all Federal agencies to collect past performance information on contracts. The Department of the Interior (DOI) has implemented the Contractor Performance Assessment
Reporting System (CPARS) to comply with this regulation. One or more past performance evaluations will be conducted in order to record your contract performance as required by FAR 42.15.
(b) The past performance evaluation process is a totally paperless process using CPARS. CPARS is a web based system that allows for electronic processing of the performance evaluation report. Once the report is processed, it is available in the Past Performance Information Retrieval System (PPIRS) for Government use in evaluating past performance as part of a source selection action.
(c) We request that you furnish the Contracting Officer with the name, position title, phone number, and email address for each person designated to have access to your firm’s past performance evaluation(s) for the contract no later than 30 days after award. Each person granted access will have the ability to provide comments in the Contractor portion of the report and state whether or not the Contractor agrees with the evaluation, before returning the report to the Assessing Official. The report information must be protected as source selection sensitive information not releasable to the public.
(d) When your Contractor Representative(s) (Past Performance Points of Contact) are registered in CPARS, they will receive an automatically-generated email with detailed login instructions. Further details, systems requirements, and training information for CPARS is available at http://www.cpars.csd.disa.mil/. The CPARS User Manual, registration for On Line Training for Contractor Representatives, and a practice application may be found at this site.
(e) Within 60 days after the end of a performance period, the Contracting Officer will complete an interim or final past performance evaluation and the report will be accessible at http://www.cpars.csd.disa.mil/. Contractor Representatives may then provide comments in response to the evaluation, or return the evaluation without comment. Comments are limited to the space provided in Block 22. Your comments should focus on objective facts in the Assessing Official’s narrative and should provide your views on the causes and ramifications of the assessed performance. In addition to the ratings and supporting narratives, blocks 1 – 17 should be reviewed for accuracy, as these include key fields that will be used by the Government to identify your firm in future source selection actions. If you elect not to provide comments, please acknowledge receipt of the evaluation by indicating “No comment” in Block 22, and then signing and dating Block 23 of the form. Without a statement in Block 22, you will be unable to sign and submit the evaluation back to the Government. If you do not sign and submit the CPAR within 30 days, it will automatically be returned to the Government and will be annotated: “The report was delivered/received by the Contractor on (date). The Contractor neither signed nor offered comment in response to this assessment.” Your response is due within 30 calendar days after receipt of the CPAR.
(f) The following guidelines apply concerning your use of the past performance evaluation:
(1) Protect the evaluation as “source selection information.” After review, transmit the evaluation by completing and submitting the form through CPARS. If for some reason you are unable to view and/or submit the form through CPARS, contact the Contracting Officer for instructions.
(2) Strictly control access to the evaluation within your organization. Ensure the evaluation is never released to persons or entities outside of your control.
(3) Prohibit the use of or reference to evaluation data for advertising, promotional material, pre- award surveys, responsibility determinations, production readiness reviews, or other similar purposes.
(g) If you wish to discuss a past performance evaluation, you should request a meeting in writing to the Contracting Officer no later than seven days following your receipt of the evaluation. The meeting will be held in person or via telephone or other means during your 30-day review period.
(h) A copy of the completed past performance evaluation will be available in CPARS for your viewing and for Government use supporting source selection actions after it has been finalized.

(a) It is the policy of the Department of the Interior to avoid task order awards which could result in or create conflicts of interest, whether actual or apparent. Such a situation could occur in the instance when the Contractor or any subcontractors or teaming arrangement partners have business, financial, real property, mineral rights, or other interests, as well as professional activities that create conflicting roles which could potentially bias a Contractor’s judgment or result in unfair competitive advantage to the Contractor, and thus impede the government’s objective to obtain an impartial, technically sound and objective performance of this order.
(b) Any proposal submitted in response to this request for proposals must identify any actual or potential conflict of interest described in paragraph (a) and include a Conflict of Interest Mitigation Plan if the Contractor believes such persons or entities are indispensable to its proposal. (e) The Contractor shall include this clause, including this paragraph in all subcontracts and consultant agreements; however, subcontractors and consultants shall be directed to send any mitigation plan to the Contractor who shall then inform the Contracting Officer.
(f) The Contractor, its employees, subcontractors and teaming arrangement partners, shall not engage in any communication regarding any aspect of performance of this order with any person or entity described in paragraph (a) above without express permission from the Contracting Officer. Failure to comply with this provision may be cause for termination of this award for default.

The Contractor shall provide sensitive information only to employees, contractors, and subcontractors having a need to know such information in the performance of their duties for this project.
Information made available to the Contractor by the Government for the performance or administration of this effort shall be used only for those purposes and shall not be used in any other way without the written agreement of the Contracting Officer (CO).
If the Contractor is uncertain about the availability or proposed use of information provided for the performance or administration, the Contractor will consult with the COR regarding use of that information for other purposes.
The Contractor agrees to assume responsibility for protecting the confidentiality of Government records which are not public information. Each employee of the Contractor to whom information may be made available or disclosed shall be notified in writing by the Contractor that such information may be disclosed only for a purpose and to the extent authorized herein.
Each employee shall sign the Confidentiality Agreement and the Contractor shall submit the signed form to the CO prior to the employee’s access to confidential information.
Performance of this effort may require the Contractor to access and use data and information proprietary to a Government agency or Government Contractor which is of such a nature that its dissemination or use, other than in performance of this effort, would be adverse to the interests of the Government and/or others.
The Contractor shall not use, disclose, or reproduce proprietary data that bears a restrictive legend, other than as required in the performance of this effort. Nothing herein shall preclude the use of any data independently acquired by the Contractor without such limitations or prohibit an agreement at no cost to the Government between the Contractor and the data owner that provides for greater rights to the Contractor.
