INSTRUCTIONS TO OFFERORS (L)
1. Instructions to Offerors
A. GENERAL INSTRUCTIONS. These instructions are a guide for preparing quotes. These instructions generally describe the type and extent of information the Offeror should provide and emphasize the significant topic areas the Offeror should address in the quote. The Offeror is expected to review the Statement of Work (SOW) contained in Section C of the Request for Quote (RFQ) for further insight into the areas that the quote must address.
The Offeror should include sufficient information to enable the evaluators to determine the Offeror’s understanding of the requirements in each of the evaluated areas. Data requested for evaluation has been clearly identified in this solicitation. Offerors should note the provision at FAR 52.215-1, “Instructions to Offerors – Competitive Acquisition”. The Government intends to award a contract resulting from Request for Quote without discussions with offerors (except clarifications described in FAR 15.306(a)). Therefore, offerors initial quotes should contain the best terms. The Government does however, reserve the right to conduct discussions if determined necessary by the Contracting Officer.
Discussions will not be opened for the sole purpose of allowing an Offeror to submit data. Therefore, quotes lacking information may be considered unacceptable and may be eliminated from any further consideration. The Government reserves the right to not open discussions to allow for the submission of data that should have been submitted with the initial quote.
The Offeror shall provide information by addressing each Factor and Subfactor in the format and sequence identified in this solicitation. The Offeror must provide information in sufficient detail to allow the Government to make an assessment of technical acceptability of the quote.
B. QUOTE FORMAT. The Offeror shall submit a quote for this requirement as outlined in paragraph IV.
below. All quote submissions shall be sent electronically to Ms. Shaniel L. Escoffery at Shaniel.l.escoffery.civ@mail.mil and Ms. Linda A. Matos at linda.a.matos.civ@army.mil and must be received by – 02 JUNE 2024 at 1500HRS (3:00PM) Kingdom of Saudi Arabia Time (KSA). The Offeror is responsible for ensuring that a full and complete quote is received by the date and time established for receipt of timely quotes and should take into consideration file size and firewalls when submitting a quote. Any quote, or partial quote, received after the time and date established for receipt of timely quotes will be considered late and will not be considered for award. Absent the opening of discussions, if required, the Government will not accept any changes, additions, or deletions for evaluation purposes.
I. PAGE LIMITATIONS AND LAYOUT. Quotes must be submitted in electronic form as attachments. The Government does not assume the duty to search for data or information to cure problems discovered in quotes. II. VOLUME I - Technical Capability Factor. The volume is limited to no more than 50 pages.
III. VOLUME II – Past Performance Factor. The volume is limited to no more than 10 pages.
IV. VOLUME III - Price Factor. The Offeror shall submit pricing in the form of a .pdf or excel document. There is no limitation on the size of this volume.

In order to be considered for award your quote submission shall contain legible copies of your business license and VAT certificate for the Kingdom of Saudi Arabia. (KSA) Failure to provide the copies of the KSA business license and VAT certificate with your quote submission, shall deem your quote non-responsive and ineligible for award.
Subfactor 2 – Technical Plan.
The Technical Plan will include the proposed technical approach and understanding of the requirement. The Technical Plan shall be specific, detailed, and complete enough to clearly and fully demonstrate a sound technical approach, and a thorough understanding of the necessary methods and techniques for meeting performance standards and customer requirements in accordance with (IAW) the statement of work (SOW). The Quote will mark these milestones referencing the numbering system established in the SOW. The plan shall address SOW-required equipment, materials, and program knowledge/experience IAW applicable Saudi Arabian regulations as well as US Department of Defense (DoD) and Army statutes and regulations, that demonstrate the Offeror’s ability to perform the requirements in accordance with the SOW.
III. Volume II – Past Performance.
Your quote shall include three references from USG organizations that your company has provided the same or similar support to. Reference submission shall include name, title, company, email address, phone number, and supply or services provided.
IV. Volume III – Price Factor.
The Offeror may submit one total evaluated price or breakout of costs to arrive at a firm-fixed price. This contract will not be separately priced and Offeror is responsible for completing all work as outlined in the SOW. The Government reserves the right to require the submission of any data necessary to validate the reasonableness of an offer.
Proposed prices will be used by the Government to calculate the Total Evaluated Price (TEP). For each proposal, the Government will calculate a Total Evaluated Price by adding the total of the Base Period and VAT. The Offeror shall complete the Price Matrix (Attachment 0011) as detailed below.
Offerors shall submit their proposals using the MS Excel Price Matrix (Attachment 0011). Failure to propose prices for all blue highlighted cells may result in the Offeror’s proposal being considered unacceptable and ineligible for award. The Price Matrix consists of one tab, the Price Matrix Summary tab, which requires an entry for CLIN 0001 – 0004 (FFP). All proposed firm-fixed prices will be binding.
Please note that on CLIN 0004 - Kingdom of Saudi Arabia (KSA) Value Added Tax (VAT), the Government has calculated that at a rate of 15%. Make sure the VAT is not included in your FFP proposed cost.
All prices for this acquisition shall be stated in current U.S. dollars, rounded and displayed to two decimal places. (Current U.S. dollars shall be interpreted to include escalation where appropriate.)
It is noted that the terms of FAR 52.222‐43, Fair Labor Standards Act and Service Contract Act – Price Adjustment (Multiple Year and Option Contracts shall be considered when proposing rates).
The Contractor warrants that the prices in this contract do not include allowance for any contingency to cover increased costs for which adjustment is provided under this clause.
The Price Matrix is locked to prevent inadvertent changes. Offerors shall not alter the Price Matrix in any way. If an Offeror changes the price matrix, its proposal may be considered unacceptable and ineligible for award. The Price Matrix shall be completed as follows:
Offerors shall complete the Price Matrix Summary tab by entering its Offeror Name, Unique Entity ID, Cage Code, and proposal date in the blue highlighted cells. Offerors shall also enter amounts for the CLIN 0001 – 0004 (FFP) CLIN in the blue highlighted cell.
For all cells on the Summary tab that are not highlighted in blue, they are either pre‐populated, or they will populate automatically as they include formulas that will sum values of other cells from within the Price Matrix Summary tab.
Price proposals are assumed to represent the Offeror’s best efforts, as final proposal revisions may not be requested. Any additional information considered necessary to explain the proposed pricing shall be submitted at the time of proposal submission.
Price Information: All information relating to the proposed price including all required supporting documentation must be included in the section of the proposal designated as the Price Volume.
Under no circumstances shall this information and documentation be included elsewhere in the proposal.
The Government reserves the right to request data other than certified cost or pricing data or certified cost or pricing data when necessary to validate the price reasonableness of an offer.
EVALUATION OF PROPOSALS (M)
EVALUATION OF PROPOSALS (Section M)
A. EVALUATION OF QUOTES. This acquisition will utilize a Lowest Price Technically Acceptable Selection Approach authorized at FAR 15.101-2. SAM registration is preferred but not required. Upon receipt of a responsive offer, three factors will be evaluated:
(I) Technical, (II) Past Performance, and (III) Price Upon completing the evaluation of the two factors, award will be made to the offeror whose quote is the lowest priced technically acceptable. The Government expects to award one Firm-Fixed Price Contract with a 120 Day base period from the issuance of the Notice to Proceed. The Government reserves the right to: limit the Competitive Range for the purposes of efficiency; award without discussions; and make no award should no Offeror prove to submit an acceptable offer based on the criteria set forth in the solicitation.
B. CORRECTION POTENTIAL OF QUOTES. The Government will consider, throughout the evaluation, the "correction potential" of any quote uncertainty or deficiency. Uncertainty is any aspect of a non-cost/price factor quote for which the intent of the Offeror is unclear (e.g., more than one way to interpret the offer or inconsistencies in the quote indicating that there may have been an error, omission or mistake).
Deficiency is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level. See FAR 15.001. The judgment of such "correction potential" is within the sole discretion of the Government. If an aspect of an Offeror's quote not meeting the Government's requirements is not considered correctable, the Offeror may be eliminated from the Competitive Range.
C. NUMBER OF CONTRACT AWARDS. The Government reserves the right to award no contract at all, depending on the quality of the quotes, prices submitted, and the availability of funds. The Government intends to make one award.
D. EVALUATION METHODOLOGY AND AWARD DECISION. Quotes will be rated only on their content. Assumptions, preconceived ideas, and personal knowledge or opinions not supported by material provided in the quote will not be considered or used as a basis for evaluation. Each quote will be evaluated against the solicitation criteria included below. The Government intends to make one award without discussions.
I. Technical Capability Factor. The Technical Quote will be evaluated and an Acceptable or Unacceptable rating will be assigned to all Subfactors. An Unacceptable rating for any Subfactor will result in an overall Unacceptable rating for the Technical Capability Factor. The evaluation of the Technical Capability Factor Quote will consist of an evaluation of the following Subfactors:
a. Saudi Arabian Business License and VAT Certificate.
• Quote submission contains legible copies of the offeror’s business license and VAT certificate for the Kingdom of Saudi Arabia. (KSA)
b. Technical Plan. When evaluating the Offeror’s Technical Plan, the
Government will determine if:
• The Technical Plan demonstrates a sound technical approach and a thorough understanding of the necessary methods and techniques required to meet performance standards and customer requirements in accordance with the SOW.
• The plan is detailed and comprehensive making clear references to requirements outlined in the SOW.
• The quote demonstrates an ability to provide all the resources (personnel, equipment, supplies, transportation, tools, material, supervision, insurance and other items and services) necessary to perform the SOW.
• The plan addresses how established standards, specifications, and regulations referenced in the SOW will be met.
• The plan shall display a thorough understanding of applicable (if any) Saudi Arabian regulations as well as US Department of Defense (DoD) and Army statutes and regulations, that demonstrates the Offeror’s ability to perform the requirements in accordance with the SOW.
• The plan conveys an understanding of how to perform the mission within the environment for which these operations will occur.
• The plan describes an effective approach for ensuring clear communication between the contractor and Government, measures customer satisfaction, and includes a customer feedback program.
• The Technical Plan describes appropriate and defined timelines and milestones for sequence of work, assumptions, and constraints that demonstrate a clear understanding of the SOW.
Table 1.The following ratings and associated definitions will be used to rate the Saudi Arabian Business License and VAT Certificate and Technical Plan.
Rating Definition Acceptable Quote clearly meets the minimum requirements of the solicitation.
Unacceptable Quote does not clearly meet the minimum requirements of the solicitation.
II. Past Performance Factor. The Government will ensure that at least three references were included with the Offeror’s quote submission. Past Performance information will be evaluated, and an Acceptable or Unacceptable rating will be assigned. Sources of Past Performance information for Evaluation are as follows:
i. Past Performance information may be provided by the Offeror, as solicited.
ii. Past Performance information may be obtained from any other sources available to the
Government to include, but not limited to, the Contractor Performance Assessment Reporting System (CPARS), Electronic Subcontract Reporting System (eSRS), or other databases;
interviews with Program Managers, Contracting Officers, and Fee Determining Officials; the Defense Contract Management Agency, etc.
Table 2. The following ratings and associated definitions will be used to rate the Past Performance of Offerors
Rating Definition Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown. (See note below.)
Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.
Note: In the case of an offeror without a reference from a USG organization, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”
III. Price Factor. The Total Evaluated Price (TEP) will be evaluated and ranked, but will not be assigned a rating. Quotes will be evaluated based on price reasonableness IAW FAR 15.404-1(b), Proposal Analysis Techniques, relative to total evaluated price.
The Government will evaluate price; however, it will not assign an adjectival rating. The FAR requires the Government to award contracts at fair and reasonable prices. The Government will evaluate and assess the Contractor’s price proposal to determine the reasonableness of the offer. The Contracting Officer may determine it necessary to utilize additional analysis techniques. These methods of evaluation may include information and input from sources such as, but not limited to, other Government agencies and personnel.
The Government will evaluate the FFP CLINs in accordance with FAR 15.404-1, Proposal Analysis Techniques; the Government may use any one or a combination of the techniques listed at FAR 15.404-1 to determine the Contractor’s proposal fair and reasonable. The Government reserves the right to require submission of data other than cost or pricing data adequate to determine the reasonableness of an offer if competition is inadequate for that purpose.
The Government will evaluate the Total Evaluated Price utilizing the proposal analysis techniques IAW with FAR 15.404-1, Proposal Analysis Techniques.
