INSTRUCTIONS TO OFFERORS
INSTRUCTIONS TO OFERORS
This Request for Quotations (RFQ) is for an Indefinite Delivery, Indefinite Quantity (IDIQ) Contract to provide all management, labor, supplies, materials and equipment necessary to perform Mowing, Maintenance, and Cleaning Services at East Lynn Lake, East Lynn, WV with the US Army Corps Of Engineers, Huntington, District. All work shall be performed in strict compliance with the attached Performance Work Statement (PWS) and all other terms, clauses and conditions incorporated herein. This acquisition is for a two (2) year base period and two (2) option periods. The first option period is two (2) years, and the second option period is one (1) year.
Simplified acquisition procedures for commercial services are being used in this procurement in accordance with FAR 13.500(c)(2).
One award will be made from this RFQ. The Government intends to evaluate quotes and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint (See 52.212-1(g)). It will be awarded according to a best value tradeoff process.
Basis of Award The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
The award will be based on the evaluation of factors found with 52.212-2 EVALUATION--COMMERCIAL ITEMS. Please see provision for evaluation factors.
This procurement is 100% set-aside for Small Business, under NAICS code 561730 ($8 million average annual receipts for the previous three years).
The Method of Payment under this contract will be Electronic Funds Transfer (EFT) to a commercial bank account specified by the Contractor.
There is no bonding requirement for this procurement action.
Quotes will not be accepted for quantities less than the quantities specified in the price breakout schedule. Failure to submit a unit price for all items listed (base period and option periods) will be considered as a material deviation from the requirements of the Request for Quote (RFQ) and the quote will be rejected.
IMPORTANT NOTICE: Effective September 26, 2018 and in accordance with FAR Clause 52.204-7, “an Offeror is required to be registered in SAM when submitting an offer or quotation, and shall continue to be registered until time of award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation.” Vendors are highly encouraged to check their registration status and plan accordingly prior to submitting an offer. Vendors can check whether an account is active by performing a query by their CAGE or Unique Entity Identifier (known as DUNS). Vendors are highly encouraged to begin registering as soon as possible in order to be considered for contract awards. Remember, there is no cost to use SAM. To find out additional information about the changes of the SAM registration process, contractors should visit the Frequently Asked Questions (FAQ) link located at the top of the SAM homepage (https://www.sam.gov).
Please direct all questions to Chad Miller at (304) 399-5339 or Chad.M.Miller2@usace.army.mil.
THE SOLICITATION AND RESULTING CONTRACT SHALL BE THE GOVERNING DOCUMENT IN ALL
CASES.
QUOTES MUST BE E-MAILED TO Chad Miller at Chad.M.Miller2@usace.army.mil. Mailed and faxed offers will not be accepted.

SECTION C-1
General
C-1.1 BACKGROUND.
East Lynn Lake is located on the East Fork of Twelvepole Creek three miles east of East Lynn, West Virginia on State Route 37 in Wayne County, West Virginia. The project purposes served are flood damage reduction, recreation, water quality control, and fish and wildlife enhancement. Approximate annual visitation to recreation areas operated by U.S.
Army Corps of Engineers (“The Corps”) is 450,000 visitors.
C-1.2 PERFORMANCE WORK STATEMENT.
1. The Contractor shall furnish all necessary management, personnel, materials, supplies, tools, equipment, fuel, and vehicles, except as otherwise provided herein, required to perform the operation and maintenance services at the East Lynn Lake Project, as specified and in strict accordance with all Terms, Conditions, General, specific and Technical Provisions, Drawings, Attachments, Exhibits, etc., contained herein or incorporated by reference.
2. Award of a contract does not guarantee that the Government will order all the types of services listed under the contract from the Contractor. The Government reserves the right to perform any portion of the services listed.
3. The quantities listed in the Price Breakout Schedule are approximate and are provided as information only to assist in preparation of quotes. They are not guaranteed, and the actual quantities may be more or less than shown. Variation in these estimated quantities shall not be justification for modification of the contract or request for additional payment.
4. Contractor's work and responsibility shall include, but shall not be limited to, all planning, programming, administration, and management necessary to assure that all services provided are conducted in accordance with the contract and all applicable laws, regulations, codes, or directives. Contractor shall ensure that all work meets or exceeds critical reliability rates or tolerances specified or included in referenced documents.
Contractor shall perform all related Contractor administrative services necessary to perform the work such as supply, procurement, quality control, Contractor financial control, and maintenance of accurate and complete records and files.
5. It is emphasized that the work described in this contract is a critical part of the Corps mission. Much of the work described will be performed in public recreation areas. The Corps is committed to "Customer Care" and providing quality professional service. Failure of a Contractor to perform required work, to perform in a timely manner, or to perform quality work could risk public health and safety and result in the following problems:
a. Falls, snakebites, and reduced use and enjoyment of recreation facilities from lack of mowing.
b. Falls, cuts, infections, and accumulated animal feces from beaches not being cleaned and inspected.
c. Unsafe boating and limiting of lake surface recreation from a lack of drift removal.
d. Closed recreation areas from inoperable water, sewage, and electrical systems.
e. Closed parking areas and road closures from lack of maintenance and repair.
f. Destroyed forests and natural areas from lack of emergency response capability.
g. Closed campgrounds, beaches, and parks from lack of operators.
h. Significant dollar losses of recreational benefits.
i. Increased administrative and labor costs required for Government performance of contracted work.
Therefore, it is the intent of the Government to ensure the required services are performed correctly, safely, timely and reliably for a fair and reasonable price. Because of the critical nature of the work the Government cannot "trade off" contractor non-performance for increased Government liability. Further, due to lack of Government personnel, the Government cannot "trade off" a Contractor's lack of Quality Control for increased Government Quality Assurance. Special attention is directed to Section M - Evaluation Factors for Award. All offerors must clearly demonstrate they have the technical ability to meet the minimum standards for the wide variety of critical requirements of this contract to ensure the Corps mission is completed.
6. Work included in this contract generally involves all work associated with operation and maintenance of recreation areas at the project except for certain specialized work, or repair or maintenance to major or complex components that the Government determines to require the use of a Contractor or professionals with specialized equipment, or training. Work which does not fall under the Performance Work Statement of this contract includes:
a. Repairs to major components of heating or air conditioning systems.
b. Major maintenance or repair to sewage and water treatment systems.
c. Repair to major or critical electrical components.
d. Maintenance or repair to special architectural features.
e. Work involving Government functions pertaining to flow regulation, dam safety, maintenance of permanent operating equipment, and maintenance and repair work (except for vegetative control and cleaning) at dams, intake structures, spillways, embankments, outlet works, levees, pump stations, and other similar structures.
f. Work which requires formal preparation of Government plans and specifications.
g. Work determined by the Government to be more efficiently handled by a specialty contractor such as fencing, carpet shampooing, etc.
h. Work on articles covered by separate warranty.
i. Service and repairs to vehicles and equipment.
7. In special instances the contractor may issue a task order under this contract for other Huntington District Projects within 50 linear miles of the East Lynn Lake Project. Examples of these special instances may include but are not limited to damaging storms, wildfires, floods, or other time sensitive maintenance needs. Task orders issued in these circumstances will be negotiated on an individual basis using contract line items from the price breakout schedule.
C-1.3 TASK ORDERS.
1. All work under this contract will be ordered by issuance of individual Task Orders (Exhibit L, DD Form 1449, Order for Supplies or Services). No work shall be performed under this contract before an individual Task Order has been issued by the procuring Contracting Officer (KO).
2. The KO has three (3) basic ways to order work using this contract:
1) Fixed Price Task Orders
2) Negotiated Task Orders
3) Estimated Task Orders
3. Only the KO by issuance of a modification, may make any changes to a Task Order.
4. The type of Task Order used will be at the discretion of the KO.
5. The Task Order will list those items from the price breakout schedule that are to be performed or used to perform the work, except for Negotiated Task Orders.
6. Under normal conditions, Task Orders will be issued that require response within 24 hours after receipt.
7. All Task Orders must be completed by the Delivery Date shown in block 10 of the DD Form 1449, Order for
Supplies or Services.
8. When the Contractor is notified of emergency work required under these specifications, the Contractor responds and begins work within two (2) hours after receipt of such notification.
C-1.4 NEGOTIATION.
1. Negotiated Task Orders (e.g., using items from C-5 of the Price Breakout Schedule) will be agreed upon by negotiation between the Contractor and the KO. This procedure can be initiated by either the Contractor or the Government through execution of Section I of a Job Request Form (see Exhibit M).
2. If the Job Request Form is initiated by the Contractor, the Government may concur with the need for the work by completing Section II of the Government's copy of the form.
3. If the Government initiates the Job Request Form, the Contractor shall complete Section II of the Contractor's copy of the form and return the form to the KO. Unless otherwise specified in writing by the KO, the Contractor shall return the completed form within 48 hours of receipt of the request.
4. If the Contractor's quote is acceptable the KO will issue a Task Order.
5. If the Contractor's quote is considered unacceptable, the Contractor and KO will attempt to reach an agreement through negotiation. If an agreement cannot be reached, the KO may elect to decline performance of the work or elect to send the negotiation package to the KO for resolution.
6. If subsequent negotiations fail to resolve the matter, the Government reserves the right to obtain the services in question by whatever means deemed to be in the best interest of the Government, including use of its own work force.
7. The purpose of negotiation is to establish a fair and reasonable price for the job under consideration. The
Government and Contractor will negotiate toward the most efficient method of work and the number of hours required. The most efficient method is that method of work which accomplishes the job safely and at the lowest price.
8. Once negotiated the Contractor must perform the job using the agreed method of work and line items agreed upon during negotiations.
