INSTRUCTIONS TO OFERORS

This Request for Quote (RFQ) is for an Indefinite Delivery, Indefinite Quantity (IDIQ) Contract to provide all management, labor, supplies, materials and equipment necessary to perform Appraisal Services For The Real Estate Division, US Army Corps Of Engineers, Huntington, WV. All work shall be performed in strict compliance with the attached Performance Work Statement (PWS) and all other terms, clauses and conditions incorporated herein. The base period for this contract will be from 1 January 2021 (approximate date) through 31 December 2021.

Simplified acquisition procedures for commercial services are being used in this procurement in accordance with FAR 13.500(c)(2).

Note: This solicitation contains an option clause to extend the awarded contract for up to four (4) additional one-year option periods. The one-year option periods are as follows:

Option Period 1: 1 January 2022 through 31 December 2022 Option Period 2: 1 January 2023 through 31 December 2023 Option Period 3: 1 January 2024 through 31 December 2024 Option Period 4: 1 January 2025 through 31 December 2025

One award will be made from this RFQ. The Government intends to evaluate quotes and award a contract without discussions with offerors (See 52.212-1(g)).

This procurement is 100% set-aside for Small Business, under NAICS code 531320 ($8.0 million average annual receipts for the previous three years).

The Method of Payment under this contract will be Electronic Funds Transfer (EFT) to a commercial bank account specified by the Contractor.

There is no bonding requirement for this procurement action.

Quotes will not be accepted for quantities less than the quantities specified in the price breakout schedule.

Failure to submit a unit price for all items listed (base period and option periods) will be considered as a material deviation from the requirements of the Request for Quote (RFQ) and the quote will be rejected.

EVALUATION CRITERIA

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

The evaluation approach for all factors is as follows: The offer will be evaluated to determine the extent to which each requirement has been addressed (through strengths and/or weaknesses) in accordance with the terms and conditions listed in this solicitation.

The informal source selection evaluation board will assign adjectival ratings to each factor based upon the comments made during the evaluation process. These ratings for all factors except past performance are as follows: Outstanding, Good, Acceptable, Marginal and Unacceptable. To be considered for award, the offeror much receive a rating of no less than “marginal” for all of the technical factors. For evaluation of past performance, the ratings assigned can be the following: very relevant, relevant, somewhat relevant, not relevant, substantial confidence, satisfactory confidence, limited confidence, no confidence and unknown confidence (neutral). If an offeror has no recent/relevant performance record or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned, it will receive a rating of “Neutral” for the factor.

The following technical factors A through C are listed below. Factors A, B, and C are listed in descending order of importance.

FACTOR A: Professionally Trained for Type of Work The technical quote must clearly demonstrate the offeror’s full knowledge and understanding of the work outlined in the solicitation. The contractor must demonstrate their ability to provide the services (license) in the state as described in the solicitation. The contractor should indicate appraisal work performed for state agencies, and appraisal work performed for federal agencies. The quote should include a list of references with whom the contractor has worked during the past five years, including the name of agency, address, telephone number and point of contact.

FACTOR B: Experience Experience consists of projects completed as a prime contractor or as a qualified subcontractor that demonstrates your capabilities to perform this work. The offeror shall provide three references of projects completed within the past five (5) years. These references need to be equal to or similar in scope of this requirement. The contractor shall provide dates and pertinent information to demonstrate how they are comparable to this requirement in size and complexity. The contractor shall include points of contact, titles, telephone numbers, and email addresses (if available) for all references.

The extent of your experience will be evaluated based on the written submittal as stated above. Evaluation will be based on information pertaining to experience that specifically focuses of the depth and scope of knowledge and understanding of the requirements described in this solicitation and on the bullet points below:

Experience in successfully appraising property for federal land exchange purposes. [36 CFR 254.9 (a)(1)] Experience in successfully appraising mineralized properties compliant with Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA). [36 CFR 254.9(a)(1)] Experience in successfully appraising rural property in UASFLA standards in Virginia. [36 CFR

254.9(a)(1)]

FACTOR C: Past Performance Past performance will be evaluated based on information from the Past Performance Information Retrieval System (PPIRS) and any credible, documented evaluations/reports. Additionally, the Government may seek other information by checking references to determine the offeror’s past performance in (but not limited to) the following criteria: Contractor’s safety record; Cooperativeness; Indebtedness; Compliance with Labor Laws; Timely response to administrative requirements; Willingness to negotiate; Attitude; Ethics and Professionalism. In addition, the Federal Awardee Performance and Integrity Information Systems (FAPIIS), will be checked to determine if there are any records of adverse actions.

A list of references should be furnished who have knowledge of offeror’s performance, current or completed within the past five years that may address offeror’s performance with this type work. Include contact full name and address, telephone number, email address, if available, and the dates, location, types of contracts, dollar values of the work.

The above factors may be applied as a method of evaluating the offeror’s past performance in accomplishing the Government's mission on past and current contracts.

NOTE: The Past Performance Questionnaire included in the solicitation is provided for the offeror or its team members to submit to the client for each project the offeror includes in its quote for Factor C - Past Performance. Ensure correct phone numbers and email addresses are provided for the client point of contact.

If different from the client point of contact, also include the name and phone number of the Contracting Officer. Completed Past Performance Questionnaires should be submitted with your proposal.

If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ (Attachment A), which will provide contract and client information for the respective project(s). Offerors should follow-up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government’s point of contact, Andrea Skean, via email at Andrea.C.Skean@usace.army.mil prior to proposal closing date or other date listed in the proposal instructions. Offerors shall not incorporate by reference into their proposal PPQs previously submitted for other RFQs. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation.

Also include performance recognition documents received within the last five years such as awards, award fee determinations, customer letters of commendation, and any other forms of performance recognition.

In addition to the above, the Government may review any other sources of information for evaluating past performance.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

Past performance provided will be evaluated on the relevancy of this information for the same or similar items services specified in this solicitation. Relevancy, as it pertains to past performance information, is a measure of the extent of similarity between the effort, complexity, dollar value, contract type, and subcontract/teaming or other comparable attributes of past performance examples and the solicitation requirements contained in this solicitation.

Offerors are advised that, while they may submit past performance information on relevant efforts under subcontracts, the Government may be unable to obtain any qualitative information. The Government may not obtain information on all of the listed contract references and/or may not contact all of the identified POCs.

APPRAISAL SERVICES, REAL ESTATE DIVISION

US ARMY CORPS OF ENGINEERS, HUNTINGTON DISTRICT

The primary goal is to provide an appraisal or other valuation product of the subject real estate, including fee and/or partial interests, and where required, applying acceptable appraisal methods with consideration for:

Highest and best use analyses, improvement contributions, comparable sales, and the three methods of valuation.

Further, the appraisals must be prepared in a way that, if discovered in any court proceeding, is in format fully acceptable for condemnation proceedings, and contain relevant data, appropriate analysis, and conclusions that are well supported and are not misleading for the purpose intended. All appraisal work must be done in accordance with UASFLA, USPAP, and the Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970 as amended (Public Law 91-646) (URAR) USACE ER 405-1-04. In accordance with the URAR the principal appraiser will contact each landowner and afford the landowner or his representative the right to accompany the appraiser on his site inspection of the subject property. This contact will be documented in the appraisal report. The principal appraiser will make the site inspection and sign the appraisal report. If any of the appraisal is to be undertaken by someone other than the principal appraiser, that appraiser should also co-sign the report and his/her contribution must be noted. If the principal appraiser elects to work with another appraisal firm, or otherwise sub-contract any or all of the appraisal product, the principal must first receive the Review Appraiser or delegates’ approval and nevertheless shall still retain duty to inspect subject property, develop appropriate geographic competency, and sign as the principal appraiser.

The Review Appraiser or delegate may request verbal market updates at no charge for up to 12 months after acceptance of the appraisal report in order to comply with PL 91-646. When the subject property is under the threat of condemnation second price should be quoted to update each type of appraisal to the filing of the declaration of taking commonly called the "date of taking appraisal". A price should also be quoted for each type of report for revisions to an already approved appraisal. A revision may become necessary as a result of a physical change to the property that may occur prior to the acquisition of the property by the Government.

The quantities of services ordered under this contract are not known at this time. The not-to-exceed amount of this contract is $950,000.00 for all years of the contract. The government guarantees to order $2,000.00 over the life of the contract. The price breakout schedule included is for services for Buchanan and Dickenson Counties, VA only.

As services are needed, they will be ordered on a task order for the specific tracts as specified, at the unit price listed on the price breakout schedule. If appraisals for vacant land are needed, pricing will be negotiated at the time of need. At the discretion of the Government, the Contractor shall prepare appraisals for other counties in Virginia, and for the states of Kentucky, Ohio, and West Virginia but only as agreed upon between the Contractor and the Government. Award of a contract does not guarantee that the Government will order services above the specified government guaranteed amount. The Government reserves the right to perform any portion of the items listed.

The following are general requirements for all of the requests:

FORMATTING & GENERAL REQUIREMENTS

SECTION 1 - SUBJECT /IDENTIFICA TION & GENERAL INFORMATION

Summary Identification: The property will be identified to the appraiser to include legal description, ownership information, property access information (if available) and contact information (if available) for inspection purposes.

Client: U.S. Army Corps of Engineers (USACE)

Intended Users: USACE, Huntington District

Intended Use: For use by USACE on behalf of the United States of America or Local Sponsor in connection with the identified property. The appraisal report will not be intended for any other use.

SECTION 2 - APPRAISAL REQUIREMENTS & INSTRUCTIONS

Appraisal Standards: The appraiser must be familiar with and have written reports that conform to standards established by the Uniform Standards of Professional Appraisal Practice (USPAP) and the Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA. - Yellow

Book1) and the requirements of the Uniform Relocation Assistance and Real Property Acquisiti on Policies Act of 1970 (PL 91-646) as amended; Federal Regulations 49 CFR, Part 24; USACE ER 405-1-04. No other supplemental standards will be applicable.

Market Value: The definition of market value for this assignment will be as described in UASFLA , 2016 1.2.4. "Market value is the amount in cash, or on terms reasonably equivalent to cash, for which in all probability the property would have sold on the effective date of value, after a reasonable exposure time on the open competitive market, from a willing and reasonably knowledgeable seller to a willing and reasonably knowledgeable buyer, with neither acting under any compulsion to buy or sell, giving due consideration to all available economic uses of the property".

Property Interest: The rights to be appraised will be provided to the appraiser.

Date of Value: The same as the date of last property inspection; which must be within 30 calendar days of the submission of the completed appraisal report, unless the appraiser receives written approval from the Review Appraiser prior to preparation of the appraisal report.

Environmental Unless notified in writing to the contrary, the market value of the subject property will

Conditions: be based on the assumption that there are no environmental conditions adversely affecting the property and its use. Furthermore , the opinion of value expressed should assume environmental compliance with all federal, state, and local regulations.

Appraisers must acknowledge the presence, or absence, of environmental concerns, including potential contamination whether from CERCLA-regulated material [Comprehensive Environmental Response, Compensation and Liability Act – commonly known as Hazardous, Toxic, and Radioactive Wastes (HTRWs)], non-CERCLA related issues, or other dangerous materials or chemicals found on site.

Extraordinary The appraiser may not assume or invoke any extraordinary assumption without Assumption(s): documented written approval from the Review Appraiser or delegate.

Hypothetical None allowed without documented written approval from the Review Appraiser or Condition(s): delegate.

Jurisdictional If the appraiser perceives that USPAP's Jurisdictional Exception Rule should be Exception: invoked to meet certain other standards in UASFLA, the appraiser must contact the

Review Appraiser or delegate to obtain prior written approval.

1 The appraiser must have successfully completed the “Yellow Book” (UASFLA) appraisal class within the past 5 years

General Appraisal Requirements & Instructions:

1. The contracted appraiser must hold a valid State Certificate as a Certified General Appraiser for the state in which the subject property is located.

2. The appraiser's Performance Work Statement must result in credible assignment results for the intended use.

3. The Performance Work Statement and the employment contract must be included within the addenda of the appraisal report.

4. Any contract with a timber cruise and valuation individual or company that substantially aided in the development of the analysis and report must be included in the addenda of the appraisal.

5. The appraiser may be required to attend a pre-appraisal meeting with the property owner, the USACE Realty Specialist and/or the Review Appraiser.

The date, time and place of the meeting (if required) will be coordinated by the Review Appraiser and communicated to the appraiser and other necessary parties.

6. For appraisals with an intended use of acquisition or exchange , the Uniform Relocation Assistance and

Real Property Acquisition Policies Act of 1970 (PL 91- 646) as amended and the Uniform Appraisal Standards for Federal Land Acquisitions (Section A-4 , pages 9 & 10), require the appraiser to offer the property owner and/or the owner's representative an opportunity to accompany the appraiser during the property inspection. The appraiser must certify in the report that such an offer was extended .

7. The appraiser must make a personal inspection of the subject property and all of the comparable market properties used in the analyses unless specific arrangements to the contrary have been approved in writing by the Review Appraiser prior to the commencement of the assignment. The appraiser must identify all tenant owned improvements or personal property (i.e. above ground pools, sheds, etc.) and exclude them from the appraised value.

8. The appraisal is to be documented in an Appraisal Report format. See UASFLA page 9, which states that a report prepared in accordance with UASFLA will be considered as meeting the USPAP requirements for an Appraisal Reports and a Restricted Appraisal Report.

9. The appraisal report will be reviewed for compliance with the terms of this Performance Work

Statement, UASFLA, and USPAP Standards 1 and 2. Findings of inadequacy, if any, will require clarification and/or correction to the report.

10. The opinions of current market value may not be predicated upon potential highest and best uses that are speculative or conjectural. A proposed highest and best use requires showing reasonable probability that the land is both physically adaptable , legally permissible for such use and there is an economic need or demand for such use in the reasonably near future. The appraiser 's conclusion of highest and best use must be an economic use. A non-economic highest and best use, such as conservation, natural lands, preservation or any use that requires the property to be withheld from economic production in perpetuity, is not a valid use upon which to estimate market value.

11. Essential in the appraiser's conclusion of highest and best use is the determination of larger parcel. The appraiser must make a larger parcel determination in every appraisal conducted for any partial acquisition , unless this is waived by the Review Appraiser or delegate. (See USAFLA Section 4.3.3 instead of Section A-14)

12. The preferred method of adjusting comparable sales is through supported quantitative adjustments

(percentage , $/acre, etc.); qualitative adjustments (similar , inferior , or superior) are to be used only when the market variables cannot be quantified. Quantitative adjustments without support are unacceptable. When the appraiser must resort to qualitative analyses , support that is more extensive and discussion of the appraiser's reasoning why a comparable sale is similar, inferior, or superior to the subject property is required. . All adjustments must be supported by clear, appropriate, and credible analysis based on documented market research . Mere references to undisclosed "trends," or reliance on the Appraiser’s "opinion" or "judgment” without market support is an unacceptable practice. Market support includes discussions with buyers/sellers, potential investors , brokers, and others knowledgeable about the market. The appraiser must also recognize that variances in sale prices may be caused by multiple factors and should not over adjust a comparable by double- counting overlapping items.

13. Appraisers without a complete understanding of fundamental statistical concepts must not rely on regression analysis techniques to extract adjustments for the sales comparison approach . Without a discussion of how each comparable sale property relates to the subject property and a statistical interpretation of the validity of the results, applying a regression analysis is not acceptable. No regression analysis may be employed in the appraisal without prior discussion with, and written concurrence of, the Review Appraiser.

14. Documentation of the comparab le sales and other market data utilized in the appraisal must comply with reporting requirements of UASFLA and the Uniform Relocation Assistance & Real Property Acquisition Policies Act 1970. For instance , the latter requires "A description of the comparable sales, including a description of all relevant physical, legal and economic factors such as parties to the transaction, source and method of financing, and verification by a party involved in the transaction ."

15. If sales to governmental entities, including sales to non-profit entities with the intention of transferring the sale property to a governmental entity, are included in the appraisal report, they are subject to extraordinary verification and treatment. They must be documented in accordance with the guidelines found in UASFLA Section 4.4.2.4.2. Each of the items of UASFLA Section 4.4.2.4.2 must be specifically addressed when communicating the confirmation of any government sales.

16. Color photographs and maps of comparable properties shall be included in the appraisal report addenda .

Aerial photographs for comparable properties will be accepted unless the aerial photographs are so dated that they do not accurately represent the property as it physically existed on the date of inspection.

Any unusual property features must be photographed from ground level.

17. The appraisal report and all information furnished to the appraiser are USACE internal documents and are to be considered confidential by the appraiser . All requests for information concerning the appraisal must be referred to the Review A ppraiser . The general public is not an intended user of the appraisal report; however, the appraiser must also be aware that the Freedom of Information Act and USACE policy may result in the release of all or part of the appraisal report to others .

18. USACE will not normally accept custody of confidential information. Should the appraiser find it necessary to rely on confidential information , he or she will contact the Review Appraiser for instructions. The Review Appraiser will arrange to view the information and provide further instruction to the appraiser regarding handling and storage of the confidential information.

19. When the appraiser has performed any services regarding the subject property within the three prior years, he or she must appropriately disclose this information following the direction of the USPAP Ethics Rule, Conduct Section. This disclosure must be made with the proposal and also in the completed report.

20. The appraiser will include within the report appendix, a description of the source for all comparable sales data , as well as the number of sales and criteria used in reviewing the data, and the range of appropriate data from which the eventual comps used in the report were selected . Also the appraiser must include a separate land value for the property as un-improved.

21. In the development of the appraisal, the appraiser must collect and properly analyze data about the subject property. The appraiser must identify all characteristics that impact value, which may include access and road frontage, topography, soils, vegetation (including timber and crops), views, land area and shape, utilities, mineral deposits, water rights, and easements or other encumbrances. The presence of hazardous substances should be considered by appraisers in accordance with the assignment conditions. In addition, a notation identifying the observed existence or nonexistence of cemeteries or burial plots.

SECTION 3 – SCHEDULE AND REVIEW

1. Unless otherwise agreed upon, 60 days (or less) from the date of award of each task order and authorization to proceed is the date for submission of the appraisal report for review by USACE.

2. Initial delivery of a draft copy of the ap p r a i sa l report in Adobe Acrobat (.pdf) format by e-mail to the

District Review Appraiser and Review of Acquisition for Real Estate.

The submitted appraisal report will be reviewed for compliance with the terms of this Performance Work Statement, UASFLA, USPAP and the Uniform Act (PL 91-646) USACE ER 405-1-04. Unless other arrangements have been made, USACE will review the report within thirty-(30) calendar days of receipt. Findings of inadequacy, if any, will require clarification and/or correction . Contractor will make any necessary corrections within 7 calendar days. It is important to note that:

In completing the appraisals under UASFLA, the appraiser must pay close attention to the key words including but not limited to “must”, “must not”, and “shall”, as well as, “may”, “should”, and “should not”. Any noncompliance with UASFLA will require revisions to the appraisal reports. Thus, it is essential for the appraiser to verify compliance with UASFLA prior to submission of the completed reports to minimize revision requests.

3. After any necessary corrections have been made and notice by the District Review Appraiser that the submitted draft is accepted, the appraiser shall provide a revised final copy of the report signed by the appraiser in in Adobe Acrobat (.pdf) format by e-mail to the District Review Appraiser, along with three

(3) signed hard copies. The final report copies shall be submitted within 5 calendar days after approval of the appraisal report.

INVOICES

An itemized invoice shall be submitted for certification and authorization for payment. One invoice shall be submitted for each task order completed. Invoices need not be supported by copies of the task orders. Invoice should be submitted with final hard copies of appraisals.

52.204-21 BASIC SAFEGUARDING OF COVERED CONTRACTOR INFORMATION SYSTEMS (JUN 2016)

(a) Definitions. As used in this clause--

Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.

Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

Safeguarding means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures.

(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.
