Business Associate Agreement Summary
This is a Business Associate Agreement (BAA) template between the South Dakota State Employee Health Plan, administered by the South Dakota Bureau of Human Resources and Administration (the Covered Entity), and a Business Associate that will provide services involving the use and/or disclosure of Protected Health Information (PHI). The agreement establishes the legal framework for compliance with the Health Insurance Portability and Accountability Act (HIPAA), the Health Information Technology for Economic and Clinical Health (HITECH) Act, and associated federal regulations. The Business Associate must limit its use and disclosure of PHI to only what is necessary to perform services outlined in the underlying Service Agreement, maintain appropriate administrative, physical, and technical safeguards for electronic PHI, and implement security measures consistent with 45 CFR Part 164. The Business Associate is required to report any unauthorized use, disclosure, or breach of PHI to the Covered Entity's designated Privacy Official within twelve hours of discovery, and to provide detailed breach information within ten business days of discovery, or within twenty days if circumstances warrant additional time. Upon termination of the Service Agreement for any reason, the Business Associate must return or destroy all PHI within thirty days, retain only that PHI necessary for proper management and administration or legal responsibilities, and ensure compliance with all privacy and security safeguards during and after the termination period.
The Business Associate may only use or disclose PHI for purposes specified in the underlying Service Agreement and to carry out its legal obligations, with authorization to use de-identified information and provide data aggregation services related to the Covered Entity's health care operations. The Covered Entity is responsible for notifying the Business Associate of any limitations, changes, or revocations to privacy practices and restrictions on PHI use or disclosure that may affect the Business Associate's operations. The agreement specifies that the Business Associate bears liability for mitigation costs associated with breaches caused by its acts, omissions, or those of its agents, officers, employees, or subcontractors, and must indemnify and hold harmless the Covered Entity from all actions, suits, damages, or liabilities arising from performance of services. The agreement permits either party to immediately terminate upon written notice if the other party materially breaches the agreement, or alternatively, to provide ten days written notice with an opportunity to cure. Any modifications or amendments to the agreement must be made in writing and signed by authorized representatives of both parties, with the parties agreeing to take necessary action to maintain compliance with HIPAA Rules and other applicable law.
