SECTION D – ANY CONTRACT DOCUMENTS, EXHIBITS OR ATTACHMENTS
D.1. PERFORMANCE WORK STATEMENT (PWS)
DESK STUDY SERIES FOR SUB-SAHARAN AFRICA ENERGY SECTOR
D.1.1. OVERVIEW
The U.S. Trade and Development Agency (USTDA) is a foreign assistance agency that delivers its program commitments through grants and contracts. The projects supported by USTDA activities represent strong and measurable development priorities in the host country and offer opportunities for the sale of U.S. goods and services. Requests for USTDA assistance are made by either public or private sector project sponsors for implementation in developing and middle-income countries.
D.1.2. SCOPE OF WORK
USTDA requires services under this non-personal services Desk Study (DS) contract to support its decision-making relative to the funding of activities to support the energy sector. The Contractor shall provide reports to USTDA, which will:
• Assess and provide a recommendation on whether or not USTDA should provide funding for proposed feasibility studies, technical assistance, pilot projects, or other project planning activities, hereinafter referred to as “activities;”
• Provide supporting analysis for the recommendation in Project Reports that analyze all relevant issues; and
• Assess the potential of the energy sector and sub-sectors in Africa for U.S. suppliers of goods and services in a Public Market Report suitable for public distribution.
USTDA intends to contract with multiple U.S. companies (“Contractor”) to provide a total of up to six (6) “Preliminary Evaluations” of proposals for energy sector feasibility studies, technical assistance activities, or pilot projects in Africa and up to eighteen (18) “Project Reports” with fully developed funding recommendations for activities for USTDA funding consideration. USTDA may contract with up to three (3) U.S. companies to carry out the total requirements of this multiple award contract. Each Contractor shall provide one (1) Final Report in cumulation to USTDA.
In the performance of this contract, each awardee will be required to complete at least one (1) Preliminary Evaluation, one (1) Project Report, and one (1) Public Market Report. USTDA reserves the right to make the final determination on which activities merit consideration for the Preliminary Evaluations and Project Reports.
Additional Optional Preliminary Evaluations and Optional Project Reports will be assigned to awardees during the contract period of performance. The Contractor shall not proceed with any of the Optional Preliminary Evaluations or Optional Project Reports without the written authorization of USTDA. Optional Preliminary Evaluations and Optional Project Reports will be assigned at the full discretion of the Government based on Contractor availability and performance.

For each Project Report the Contractor shall:
(1) Assess whether or not the request meets USTDA’s basic funding criteria (see Section D.1.3);
(2) Develop and recommend the appropriate Terms of Reference (TOR) for the activity;
(3) Develop an appropriate budget for the TOR recommended for the activity.
Each Project Report, unless otherwise directed by USTDA, shall be labeled clearly on every page as “Business Confidential” and shall be treated accordingly per sections D.9, “Confidentiality,” and D.10, “Intellectual Property.”
The Contractor will not be paid for reports that are not approved or completed.
The actual number of deliverables/reports against this contract is dependent on the availability of suitable projects. Therefore, not all deliverables may be required or be possible and the figures provided for the Project Reports are not-to-exceed ceiling figures and not actual figures. The Contractor shall only invoice for work/deliverables actually completed. Any unexpended funds will be de-obligated from the contract at close-out.
D.1.3. USTDA FUNDING CRITERIA
The Contractor’s recommendations shall be based upon USTDA funding criteria, which are that the Project(s) must:
a) Be likely to receive implementation financing;
b) Have a procurement process that provides “equal access” to U.S. companies;
c) Represent an opportunity for sales of U.S. goods and services that is many times greater than the initial investment of USTDA assistance;
d) Be a development priority of the Project Sponsor and host country where the Project is located and have the endorsement of the U.S. Embassy in that host country; and
e) Involve U.S. companies that are facing market entry problems and/or strong competition from foreign companies which often receive subsidies and other support from their governments.
The Contractor shall also be required to:
a) Perform preliminary assessments of project viability;
b) Evaluate project implementation financing;
c) Verify U.S. industry competitiveness and assess U.S. export potential;
d) Assess foreign competition and market entry issues;
e) Perform preliminary assessments of environmental and developmental impacts;
f) Perform climate resilience screenings;
g) Analyze potential impacts on U.S. labor; and
h) Assess U.S. firm capabilities and qualifications.

To execute this requirement, the Contractor(s) shall:
1. Meet or have a conference call with the Sub-Saharan Africa (SSA) Regional Team, and, if applicable,the USTDA Program Monitoring and Evaluation team, to discuss the Desk Study;
2. Identify and evaluate project opportunities and provide recommendations for USTDA funding. Develop Terms of Reference and budgets for up to eighteen (18) activities for USTDA consideration. All project opportunities proposed by the DS Contractor must be approved by the COR prior to the drafting of a formal funding recommendation.
For each of the up to eighteen (18) activities to be recommended to USTDA, the Contractor shall develop a stand-alone Project Report. The requirements for the Project Reports are further detailed in the section below.
D.1.4. CLIMATE RESILIENCE SCREENING
Per Executive Order (EO) 13677, USTDA is required to consider climate resilience in its international development work. The Agency has determined that in order to be compliant with the EO, climate resilience screenings must be conducted at the project scoping stage for all feasibility studies (FS) and technical assistance (TA) activities. Accordingly, the Contractor shall conduct a climate resilience screening utilizing the guidance provided in Attachment VII.
D.1.5. PROJECT PROFILE
The energy sector in Sub-Saharan Africa continues to present considerable opportunities for U.S.
companies to provide services and equipment related to a wide range of projects across the energy and power value chain, including renewable power generation, thermal power generation, energy efficiency, smart grid, and oil & gas.
Moving forward, USTDA will prioritize hybrid generation, transmission and distribution, mini-grid projects, and potentially gas –as deemed consistent with Administration policy and priorities
– all of which represent vast opportunity for U.S. companies. Anemic and poorly-managed transmission and distribution systems across Sub-Saharan Africa are a challenge to energy access, reliable energy supply, and the financial health of utilities. USTDA has received and anticipates additional proposals to improve and extend transmission, reduce losses through smart grid and other applications, including an increasing number of ICT and energy hybrid and storage projects. USTDA also anticipates that the gas sector will continue to grow as an option for cleaner energy in the region. Sub-Saharan countries, such as Senegal, Nigeria, Sierra Leone, and Mozambique, are also investing in gas infrastructure to transition from expensive and polluting heavy fuel oil and diesel. Finally, with roughly 50 percent of Africans still without access to energy and the majority living more than six miles from the grid, mini-grid projects continue to be a priority.

D.1.6. NON-DISCLOSURE AGREEMENT AND KICKOFF
Upon award, the Contractor shall be required to sign a Non-Disclosure Agreement. To the extent that the work under this contract requires that the contractor be given access to confidential information or proprietary data from the Government or other companies, the Contractor agrees to treat such information and data as confidential and to use the information only for the contemplated purpose. After signing the Non-Disclosure Agreement, the Contractor shall contact USTDA’s COR to schedule a meeting or call to discuss details of the Contract assignment. The COR shall provide the Contractor with names and addresses of the potential project sponsor(s), other pertinent entities to contact in the United States and overseas, and any other relevant details or proposals that may impact the design and/or evaluation of the proposed activity(ies).
After reviewing these materials, contact the COR at (703) 875-4357 to discuss initial observations and raise any questions or concerns about the proposal and the Project. At this time, USTDA will provide the Contractor with additional guidance on the Agency’s requirements for the preparation of TOR and budget.
D.1.7. DELIVERABLES
The Contractor shall provide verbal updates to the COR on a regular basis. The deliverables may also take the form of information, advice, opinions, alternatives, analyses, evaluations, recommendations, Final Reports, or other oral or written work products needed for successful performance. The Contractor shall respond in a timely manner to reasonable requests for updates and information from the COR.
The Contractor shall provide the following reports to USTDA:
(a) One Evaluation Statement for each preliminary proposal or project concept selected by USTDA for a Preliminary Evaluation (See Section D.1.7.1).
(b) One Project Report for each project selected by USTDA for a Project Report. The Contractor shall submit each Project Report to the COR on a rolling basis. Each Project Report will be treated as business confidential and must conform to the guidelines established in this PWS.
Project Report(s) shall be submitted to the COR and appropriate Country Manager, if applicable, not to finalreports@ustda.gov.
(c) A Public Market Report for each Project Report completed by the Contractor that must conform to the outline found in Attachment IX and, unless otherwise agreed to in writing by USTDA, provide the requested information and analysis in sufficient detail to be useful to prospective U.S. equipment and service providers. The Public Market Report must be suitable for public distribution and must not contain any confidential information. Note that USTDA may publish the Contractor’s Public Market Report
Page | 18 on its website and/or in other media. The Contractor shall ensure the Public Market Report is suitable for publication and public distribution.
(d) Final Report. The Final Report shall consist all of the Project Reports, inclusive of the Required Budget in individual Microsoft Excel files, that have been approved by USTDA and must conform to the outline found in Attachment I and provide the requested information and analysis, unless otherwise agreed to in writing by USTDA. Further Final Report requirements are detailed in section D.1.7.2, Final Report.
Unless otherwise agreed to by USTDA, the Contractor shall submit all reports under this Contract to the COR within two (2) months prior to the end of the contract period of performance. If it is anticipated that Project Report(s) cannot be provided within this timeframe, the Contractor shall immediately contact the COR to discuss the reasons for the delay.
D.1.7.1. EVALUATION OF PRELIMINARY PROPOSALS
The Contractor(s) shall assist USTDA in the review of a total of up to six (6) preliminary proposals and/or project concepts. The preliminary proposals and concept papers may be in various formats, stages of readiness/completeness, and may originate from foreign public or private sector project sponsors and/or U.S. companies. USTDA will notify the Contractor when a preliminary proposal or project concept is ready for review. To complete the review of each preliminary proposal or project concept, the Contractor shall review the preliminary proposal or project concept and supporting documentation, then arrange a call or meeting with the COR to discuss the proposed activity. Following the discussion with the COR, the Contractor shall contact the project sponsor(s) and relevant third parties, as needed, to discuss the proposed activity and request any additional information necessary to complete an initial evaluation of the preliminary proposal or project concept. Based on the information reviewed in the preliminary proposal or project concept, the discussions with the COR, project sponsor(s) and relevant third parties, and any additional information received, the Contractor shall provide a written statement (“Evaluation Statement”) to USTDA that includes, but is not limited to: (1) a summary of the proposed project and request for USTDA assistance; (2) a high-level assessment of whether or not the proposed project meets USTDA’s basic funding criteria (see Section D.1.3); and (3) a recommendation on whether or not USTDA should undertake a full evaluation of the proposed activity, including the identification of any outstanding information, documentation, and/or other criteria that should be met before a full proposal evaluation can proceed.
In the event that the Contractor does not recommend a proposed activity for further consideration or it is not competitive with other proposals under evaluation, the Contractor’s Evaluation Statement shall identify the specific factors leading to this determination. The Contractor’s feedback in the assessment may be used by USTDA to inform the project sponsor(s) of the areas for improvement in their proposals and/or technical factors that may make the proposed activity not suited for further consideration by USTDA.
All deliverables submitted pursuant to this Desk Study Series shall incorporate all mutually agreed upon materials, revisions, and supporting documentation. The deliverables shall be grammatically and factually correct in all respects, internally consistent, and all statements and
Page | 19 tables shall be clear and easily understood by a competent reader, and contain no typographical errors. The deliverables shall also be paginated and clearly labeled. Upon direction from the COR, the Contractor shall submit an electronic copy of the final deliverable to the USTDA COR via email. No hardcopy submissions will be accepted.
