SECTION D – ANY CONTRACT DOCUMENTS, EXHIBITS OR ATTACHMENTS

D.1. PERFORMANCE WORK STATEMENT (PWS)

DEFINITIONAL MISSION FOR ENERGY OPPORTUNITIES

D.1.1. OVERVIEW

The U.S. Trade and Development Agency (USTDA) is a foreign assistance agency that delivers its program commitments through grants and contracts. The projects supported by USTDA activities represent strong and measurable development priorities in the host country and offer opportunities for the sale of U.S. goods and services. Requests for USTDA assistance are made by either public or private sector project sponsors for implementation in developing and middle income countries.

D.1.2. SCOPE OF WORK

USTDA requires services under this non-personal services Definitional Mission (“DM”) contract to support its decision-making relative to the funding of activities to support Energy Opportunities in South and Southeast Asia.

The Contractor shall provide preliminary project assessments (“Project Assessments”) for up to 10 project proposals and provide final project reports (“Project Reports”) for up to 10 activities for USTDA funding consideration of feasibility studies, technical assistance activities, and/or pilot projects in the energy sector (including, but not limited to, solar, wind, geothermal, biomass, hydropower, waste-to-energy, biofuels, electricity transmission and distribution, smart grid, distributed energy resources, energy efficiency, energy storage, carbon capture, hydrogen, electric vehicles, and traditional energy and power projects).

USTDA reserves the right to determine which Project Assessments merit consideration to address the 10-proposal requirement and which Project Reports merit consideration to address the 10-activity requirement.

The Contractor shall allocate effort in providing Project Assessments and Project Reports approximately evenly among USTDA eligible countries in South and Southeast Asia and the Pacific Islands. However, ultimate country focus and project allocation shall be determined by

USTDA.

The Contractor shall evaluate project opportunities in South and Southeast Asia and the Pacific Islands simultaneously. USTDA may provide the Contractor with project proposals for consideration under this DM. The Contractor shall also identify potential projects to review under this DM for USTDA consideration.

Project Assessments

For each Project Assessment, the Contractor shall submit preliminary (approximately 3-5 pages) project assessments, which will be used by USTDA and the Contractor to determine whether the project meets USTDA’s funding criteria, and for USTDA to recommend that full Project Reports be developed. These Project Assessments shall follow the guidance provided in Attachment I of the PWS on:

• Section B. Project Description;

• Section C. Project Sponsor’s Capabilities and Commitment;

• Section D. Implementation Financing;

• Section E. U.S. Export Potential;

• Section F. Foreign Competition and Market Entry Issues; and

• Section K. Qualifications.

Additionally, for each Project Assessment, the Contractor shall:

• Determine project compliance with the restrictions articulated in Attachment III of the

PWS;

• Determine project compliance with USTDA nationality requirements articulated in Attachment IV of the PWS; and

• Recommend if further project evaluation and Project Report is warranted.

The Project Assessment is not intended to require detailed data provided by the proposed grantee/contractor, but rather collect high-level project information from concept proposals and initial conversations (including conference calls and in-person meetings) with the prospective Project Sponsor and related project parties. Before initiating any Project Assessment, the Contractor shall receive USTDA’s approval in writing to proceed.

Final Report

As described in Section D.1.7.2., the Contractor shall submit a business confidential Final Report that includes a complete description of the mission detailing the following: (1) all projects reviewed during the course of the mission; (2) all Project Assessments; (3) all Project Reports, including the Terms of Reference (TOR) and budgets the Contractor has developed in coordination with the Project Sponsors (and U.S. firms, if applicable) for each project; (4) summaries of all

1 Potential implementation finance sources for USTDA activities may include: 1) national, bilateral and/or multilateral development banks (e.g. Asian Development Bank, World Bank, International Finance Corporation, Export-Import Bank of the United States, Overseas Private Investment Corporation, etc.); 2) public sector (federal or local sources), private sector (national and/or international commercial and/or investment banks, non-bank financial institutions, investment funds, and/or other financial intermediaries).

meetings held in the U.S. and overseas for each Project Report; (5) list of all persons attending the meetings and their contact information for each Project Report; and (6) a brief explanation for any activity(ies) or project(s) that were reviewed and were not recommended for USTDA funding.

The Final Report, unless otherwise directed by USTDA, shall be labeled clearly on every page as “Business Confidential” and shall be treated accordingly per sections D.11, “Confidentiality,” and D.12, “Intellectual Property.”

The Contractor will not be paid for reports that are not approved or completed.

The actual number of deliverables/reports against this contract is dependent on the success of the Definitional Mission and availability of projects. Therefore, not all deliverables may be required or be possible and the figures provided for the Project Reports are not-to-exceed ceiling figures and not actual figures. The Contractor shall only invoice for work/deliverables actually completed. Any unexpended funds will be de-obligated from the contract at close-out.

D.1.3. USTDA FUNDING CRITERIA

The Contractor’s recommendations shall be based upon USTDA funding criteria, which are that the Project(s) must:

a) Be likely to receive implementation financing;

b) Have a procurement process that provides “equal access” to U.S. companies;

c) Represent an opportunity for sales of U.S. goods and services that is many times greater than the initial investment of USTDA assistance;

d) Be a development priority of the Project Sponsor and host country where the Project is located and have the endorsement of the U.S. Embassy in that host country; and

e) Involve U.S. companies that are facing market entry problems and/or strong competition from foreign companies which often receive subsidies and other support from their governments.

The Contractor shall also be required to:

a) Perform preliminary assessments of project viability;

b) Evaluate project implementation financing;

c) Verify U.S. industry competitiveness and assess U.S. export potential;

d) Assess foreign competition and market entry issues;

e) Perform preliminary assessments of environmental and developmental impacts;

f) Perform climate resilience screenings;

g) Assess project implementation risks;

h) Analyze potential impacts on U.S. labor; and

i) Assess U.S. firm capabilities and qualifications.

To execute this requirement, the Contractor shall:

1. Meet or have a conference call with the Indo-Pacific Regional Team and the USTDA Program Monitoring and Evaluation team to discuss the definitional mission;

2. Contact and/or meet with relevant U.S. companies to discuss their interest in Energy project opportunities in South and Southeast Asia and the Pacific Islands;

3. Travel to Host Countries for a total of two trips for two staff anticipated for a total of 20 days to meet with prospective grantees and other relevant stakeholders from the relevant sector;

4. Participate in relevant energy Reverse Trade Missions, Workshops, and Conferences, which may require domestic travel, to meet with delegates and discuss potential project opportunities.

5. Identify and evaluate project opportunities and provide recommendations for USTDA funding. Develop Project Assessments for up to ten (10) proposals and the Terms of Reference and budgets for up to ten (10) activities for USTDA consideration;

a. All project opportunities proposed by the DM Contractor must be approved by the COR prior to the drafting of a formal funding recommendation.

For each of the 10 activities to be recommended to USTDA, the Contractor shall develop a stand-alone Project Report. The requirements for the Project Reports are further detailed in section D.1.7, Reports.

D.1.4. CLIMATE RESILIENCE SCREENING

Per Executive Order (EO) 13677, USTDA is required to consider climate resilience in its international development work. The Agency has determined that in order to be compliant with the EO, climate resilience screenings must be conducted at the project scoping stage for all feasibility studies (FS) and technical assistance (TA) activities. Accordingly, the Contractor shall conduct a climate resilience screening utilizing the guidance provided in Attachment VII.

D.1.5. PROJECT PROFILE

The Indo-Pacific region has undergone tremendous economic growth in recent years, with an average annual gross domestic product (“GDP”) growth rate of 4.9 percent between 2016 and 2019. Despite the economic downturn in 2020 associated with the COVID-19 pandemic, GDP growth is expected to rebound in 2021 and continue into the near future. A side-effect of this economic growth in the region has been a steady rise in energy demand. According to projections by BP, most of the world’s energy demand growth over the next 30 years will come primarily from India and other emerging markets in Asia, excluding China. These projections consider new decarbonization policies that would limit the rise in carbon dioxide (“CO¬¬2”) emissions and increase energy efficiency. The Indo-Pacific region’s continued energy demand growth will require significant investments in new clean energy infrastructure as well as investments to decarbonize existing energy infrastructure, such as in energy efficiency and carbon capture, utilization, and storage (“CCUS”). The United Nations Economic and Social Commission for Asia and the Pacific estimated in 2016 that the region would require $434 billion per year in investments to meet the Sustainable Development Goal for Affordable and

Clean Energy by 2030. This goal includes improving access to electricity, increasing reliance on renewable energy, and reducing energy intensity. These energy infrastructure investments will provide lucrative opportunities for U.S. exporters of clean energy technologies and services in the areas of renewable energy and grid modernization. It may also create opportunities for U.S.

exports of other advanced energy technologies, such as energy storage, CCUS, electric vehicles (“EVs”), and hydrogen ecosystems.

In 2018, the U.S. government launched the Asia EDGE initiative, which is a whole-of-government effort to grow sustainable and secure energy markets throughout the Indo-Pacific. Asia EDGE seeks to strengthen energy security, increase energy diversification and trade, and expand energy access across the region. The four primary objectives of Asia EDGE are to 1) strengthen energy security; 2) create open, efficient, rule-based, and transparent energy markets; 3) improve free, fair, and reciprocal energy trading relationships; and 4) expand access to affordable, reliable energy. USTDA has supported numerous activities in the Indo-Pacific energy sector since 2018 to further the goals of the Asia EDGE initiative, including in the areas of renewable energy, grid modernization and digitalization, and traditional energy and power to promote regional energy security and access.

On January 27, 2021, the Biden-Harris Administration released the Executive Order on Tackling the Climate Crisis at Home and Abroad (“EO”), outlining priorities and directing the United States to work with other countries and partners to put the world on a sustainable climate pathway as well as to build resilience, both at home and abroad,…
