About this file
This is a Technical Data Articles Annex for an Anesthesia Workstation System (AWS) Prototype Other Transaction Authority (OTA) agreement under 10 U.S.C. § 4022, effective for the AWS Prototype Agreement under a Request for Prototype Proposals (RPP) dated 8 September 2026.
The document establishes five primary articles governing the prototype development. Article I prohibits performers from engaging in racially discriminatory diversity, equity, and inclusion (DEI) activities in recruitment, employment, vendor agreements, program participation, or resource allocation, with noncompliance potentially resulting in agreement cancellation, termination, suspension, or ineligibility for further government contracts. Article II requires performers to incorporate commercial products, commercial services, or nondevelopmental items to the maximum extent practicable and mandates the flow-down of specific clauses to subcontractors for commercial products and services, including provisions on business ethics, whistleblower protections, cybersecurity safeguards, equal opportunity, trafficking in persons, minimum wages, and various other federal compliance requirements. Article III governs intellectual property rights, establishing that the performer retains ownership of technical data and computer software developed exclusively at private expense, while the government receives unlimited rights for data and software first produced or specifically modified under the agreement. For commercial technical data and software, the government receives customary public license rights or minimum rights for use, reproduction, and distribution. The agreement specifically grants the government a perpetual, irrevocable, royalty-free, non-exclusive, worldwide license to reproduce, distribute, and use all operation and maintenance manuals, schematics, parts lists, and troubleshooting guides strictly for internal Department of War training, operation, and organic maintenance by military Biomedical Equipment Technician (BMET) personnel at Field and Depot levels, along with access to software keys, diagnostic tools, and calibration software. Articles IV and V establish procedures for identifying restrictions on technical data use and authorize the Agreements Officer to withhold up to 10 percent of the total agreement price for deficient or untimely delivery of required technical data, except when delays arise from causes beyond the performer's control.
