This document is Attachment C, a Joint Venture Procedure appendix that establishes requirements for Small Business Joint Venture submissions on a federal contract opportunity.
Joint ventures must submit a fully executed Joint Venture agreement signed by both parties and provide comprehensive documentation demonstrating compliance with FAR Part 19 regulations. Required submissions include: the relationship structure of joint venture parties addressing business ownership, capital contribution, and profit/loss distribution; the management approach identifying who will conduct, direct, supervise, and control the project and manage joint venture assets; the decision-making structure and control responsibilities of each party; identification of Key Personnel authorized to legally bind the joint venture to subcontracts and provide labor and materials; identification of personnel responsible for maintaining joint venture bank accounts, keeping books and records, and paying applicable taxes; identification of persons furnishing facilities such as office supplies and telephone service; and identification of personnel with overall joint venture control. Other proposal sections must specify whether Key Personnel are employees of individual joint venture parties or hired directly by the joint venture. The documentation provided must meet the minimum requirements, with FAR Part 19 requirements applicable to the particular small business type controlling final eligibility determination for contract award.
