SOFTWARE MADE AVAILABLE FOR CONTRACTOR’S USE
The Government, from time to time, may make certain software acquired under license available to the Contractor for its use in the performance of this Contract.
The Contractor recognizes and acknowledges that such software or data contained therein may be proprietary and confidential to a third party.
The Contractor agrees that it and its employees will not use, copy, disclose, modify, or reverse engineer such software except as permitted by the license and any other terms and conditions under which the software is made available to the Contractor.
The Contractor is not authorized to violate any software licensing agreement, or to cause the Government to violate any licensing agreement.
If, at any time during the performance of this Contract, the Contractor has reason to believe that its utilization of Government furnished software may involve or result in a violation of the Government’s licensing agreement, the Contractor shall promptly notify the CO, in writing, of the pertinent facts and circumstances. Pending direction from the CO, the Contractor shall continue to perform to the full extent possible without utilizing the software in question.

Description: Project Manager / Senior Engineer IAW PWS 4.0 and 9.0 CLIN Ceiling Price. The NTE amount, to be determined at time of award, will reflect the overall ceiling price applicable to this CLIN.
The Government will not be obligated to pay the Contractor any amount in excess of the CLIN ceiling price and the Contractor shall not be obligated to continue performance if to do so would exceed the CLIN ceiling price, unless and until the Contracting Officer notifies the Contractor in writing that the CLIN ceiling price has been increased and specifies in the notice a revised ceiling that shall constitute the ceiling price for performance under this CLIN. When and to the extent that the CLIN ceiling price set forth has been increased, any services provided by the Contractor in excess of the ceiling price before the increase shall be allowable to the same extent as if the services had been provided after the increase in the ceiling price. If at any time during the period of performance of this CLIN the Contractor has reason to believe that the payments for services that will accrue in performing this contract in the next succeeding 30 days, if added to all other payments and costs previously accrued, will exceed 85 percent of the CLIN ceiling price, the Contractor shall notify the Contracting Officer giving a revised estimate of the total price to the Government for performing this CLIN with supporting reasons and documentation. In addition, because this CLIN is incrementally funded, the Government’s obligation is further limited to the funded amount in accordance with the LOCAL-2 Limitation of Government’s Obligation clause. In any resulting order, this CLIN may be exercised any number of times at the Government's sole discretion. IAW PWS 4.3
This CLIN represents an optional contract line item that the Government may exercise an unlimited number of times in the contract year.
Each item and exercise directs work for a Special Project. When exercised and directed as a time and materials effort, the CLIN and project will be subject to a ceiling amount. With agreement of the Contractor, the CLIN may also be exercised as a Firm Fixed Price optional contract line item.
During contract administration, FCC reserves the right to move unused amounts to other Support and Special Project CLINs, either in the same contract year or future option year(s), or to advance all or part of the maximum amounts scheduled for succeeding option year(s) to the current year, provided sufficient funds (appropriate as to purpose and time) are or remain available for obligation.
