1. Contractors are required to submit proposals in response to the solicitation in the DLA Internet Bid Board System (DIBBS). Contractors can request detailed instructions on DIBBS submission by email the DLA Troop Support Points of Contact (POCs) listed on page 14 of this solicitation.
2. In addition, email or DoD Safe transmissions may be authorized in writing by the Contracting Officer for discussions and any proposal revisions. The Guaranteed Minimum for this contract will be three (3) finished systems. The Guaranteed Minimum represents the three (3) finished systems that will be purchased for the First Article Testing.
The Estimated Dollar Value and the Maximum Dollar Value will be established by the Government prior to award of a contract.

CAUTION NOTICE
This Caution Notice is part of the solicitation and any resultant contract.
A. ADMINISTRATIVE CONTRACT
After issuing an award, the contracting officer may establish an Electronic Catalog (ECAT) Administrative contract number. The vendor must offer all repair parts for NPWT devices to be added to this ECAT administrative contract for direct online ordering by DLA customers. This administrative contract may also include items such as consumables and accessories that are not required to operate the offered NPWT. The contracting officer may determine which items are appropriate to add on the ECAT contract for direct online ordering by DLA customers.
B. CONTRACTOR CODE OF BUSINESS ETHICS
FAR Part 3.1002(a) requires all government contractors to conduct themselves with the highest degree of integrity and honesty. Contractors should have a written code of business ethics and conduct within thirty days of award. To promote compliance with such code of business ethics and conduct, contractors should have an employee business ethics and compliance training program that facilitates timely discovery and disclosure of improper conduct in connection with government contracts and ensures corrective measures are promptly instituted and carried out. A contractor may be suspended and/or debarred for knowing failure by a principal to timely disclose to the government, in connection with the award, performance, or closeout of a government contract performed by the contractor or a subcontract awarded there under, credible evidence of a violation of federal criminal law involving fraud, conflict of interest, bribery, or gratuity violations found in title 18 of the United States Code or a violation of the False Claims Act. (31 U.S.C. 3729-3733)
If this solicitation or contract includes FAR clause 52.203-13 - CONTRACTOR CODE OF BUSINESS ETHICS AND CONDUCT; the contractor shall comply with the terms of the clause and have a written code of business ethics and conduct; exercise due diligence to prevent and detect criminal conduct;
promote ethical conduct and a commitment to compliance with the law within their organization; and timely report any violations of federal criminal law involving fraud, conflict of interest, bribery or gratuity violations found in title 18 of the United States Code or any violations of the False Claims Act.
(31 U.S.C. 3729-3733). When FAR 52.203-13 is included in the contract, contractors must provide a copy of its written code of business ethics and conduct to the contracting officer upon request by the contracting officer.
C. DOMESTIC NON-AVALIABILITY DETERMINATION (DNAD)
The Domestic Non-Availability Determination (DNAD) will be used in the evaluation of Berry Amendment compliance regarding items procured as a result of this solicitation.
D. CHANGES FOR SUBSTITUTE AND/OR UPGRADE ITEMS
The Government reserves the right to issue changes for substitute items to incorporate product upgrades.
Award will be made for the make and model offered. If the contractor upgrades its product line or enhances an awarded line item after award, substitutions may be permitted only with the express written consent of the Contracting Officer. Substitutions, if approved, will be effective for orders issued after the aforementioned consent is provided. If optional accessories are added to contractor’s product line after award, such accessories may be added to the contract only with the express written consent of the

Contracting Officer. The contractor shall submit a proposal including product descriptions and proposed prices to the Contracting Officer.

(d) Comptroller General Examination of Record. STATEMENT OF WORK
I. General Information
This solicitation provides for the supply of Negative Pressure Wound Therapy (NPWT) devices, and any additional items required to support the operation of these systems; including but not limited to system optional features and capabilities, consumables, accessories, training, training materials, maintenance, repair parts and upgrades. The NPWT device will be primarily utilized to treat open wounds by locally applying negative pressure to the wound site. The system shall consist of dressings, an evacuation tube, a collection canister and a computer-controlled vacuum pump. The computer-controlled vacuum pump applies negative pressure through the tube to the dressing, drawing off excess interstitial fluids from the wound. NPWT systems decompress the capillaries and lymphatic vessels, thus improving blood flow to the wound and reestablishing normal circulation of interstitial fluids; they are intended to promote healing of wounds (e.g., chronic wounds, burns) that are difficult to heal using conventional treatments.

a. Order delivery locations are located in both the contiguous United States (CONUS), which includes the 48 contiguous States and the District of Columbia as well as areas outside of the contiguous United States (OCONUS).
b. Vendors shall support all CONUS locations. Contract pricing should be provided on a F.O.B.
Destination basis for all CONUS locations.
c. Vendors shall support Alaska, Hawaii, and U.S. Territories. Contract pricing should be provided on a F.O.B. Destination basis for Alaska, Hawaii, and U.S. Territories. Different F.O.B.
Destination pricing other than offered for CONUS locations may be offered for Alaska, Hawaii, and/or U.S. Territories if it is consistent with commercial practice and can be determined as fair and reasonable by the Contracting Officer. Acceptable price support information shall be provided by the vendor to substantiate different pricing than for CONUS deliveries.
d. Vendors may be asked to support OCONUS locations outside of Alaska, Hawaii, and U.S.
Territories. For OCONUS locations outside of Alaska, Hawaii, and U.S. Territories; F.O.B.
Destination pricing shall be established prior to order issuance to factor any additional shipping charges.
e. The Government reserves the right to issue orders on a F.O.B. Origin basis.
f. Delivery shall be made within 60 calendar days after date of delivery order (ADO) unless otherwise specified.
IV. Contract Limitations
a. Estimated Dollar Value
The estimated dollar value under this contract is $25 million.

The estimated dollar value listed in this solicitation is only an estimate based on data available to the Contracting Officer at the time of the solicitation. The Government is in no way obligated to purchase beyond the minimum guaranteed quantity. When you offer your price, you must consider any business risk associated with these estimates.
b. Maximum Contract Limitation.
The maximum contract limitation shall be $75 million for the contract, including the base year and all option years, if exercised.
c. Guaranteed Minimum.
The Government guarantees that it will order a minimum of 3 systems during the life of the contract and may be fulfilled during the base period, the option periods or combination of base and option periods, if exercised. The Government may fulfill the guarantee by a single delivery order or by any number of delivery orders.
V. Contract Base and Option Periods
The contract shall have a five-year base period and five one-year option periods. The contract term shall not exceed ten years.
VI. Payment Terms and Conditions
a. Payment Terms: Prompt Payment terms apply in accordance with FAR 52.212-4(i).
b. Payment Office and Invoicing Instructions: The Vendor shall use Wide Area Workflow
(WAWF) for inspection, acceptance and invoicing. The following procedures will apply for all delivery orders issued manually (ECAT orders shall use ECAT payment and invoicing procedures) :
Attach any applicable documentation such as Proof of Delivery or customer signoffs to e-mail and WAWF receiving report.
An automated WAWF receiving report submission notification is not sufficient for the above notification requirement.
i. The contractor shall submit a “Material Inspection and Receiving Report” in the form of an “Other/Other Receiving Report (RR) only” in Wide Area Workflow (WAWF).
Critical WAWF Codes for Other/Other Receiving Report:
Pay Office: SL4701 Issue By = SPE2D1 Admin By = Inspect By = Accept at Other = SPE2D1 Ship to: Provided in each delivery order
Errors in critical WAWF codes will result in delayed inspection of the receiving report and may require correction or resubmission prior to processing.

ii. The DLA Troop Support engineer shall confirm delivery/inspection with the customer and “Inspect” (digitally sign) the receiving report within 30 calendar days, if no deficiencies are identified.
