A. FEDERAL ACQUISITION REGULATION CONTRACT CLAUSES IN FULL TEXT

52.211-15 DEFENSE PRIORITY AND ALLOCATION REQUIREMENTS (APR 2008)

This is a rated order certified for national defense, emergency preparedness, and energy program use, and the Contractor shall follow all the requirements of the Defense Priorities and Allocations System regulation (15 CFR 700).

52.216-19 ORDER LIMITATIONS (OCT 1995) (TAILORED)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor--

(1) Any order for a single item in excess of $12,000,000.00;

(2) Any order for a combination of items in excess of $12,000,000.00; or

(3) A series of orders from the same ordering office within 7 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 15 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

(e) This is a single award Indefinite Deliver/Indefinte Quantity contract. IAW FAR 16.504(a)(4)(iv), the Contracting Officer will state the procedures that the Government will use in issuing orders in the solicitation for each proposed Task order.

(b) Adequate security. The Contractor shall provide adequate security for all covered defense information on all covered contractor information systems that support the performance of work under this contract. To provide adequate security, the Contractor shall

(1) Implement information systems security protections on all covered contractor information systems including, at a minimum

(i) For covered contractor information systems that are part of an Information Technology (IT) service or system operated on behalf of the Government

(A) Cloud computing services shall be subject to the security requirements specified in the clause 252.239- 7010, Cloud Computing Services, of this contract; and

(B) Any other such IT service or system (i.e., other than cloud computing) shall be subject to the security requirements specified elsewhere in this contract; or

(ii) For covered contractor information systems that are not part of an IT service of system operated on behalf of the Government and therefore are not subject to the security requirement specified at paragraph (b)(1)(i) of this clause

(A) The security requirements in National Institute of Standards and Technology (NIST) Special Publication (SP) 800- Nonfederal Informat -171 that is in effect at the time the solicitation is issued or as authorized by the Contracting Officer, as soon as practical, but not later than December 31, 2017. The Contractor shall notify the DoD CIO, via email at osd.dibcsia@mail.mil, within 30 days of contract award, of any security requirements specified by NIST SP 800-171 not implemented at the time of contract award; or

(B) Alternative but equally effective security measures used to compensate for the inability to satisfy a particular requirement and achieve equivalent protection accepted in writing by an authorized representative of the DoD CIO; and

(2) Apply other information systems security measures when the Contractor reasonably determines that information systems security measures, in addition to those identified in paragraph (b)(1) of this clause, may be required to provide adequate security in a dynamic environment based on an assessed risk or vulnerability.

(c) Cyber incident reporting requirement.

(1) When the Contractor discovers a cyber incident that affects a covered contractor ability to perform the requirements of the contract that are designated as operationally critical support, the Contractor shall

(i) Conduct a review for evidence of compromise of covered defense information, including, but not limited to, identifying compromised computers, servers, specific data, and user accounts. This review shall also include analyzing covered contractor information system(s) that were part been accessed as a result of the incident in order to identify compromised covered defense information,

(ii) Rapidly report cyber incidents to DoD at <http://dibnet.dod.mil>.

(2) Cyber incident report. The cyber incident report shall be treated as information created by or for DoD and shall include, at a minimum, the required elements at <http://dibnet.dod.mil>.

(3) Medium assurance certificate requirement. In order to report cyber incidents in accordance with this clause, the Contractor or subcontractor shall have or acquire a DoD-approved medium assurance certificate to report cyber incidents. For information on obtaining a DoD-approved medium assurance certificate, see <http://iase.disa.mil/pki/eca/Pages/index.aspx>.

(d) Malicious software. The Contractor or subcontractors that discover and isolate malicious software in connection with a reported cyber incident shall submit the malicious software in accordance with instructions provided by the Contracting Officer.

(e) Media preservation and protection. When a Contractor discovers a cyber incident has occurred, the Contractor shall preserve and protect images of all known affected information systems identified in paragraph (c)(1)(i) of this clause and all relevant monitoring/packet capture data for at least 90 days from the submission of the cyber incident report to allow DoD to request the media or decline interest.

(f) Access to additional information or equipment necessary for forensic analysis. Upon request by DoD, the Contractor shall provide DoD with access to additional information or equipment that is necessary to conduct a forensic analysis.

(g) Cyber incident damage assessment activities. If DoD elects to conduct a damage assessment, the Contracting Officer will request that the Contractor provide all of the damage assessment information gathered in accordance with paragraph (e) of this clause.

(h) DoD safeguarding and use of contractor attributional/proprietary information. The Government shall protect against the unauthorized use or release of information obtained from the contractor (or derived from information obtained from the contractor) under this clause that includes contractor attributional/proprietary information, including such information submitted in accordance with paragraph (c). To the maximum extent practicable, the Contractor shall identify and mark attributional/proprietary information. In making an authorized release of such information, the Government will implement appropriate procedures to minimize the contractor attributional/proprietary information that is included in such authorized release, seeking to include only that information that is necessary for the authorized purpose(s) for which the information is being released.

(i) Use and release of contractor attributional/proprietary information not created by or for DoD.

Information that is obtained from the contractor (or derived from information obtained from the contractor) under this clause that is not created by or for DoD is authorized to be released outside of DoD

(1) To entities with missions that may be affected by such information;

(2) To entities that may be called upon to assist in the diagnosis, detection, or mitigation of cyber incidents;

(3) To Government entities that conduct counterintelligence or law enforcement investigations;

(4) For national security purposes, including cyber situational awareness and defense purposes (including with Defense Industrial Base (DIB) participants in the program at 32 CFR part 236);

or activities under a contract that includes the clause at 252.204-7009, Limitations on the Use or Disclosure of Third-Party Contractor Reported Cyber Incident Information.

(j) Use and release of contractor attributional/proprietary information created by or for DoD.

Information that is obtained from the contractor (or derived from information obtained from the contractor) under this clause that is created by or for DoD (including the information submitted pursuant to paragraph

(c) of this clause) is authorized to be used and released outside of DoD for purposes and activities authorized by paragraph (i) of this clause, and for any other lawful Government purpose or activity, release of such information.

(k) The Contractor shall conduct activities under this clause in accordance with applicable laws and regulations on the interception, monitoring, access, use, and disclosure of electronic communications and data.

(l) Other safeguarding or reporting requirements. The safeguarding and cyber incident reporting incident reporting pertaining to its unclassified information systems as required by other applicable clauses of this contract, or as a result of other applicable U.S. Government statutory or regulatory requirements.

(m) Subcontracts. The Contractor shall

(1) Include this clause, including this paragraph (m), in subcontracts, or similar contractual instruments, for operationally critical support, or for which subcontract performance will involve a covered contractor information system, including subcontracts for commercial items, without alteration, except to identify the parties; and

(2) When this clause is included in a subcontract, require subcontractors to rapidly report cyber incidents directly to DoD at <http://dibnet.dod.mil> and the prime Contractor. This includes providing the incident report number, automatically assigned by DoD, to the prime Contractor (or next higher-tier subcontractor) as soon as practicable.

C. AIR FORCE FEDERAL ACQUISITION REGULATION SUPPLEMENT CONTRACT CLAUSES IN FULL TEXT

5352.242-9000 CONTRACTOR ACCESS TO AIR FORCE INSTALLATIONS (NOV 2012) (TAILORED)

CONTRACTOR ACCESS TO AIR FORCE INSTALLATIONS (NOV 2012)

(a) The contractor shall obtain base identification and vehicle passes, if required, for all contractor personnel who make frequent visits to or perform work on the Air Force installation(s) cited in the contract. Contractor personnel are required to wear or prominently display installation identification badges or contractor-furnished, contractor identification badges while visiting or performing work on the installation. Contractor personnel shall identify themselves as Contractors during meetings, telephone conversations, in electronic messages, or correspondence related to this contract.

(b) The Security Procedures Supplement, found at Attachment 6, contains the procedures and processes that shall be followed for Contractor Access to Air Force Installations.

(c) During performance of the contract, the contractor shall be responsible for obtaining required identification for newly assigned personnel and for prompt return of credentials and vehicle passes for any employee who no longer requires access to the work site.

(d) When work under this contract requires unescorted entry to controlled or restricted areas, the contractor shall comply with AFI 31-101 <http://static.e-publishing.af.mil/production/1/af_a4_7/publication/afi31-101/releasibility_for_afi31-101.pdf>, Integrated Defense, and AFI 31-501 <http://static.e-publishing.af.mil/production/1/af_a4_7/publication/afi31- 501/afi31-501.pdf>, Personnel Security Program Management] citing the appropriate paragraphs as applicable.

(e) Upon completion or termination of the contract or expiration of the identification passes, the prime contractor shall ensure that all base identification passes issued to employees and subcontractor employees are returned to the issuing office.

(f) Failure to comply with these requirements may result in withholding of final payment.

5352.242-9001 COMMON ACCESS CARDS (CAC) FOR CONTRACTOR PERSONNEL-AFRL (NOV

2012)

(a) For installation(s)/location(s) cited in the contract, contractors shall ensure Common Access Cards (CACs) are obtained by all contract or subcontract personnel who meet one or both of the following criteria:

(1) Require logical access to Department of Defense computer networks and systems in either:

(i) the unclassified environment; or

(ii) the classified environment where authorized by governing security directives.

(2) Perform work, which requires the use of a CAC for installation entry control or physical access to facilities and buildings.

(b) Contractors and their personnel shall use the following procedures to obtain CACs:

(1) Contractors shall provide a listing of personnel who require a CAC to the contracting officer. The government will provide the contractor instruction on how to complete the Contractor Verification System (CVS) application and then notify the contractor when approved.

(2) Contractor personnel shall obtain a CAC from the nearest Real Time Automated Personnel Identification Documentation System (RAPIDS) Issuing Facility (typically the local Military Personnel Flight (MPF)).

(3) Contractor personnel will proceed to the nearest CAC issuance workstation (usually the local Military Personnel Flight (MPF) with the DD Form 1172-2 and appropriate documentation to support their identification and/or citizenship. The CAC issuance workstation will then issue the CAC.

(c) While visiting or performing work on installation(s)/location(s), contractor personnel shall wear or prominently display the CAC as required by the governing local policy.

(d) During the performance period of the contract, the contractor shall:

(1) Within 7 working days of any changes to the listing of the contract personnel authorized a CAC, provide an updated listing to the contracting officer who will provide the updated listing to the authorizing government official;

(2) Return CACs in accordance with local policy/directives within 7 working days of a change in status for contractor personnel who no longer require logical or physical access;

(3) Return CACs in accordance with local policy/directives within 7 working days following a CACs expiration date; and

(4) Report lost or stolen CACs in accordance with local policy/directives.

(e) Within 7 working days following completion/termination of the contract, the contractor shall return all CACs issued to their personnel to the issuing office or the location specified by local policy/directives.

(f) Failure to comply with these requirements may result in withholding of final payment.

STATEMENT OF WORK BASIC IDIQ

IDIQ Contract: FA8650-23-D-5400

Materials for Integrated Nano-electronic and Optoelectronic Structures (MINOS)

1.0 Background

USAF missions require sustained operations in extremely harsh environmental conditions. Material advances are needed to optimize mission success in the areas of electronic, photonic, optoelectronic and quantum materials. The Air Force Research Laboratory, Materials and Manufacturing Directorate, Nanoelectronic Materials Branch (AFRL/RXAN) has a long-standing history of conducting research on electronic, optical and optoelectronic materials for ISR and EW. As the restrictions on size and weight, and the requirements for power and alternate forms of navigation become ever more stressing, the need for more advanced electronic, optical, optoelectronic and quantum materials and devices is becoming more critical for conducting future ISR and EW missions. This contract will continue the advances made in these areas and extend them through efforts aimed at Basic Research including fundamental research in collaboration with university partners, Advanced Technology Development in collaboration with both university and industrial partners, and Advance Component Development and Prototyping in collaboration with industrial partners. The goal of this contract is to advance and transition the technologies into fielded systems that will provide new capabilities to accomplish the most stressing Air Force missions.

2.0 Objectives: The objectives of this contract are to execute research and development which exploit competencies that enhance electronic, optoelectronic, photonic, magnetic, ferroic, and quantum materials, wide-bandgap (WBG) semiconductors, ultra wide-bandgap (UWBG) semiconductors, digital & analog switching materials, electronic materials integration and hybrid systems to enable next-generation effective and novel ISR and EW systems for DAF applications.

Required tasks and their objectives are delineated below. Contractor Acquired Property (CAP) may become necessary during the conduct of this research. No purchases of CAP shall occur until receipt of written notification from the contracting officer that the conditions of FAR 45.102(b) have been successfully met. All CAP shall be delivered to the Government at the conclusion of all technical work.

3.0 Tasks and Technical Requirements:

3.1 Program Management: Provide the programmatic oversight necessary to plan, coordinate, schedule and report all activities in the performance of this effort. This includes all technical, financial and programmatic aspects including the timely and accurate accounting of principal level lines of accounting as well as sub-accounts.

3.2 Electronic Materials Research, Development, and Prototyping: Perform research, development, demonstration, verification, validation and technology transition of electronic materials for all aspects of ISR and EW applications. This includes but is not limited to wide-bandgap (WBG) semiconductors, ultra wide-bandgap (UWBG) semiconductors, magnetic, ferroic materials, digital & analog switching materials, as well as electronic materials integration.

3.3 Photonic, Optoelectronic and Quantum Materials Research, Development, and Prototyping:

Perform research, development, demonstration, verification, validation and technology transition of photonic, optoelectronic and quantum materials for all aspects of ISR and EW applications. This includes but is not limited to solid-state qubits; optical, RF, and hybrid material technologies; modulator materials, RF magnetic materials and materials for integrated photonics; and optoelectronic sensing.

3.4 Emergent Opportunities in Electronics, Optics and Photonics: Perform research, development, demonstration, verification, validation and technology transition of the latest advances in electronic, photonic, optoelectronic and quantum materials. This includes the development of case-specific feasibility demonstrators and prototypes for demonstrating specific required capabilities in focused efforts that may be time-constrained.

3.5 Modeling and Theory: Develop theoretical models and computational tools to guide experimental work of materials used in electronic, magnetic, photonic, opto-electronic, and optical applications.

These models may cover a broad range of physical lengths from an atomistic level to a macro device level. Potential areas to consider include, but are not limited to, density functional theory, molecular dynamic theory, and finite element analysis, which could be used as building blocks for integrated computational materials science and engineering (ICMSE) approaches in material research.

3.6 Material Synthesis/Growth: Develop research materials through the use of various physical vapor and chemical vapor deposition processes to grow thin films of desired magnetic, electronic, opto-electronic, and optical nature. Examples of such systems are pulsed laser deposition (PLD), sputtering, molecular beam epitaxy (MBE), atomic layer deposition (ALD), molecular layer deposition (MLD) or other vacuum based systems as needed. Also, synthesis of materials may be done in a beaker mixing various chemicals in solution at room temperature or at high temperatures (>1000oC) where a melt is required. Such equipment may need modifications or supplies to complete the task.

3.7 Fabrication/Processing: Fabricate materials into various shapes and sizes and creating areas that are conducting (like metals), semiconducting (like dichalgenides) or insulating (like oxides, nitrides). In order to do this, various techniques will be needed but not limited to focused ion beam, ultra violet lithography, nano lithography, e-beam lithography, reactive ion etching, wet chemical treatment involving acids and solvents, metal vaporation / sputtering, ion implantation, and mechanical and electronic fixture arrangements. Such equipment may need modifications or supplies to complete the task.

3.8 Characterization/Testing: Many types of characterization and testing procedures are needed to study both material quality and device operation. In general, these can fall into magnetic, electronic, optical and thermal testing techniques, combined with mechanical loading in some test scenarios. These techniques can encompass the areas of microscopy, spectroscopy, transport, and radiation. Typical techniques include, but are not limited to: atomic, electric, piezoelectric, and magnetic force microscopy; scanning electron and transmission electron microscopy, infra-red, thermal atomic force microscopy; secondary ion mass spectroscopy, x-ray photo electron spectroscopy, Raman spectroscopy, impedance and dielectric spectroscopy, scanning tunneling probe spectroscopy, magnetic field measurements like Hall Effect, resonance; optical absorption and emission, photoluminescence; time
