About this file

This is a Memorandum to the File documenting a decision to restrict competition for a commercial acquisition under the Simplified Acquisition Threshold (SAT). The contracting officer has determined that only one source—KEYENCE (CAGE Code: 0VZL5), located in Itasca, Illinois—is reasonably available for this procurement. The acquisition is for a Keyence Digital Microscope VHX-XL Series with imaging capability from 5x to 6000x magnification and a 300mm stage for PCB imaging, with required delivery of 1-2 business days after receipt of order. The total dollar value is redacted in the document.

The justification for sole-source procurement is based on "Other Reasons," specifically that the Keyence VHX Series is the only digital microscope on the market meeting the government's technical requirements within a single, integrated platform. The required technical capabilities include an ultra-wide magnification range (5x to 6000x), a fully integrated motorized head allowing automatic magnification switching without manual lens replacement, 4K resolution imaging with high dynamic range and large depth of field, and built-in software for 3D profiling, advanced lighting manipulation (Optical Shadow Effect Mode), and real-time on-screen measurement. The memorandum notes that purchasing an alternative microscope would result in a schedule delay exceeding 12 months and costs exceeding a redacted amount, thereby failing to meet customer testing requirements. The contracting officer, Helton Morgan Michelle Le Junalee, certified this determination on 28 September 2026.

ARP 53.12-1

JUN 2026

MEMORANDUM TO THE FILE FOR AMS PID: N00164-26-SIMACQ-CR-GXV-0102

Subject: DECISION TO RESTRICT COMPETITION FOR COMMERCIAL ACQUISITION

UNDER THE SIMPLIFIED ACQUISITION THRESHOLD (SAT)

IDENTIFICATION OF SOURCE -

Vendor Name: KEYENCE Vendor City/State:

Itasca, IL CAGE Code:

0VZL5

Total Dollar Value: $

RFO FAR 12.102(a) authorizes the use of restricting competition for acquisitions of commercial products and commercial services not exceeding the SAT when the Contracting Officer determines that only one source is reasonably available due to circumstances such as urgency, exclusive licensing, brand-name requirements, or industrial mobilization.

In accordance with RFO FAR 12.102(a), this memorandum documents the absence of competition for this commercial acquisition. Only one source will be solicited for this requirement (or a portion thereof), and the total value is not expected to exceed the SAT.

I. DESCRIPTION OF ITEM OR SERVICE:

Digital Microscope VHX-XL Series, This particular one has the ability to image at 5x all the way to 6000x. Also, this one has a 300mm stage for PCB imaging.

Delivery 1-2 Business Days ARO

II. THE DETERMINATION FOR USE OF RESTRICTING COMPETITION IS BASED ON THE

FOLLOWING: <Select applicable sole-source rationale category>

ONLY ONE RESPONSIBLE SOURCE (select all that apply):

RESTRICTIVE RIGHTS. The source has established proprietary rights, limited rights in data, patent rights, copyrights or secret processes in the item or service required.

EXCLUSIVE LICENSING AGREEMENTS. The item or service is only available from the Original Equipment Manufacturer (OEM), or there is only one authorized distributor or technical representative for the

OEM.

OTHER REASONS. Other reasons not identified above. Provide details on mission impact if requirement is not solicited from only one source.

The Keyence VHX Series is the only digital microscope on the market that meets our technical requirements within a single, integrated platform. Its most highly specialized and unique characteristic is its automated, continuous magnification capability.

ARP 53.12-1

JUN 2026

[To successfully fulfill our testing, inspection, and research requirements, the required optical microscope system must possess the following technical capabilities:

An ultra-wide, seamless magnification range spanning from macro to micro levels (e.g., 5x to 6000x).

A fully integrated motorized head or revolver that allows for automatic magnification switching without the need to manually remove and replace optical lenses.

4K resolution imaging combined with a high dynamic range (HDR) and large depth of field to capture fully focused images of uneven surfaces.

Built-in software for 3D profiling, advanced lighting manipulation (e.g., Optical Shadow Effect Mode), and real-time on-screen measurement.

Because no other vendor provides a single system with this specific fully-automated, continuous 6000x magnification architecture paired with an integrated 4K optical and shadow-effect illumination engine, the Keyence VHX series is the only equipment capable of fulfilling the technical needs of this project.

If another microscope were purchased, we would not be able to meet customer testing requirements causing a schedule delay of >12 months and costing over

BRAND NAME: Item required must be a brand name product, or feature of a product, particular to one manufacturer.

UNUSUAL AND COMPELLING URGENCY:

The supplies or services are of such unusual and compelling urgency that the Government would be seriously injured unless the agency is permitted to limit the number of sources from which it solicits, bids, or proposals. Urgent requirements are supplies or services that will result in a work stoppage or are mission critical, and the routine processing time would result in injury to the Government. The determination that the procurement for the above product/service requires unusual and compelling urgency is based on the following:

i. Date on which the requirement was first identified:

ii. Required delivery date/period of performance:

iii. Explanation of why delivery/commencement of services by the date mentioned above is required:

<<Provide Impact statement (mission/financial impact) if requirement is not met.>>

iv. If appropriate, include any additional pertinent information.

<< When urgency is cited, provide data, estimated cost, or other rationale as to the extent and nature of the harm to the government that following schedule procedures would cause>>
